SOLE SOURCE SUPPLY AGREEMENT
This Supply Agreement is entered into as of the day of
(the “Effective Date”) by and between
(“Supplier”) and (“Customer”);
RECITALS;
A. Customer is engaged in the business of packaging and selling
, to its customers, including government agencies;
B. Supplier is a supplier of
(“Products”);
C. Supplier regularly supplies Products to Customer for inclusion in systems that
Customer sells to its clients;
D. Since sourcing and acquisition of the Products involves significant efforts and
expenditures by Supplier, and Customer would like to ensure a ready source of Products to allow
it to fulfill its commitments, Supplier and Customer desire to enter into an arrangement under
which Customer will agree to purchase all its requirements for Products from Supplier;
NOW THEREFORE, in consideration of the mutual promises contained herein, it is
agreed by and among the parties hereto as follows:
1. Duties of Supplier.
1.1 Delivery of Products. Supplier shall, upon receipt of purchase orders from Customer,
deliver the Products to Customer in accordance with Supplier’s standard terms and conditions.
Supplier shall issue an invoice to Customer following each such shipment, and Customer shall
pay such invoice in accordance with the Supplier’s standard terms and conditions.
