TOWNSHIP OF NORWICH TENDER FOR ROADSIDE GRASS MOWING 2009 - 2010
Sealed tenders, clearly marked as to contents, will be received by the undersigned until 11:00 A.M., LOCAL TIME, WEDNESDAY, FEBRUARY 11, 2009 for roadside grass mowing along Township Roads within the Township of Norwich. All tenders must be submitted on Township Tender Forms. The Tender forms and specifications are available at the Township Office, 210 Main Street East, Otterville.

SCHEDULE “A”
GENERAL CONDITIONS
1. Quotations will be received for roadside grass mowing in the designated area hereinafter set out: “FIRST CUT” (a) All designated roadsides are to be cut approximately 5 to 6 foot swath wide (both sides of the traveled portion of the roadway). The first cutting must commence within seven days of written notice by the Public Works Superintendent.
“SECOND & THIRD CUT” (b) All designated roadsides are to be recut approximately 5 to 6 foot swath wide together with an additional 5 to 6 foot swath approximately. Work on the third cut shall be deemed to be done in a safe manner, (both sides of the traveled portion of the roadway). This cutting must commence within seven days of written notification by the Public Works Superintendent. 2. The successful Contractor shall carry a minimum coverage of $5,000,000.00 comprehensive liability insurance to save harmless the Corporation of the Township of Norwich from any claims which may arise from fulfilling the terms and conditions of its contract. 3. The successful Contractor shall file with the Corporation, a Certificate of Insurance liability relative to the comprehensive insurance coverage required under General Condition No. 2. 4. The successful Contractor shall give personal attention to see that completion of the work done and that damage to roadside signage is kept minimal. 5. The Corporation will accept applications for progress payments. Progress payments shall be subject to approval of the Public Works Superintendent who will inspect the work and if found satisfactory, shall recommend payment. The decision of the Public Works Superintendent shall be considered final, and will not be subject to appeal. 6. If the successful contractor fails to commence work or neglects to proceed at a rate of progress satisfactory to the Corporation’s Public Works Superintendent, the Contract may become null and void and the Municipality shall have the right to then employ such means as required to complete the Contract. In such a case the Contractor shall forfeit any claim, entitlement or right to payment for work not done or performed. 7. The successful Contractor shall be responsible to pay for all materials, labour, tools, and equipment necessary of the execution of the work being tendered for. The Contractor shall not employ for purposes of fulfilling its obligations under the contract to be signed, any person or sub-contractor not skilled in the work to be assigned to them. 8. Neither the Corporation nor the Contractor shall assign to a third party the work to be performed under this contract without the written consent of the other. 9. Motorized equipment used by the successful Contractor under the Contract, shall incorporate a rotating flashing amber light so as to warn traffic of slow moving equipment. 10. DESIGNATED AREA The designated area shall be all Township of Norwich roads as outlined on accompanying map, Schedule “B”.

ARTICLES OF AGREEMENT CORPORATION OF THE TOWNSHIP OF NORWICH AGREEMENT TO PROVIDE:

THIS AGREEMENT made this ___________day of ____________________, 20______. BETWEEN: ____________________________________________________ (hereinafter called the “Contractor”) -and-

(hereinafter called the “Owner”)
WITNESSETH: that the Contractor and the Owner in consideration of the fulfillment of their respective promises and obligations herein set forth, covenant and agree with each other as follows: ARTICLE 1 The Notice of Tender, Schedule "A", and Schedule "B", as well as any Addendum to this Tender as may have been issued by the Owner, which have been signed where required by the Contractor, are to be read herewith and form part of this present Agreement. The contract documents are complementary and what is called for by anyone shall be as binding as if called for by all. The intention of the documents is to prescribe a complete work consisting of supplying all labour and equipment except as otherwise noted as may be required to provide roadside grass mowing services in a workmanlike manner and in conformance with current best practices. ARTICLE 2 The Contractor undertakes and agrees: (a) To perform all the work described or implied in the Notice of Tender, Schedule "A", and Schedule "B", as well as any Addendum to this Tender as may have been issued by the Owner, and which are attached hereto. To do and fulfill everything indicated by the contract documents. To faithfully perform the work over the time period set out in Schedule "A". To indemnify and save harmless the Owner from and against all losses and all claims, demands, construction liens, payments, suits, actions, recoveries and judgments of every nature and description, brought or recovered against the Owner by reason of any act or omission of the Contractor, his agents or employees, in the execution of the work or in the guarding of it. To maintain such insurance as will protect him from claims under Provincial Workplace Safety Insurance legislation, and from any other claims for damages for public liability, property damage and for personal injury, including death, which may arise from his operations under this contract.

Certificates of such insurance shall be filed with the Owner, and shall be subject to its approval as to adequacy of protection. If the Owner deems such insurance inadequate, it may request such coverage, and the cost of such added insurance shall be payable by the tenderer. ARTICLE 3 The Owner undertakes and agrees: (a) To pay the Contractor in Canadian dollars based on invoices supplied by the Contractor for the performance of the contract. Payment shall not be allowed for work not done nor for work rejected or condemned by the Owner. (b) The Contractor will submit invoices to the Owner in accordance with the terms and conditions specified in Schedule "A". Payments will be made by the Owner within thirty (30) days of receiving the Contractor's invoices in good order. ARTICLE 4 This Agreement shall apply to and be binding on the parties hereto and their heirs, successors, executors and assigns. ARTICLE 5 A copy of each of the Notice of Tender, Schedule "A", and Schedule "B", as well as any Addendum to this Tender as may have been issued by the Owner attached hereto is made part of this Agreement as fully to all intents and purpose as though recited in full herein.
