                          Program: Verizon Global Network Solutions (2002-2003)

                          Overview of the Engagement:

                          A major telecommunications service provider was looking to merge two
                          subsidiaries that offered similar services to different markets: domestic and global.
                          Given the complimentary nature of their services and markets, a proposal was put
                          forth to evaluate the cost and benefits of integrating the two organizations.

                          Value Delivered:

                          BusinessOne consultant was engaged in evaluating the assets of both
                          organizations and led the analysis effort to determine if there is value in combining
                          the two organizations, and define the challenges and risks associated with of such
                          a consolidation.

                          The analysis conducted by BusinessOne included consideration of the product
                          portfolio of the two entities, their infrastructure and organizations. BusinessOne
                          developed a blueprint for the future state, and vetted with the various stakeholders.
                          The resulting Businesses Case that was developed included the following:

                                   •   Estimate for the synergies
                                   •   Estimate for Integration Costs
                                   •   OSS Architecture for the combined entity
                                   •   Strategy for reducing software license fees for the OSS suite of
                                   •   Strategy for migrating customers and circuits
                                   •   Work plan for the migration effort

                          The plan as recommended was executed and resulted in operational saving of $12
                          Million a year.
