NOTES:
I.   Ordering: State Agencies to submit Order directly to Contractor for processing. Political Subdivisions to

II.  Authorized Purchasers: The contract will be made available to political subdivisions and non-profit
     organizations that are members of the State of Washington Purchasing Cooperative (WSPC) and/or State
     of Oregon Cooperative Purchasing Program (ORCCP). Contractors shall not process state contract orders
     from unauthorized purchasers. It is the contractor’s responsibility to verify membership of these
     organizations prior to processing orders received under this contract. A list of WSPC members is

III. Best Buy: This contract is subject to RCW 43.19.190(2) & RCW 43.19.1905(7): which authorizes state
     agencies to purchase materials, supplies, services, and equipment of equal quantity and quality to those on
     state contract from non-contract suppliers. Provided that an agency subsequently notifies the Office of
     State Procurement (OSP) contract administrator that the pricing is less costly for such goods or services
     than the price from the state contractor, https://fortress.wa.gov/ga/apps/bestbuy.
     If the non-contract supplier's pricing is less, the state contractor shall be given the opportunity by the state
     agency to at least meet the non-contractor's price. If the state contractor cannot meet the price, then the
     state agency may purchase the item(s) from the non-contract supplier, document the transactions on the
     appropriate form developed by OSP and forwarded to the SPO administering the state contract.
     If a lower price can be identified on a repeated basis, the state reserves the right to renegotiate the pricing
     structure of this agreement. In the event such negotiations fail, the state reserves the right to delete such
     item(s) from the contract.
IV.  Contract Terms: This document includes by reference all terms and conditions published in the original
     IFB, including Standard Terms and Conditions, and Definitions published by OSP (as Amended).

SPECIAL CONDITIONS:
1.       Effective May 5, 2009, amended the Price Sheet for the Gasoline Tests, added line items A8, Cooper
         Strip Corrosion, A9, Sulfur, changed the price for test package, Gasoline Plus A10 Ethanol and changed
         B3 to Ethanol Content. Updated Contractor Provided Test table and Testing and Standards table to reflect
         the Price Sheet changes.
2.        Effective, March 18, 2009, Contract Award.
3.       All other terms, conditions, pricing, and specifications remain unchanged.

              1) MINIMUM CONTRACTOR QUALIFICATIONS
By submitting a bid, the Bidder signifies compliance of the below requirements, but the state reserves the
right to request supporting documentation, conduct a site visit and or schedule a meeting to seek
clarification so as to validate claims of qualification compliance:
a) Bidder shall be a Fuel Testing Laboratory with facilities, personnel, equipment, certifications and or
    approvals as required to successfully perform and comply with all contractual requirements.
b) Bidder has three (3) years of experience providing services similar in scope as described herein.
c) Contractor shall have at least one testing laboratory located within or neighboring to the State of
    Washington to assure timely availability of laboratory services and minimize shipping cost.
d) Bidder has not received a corporate criminal conviction within the past three (3) years.
e) Bidder is not currently rendered ineligible from doing business or receiving monetary benefits with a
    government agency because of debarment or suspension by EPA.
f) Bidder will be fully operational to meet contract requirements within 20 business days of contract
    award date.

              2)      SERVICE EXPECTATIONS
Contractor will:
a) Provide all supervision, labor, equipment, and supplies necessary to provide products/services
   described in this document.
b) Review the impact of this award and take the necessary steps to ensure adequate coverage and
   contract compliance throughout the contract.
c) Promote and market the use of this contract to all eligible Purchasers.
d) Provide price verification to contract users upon request.
e) Take necessary action to ensure that Purchasers will automatically receive contract pricing.
f) Establish an internal audit procedure to ensure Purchaser is receiving the correct contract pricing.
g) Ensure that those who use this contract are authorized Purchasing Cooperative members.
h) Employ full-time Contractor representative(s) and technical trained personnel with practical
   experience in assisting Purchasers.

              3)      ORDERING AND SCHEDULING
Contractor shall do the following:
a) Receive service testing requests under this contract by direct delivery, mail or courier service.
b) Notify immediately the Purchaser, if normal service time will be delayed. If Contractor cannot
   perform within the service requirements as identified herein, then the Purchaser may cancel the
   service order with no cost to the Purchaser.
c) Notify the Purchaser via email, if the Contractor will not be opened due to holidays or other reasons
   for closure which would delay response or delivery of service.
d) For State facilities, Normal business (working) days/hours shall be Monday through Friday, 8:00 AM
   to 5:00 PM (Pacific Time), excluding Washington State government holidays as defined in RCW
   1.16.050 (http://apps.leg.wa.gov/rcw/default.aspx?cite=1.16.050) or unless otherwise requested and
   mutually agreed.

              4)      INVOICE STATEMENT
Contractor shall within thirty (30) days of service submit an invoice that shall include the following
information:

        Purchaser’s agency name
        Date Service
        Customer Sample ID number
        State Contract number and Purchaser's order number
        Detailed description of the services and supplies provided, including quantity, unit prices and
         extended totals
        State and local sales taxes, as required by Washington State Department of Revenue
        Address where payment is to be mailed

           5)        SUBCONTRACTORS USE
As a general rule, Contractor shall perform all laboratory services in-house (at Contractor owned
Laboratories), except as authorized herein. Bidder shall identify those analytical services offered in-
house and those that are routinely subcontracted out in their bid submittals.
a) Contractor shall ensure subcontracted work complies with all approved in-house quality assurance
   provisions pertaining to preparation, extraction, analysis, and reporting. No portion of the work under
   this contract may be subcontracted; unless specifically approved by the contract and the Purchaser
   prior to commencement of said work.
b) Contractor may subcontract services to be performed hereunder. Notwithstanding this subsection,
   Contractor's use of subcontractor(s) will not relieve Contractor of the responsibility for the
   subcontractor's performance, and Contractor's obligations and responsibilities assumed under this
   contract will be made equally applicable to subcontractors.
c) Purchaser reserves the right to reject Contractor's use of a subcontractor(s) in performance of this
   contract for any reason.
d) If Contractor elects to utilize a subcontractor(s), Contractor will act as Purchaser’s sole interface.
   Contractor will manage these operations in full compliance with all relevant laws, policies, and other
   applicable requirements.
e) Contractor shall ensure that it and its subcontractors, either directly or through intermediaries, meet
   all applicable environmental and health regulations.

                6)    WORKER SAFETY STANDARDS
Contractor shall assure that the handling of all waste materials and fluids shall comply with all current
applicable safety laws and standards of the State of Washington and standards established by the United
States Department of Transportation, the United States Department of Labor's Occupational Safety and
Health Act (OSHA), Environmental Protection Agency (EPA), State of Washington Labor and Industries
rules, accepted industry practices, City/County requirements, and Purchaser’s site specific requirements.

                7)    COMPLIANCE WITH LAWS
a) Contractor agrees that both services and items provided under this contract shall comply with all
   applicable federal, state and local laws, permit conditions, standards and regulations, and as may be
   amended and any standards and regulations which may be promulgated.
b) Contractor agrees to indemnify and hold harmless the State from all damages assessed against the
   Purchaser as a result of the Contractor’s failure to comply with all federal, state and local laws, permit
   conditions, rules, standards and regulations.
c) Contractor shall, without additional expense to the State, obtain and maintain current any licenses and
   permits necessary for compliance with Federal, State and Local regulations.

              8)      SPILL RESPONSIBILITIES
Contractor is solely responsible for any and all spills, leaks or releases, which occur as a result of or are
contributed to by the actions of its agents, employees, or subcontractors.

              9)      FACILITY SITE VISITS
a) The state reserves the right to conduct a site visit of any facility that is proposed for use or is used by
   the Contractor in the performance of this contract.
b) The state reserves the right to not accept for or remove from use under this contract any facility based
   on a site visit or for any other reason without providing a period of time for cure.
c) Facility visit are for confirming the Contractor’s compliance to contract requirements, and
   determining whether the facility is managed in a manner that minimizes the risk to human health and
   the environment, and minimizes pollution liability risk for contract users.
d) Contractor shall make available to the state for purposes of such facility site visits, Contractor’s books
   and records of account, records as relating to environmental health and safety and any other related
   records reasonably requested by State.
e) State shall have the right at any time and from time to time during the term of this Contract, to enter
   onto Contractor’s premises, with reasonable notice, during normal business hours, for the purpose of
   confirming the Contractor’s conformity with the terms and conditions of this Contract.

              10) FACILITY CHANGES
Contractor shall notify the Office of State Procurement within fourteen (14) calendar days, in writing,
there has been a change of ownership, significant event/release (fire, flood, explosion, etc.), significant
operational change (processes, practices, permits, licensing, etc.), a change to the regulatory compliance
status, or other significant events as determined by the state at any facility used under this contract.

              11) RECORD OF PURCHASES
Contractor shall keep a record of all services and goods ordered under this Contract and upon request,
supply the state with a report of quantities ordered per item and per account. The state reserves the right to
audit the Contractor’s records for compliance with Contract terms, conditions, and pricing. An
unfavorable audit may be considered a breach of the Contract and the state, at its sole discretion, may
allow the Contractor an opportunity to correct the negative finding(s) or cancel the contract immediately.

              12) LABORATORY
Bidder at time of bid opening shall have an operational laboratory at which fuel analysis is currently
being done. The laboratory must conform to accepted industry standards for petroleum testing
laboratories and must meet all federal, state, and local building codes, including applicable environmental
laws and regulations. The state reserves the right to visit and inspect any laboratory to verify compliance.

              13) LABORATORY EQUIPMENT
Bidder at time of bid opening shall have all equipment needed to perform sampling of fuels identified
herein. Equipment must meet ASTM Standards (or subsequent issues thereof).
Contractor’s equipment shall maintain fuel samples at a temperature that will not affect the analysis
results.

              14) TECHNICAL CONSULTATION
Contractor shall be available by telephone or email during Purchaser’s normal business hours, 8:00 am to
5:00 pm Pacific Standard time, Monday through Friday, excluding state holidays, for the purpose of

providing information, interpretation and guidance regarding motor fuel standards and testing results.
Technical consultation shall be by technically qualified and professional staff. There shall be no
additional cost to the Purchaser for this technical consultation.

              15) CONSULTANT SERVICES FOR COURT TESTIMONY
Contractor shall furnish, if requested by the Purchaser, technically qualified and professional certified
staff to assist in the technical interpretation and defense of the data produced by the Contractor.
Examples of consultation services include but not limited to providing testimony in court and/or technical
assistance to Customers related to sample analytical procedures and technical aspects related to the data
provided by the Contractor, data management, data review, validation, and other related technical services
as it relates to defense/support of Purchaser legal position.
Bidder shall identify pricing for consultation services in the Price Sheets and if there are different prices
for individuals based on their level of experience and/or position in the organization.

              16) QUALITY ASSURANCES/QUALITY CONTROL
Contractor shall:
   a) Have a Laboratory Quality Assurance/Quality Control Plan. Contractor shall employ a policy
       that controls improper manipulation, falsification of data, data entry errors or deviation from
       contractual requirements.
   b) Employ a Quality Assurance Manager with supervision of the laboratory used in the fulfilling of
       the contractual requirements.
   c) Have Standard Operation Procedures (SOP) in place for all the analytical methods and general
       procedures performed at Contractor’s laboratories.
   d) Participate in a laboratory analysis Round Robin and ASTM groups of which the Bidder is a
       current member, include certifications as applicable. Contractor’s Laboratory must participate in
       the ASTM Round Robin Interlaboratory Comparison and make those the round robin reports
       available to WSDA staff, http://ts.nist.gov/WeightsAndMeasures/Metrology/roundrobins.cfm.

              17) MANNER OF PERFORMANCE
Contractor shall:
   a) Be solely responsible for all means, methods, techniques, sequences, and procedures for
       performing the work except as provided for herein. Purchaser will not exercise any right of
       control over the incidence of performance.
   b) Be responsible for the acts or omissions of all his or her employees and agents, all other persons
       performing any of the work, and shall not employ any person to perform the work who is not
       qualified for the task assigned to him or her.
   c) Give all required notices and comply with all applicable laws and regulations bearing on the
       performance of the work.
   d) Performed all work to the reasonable satisfaction of Purchaser.

              18) TRANSPORTATION OF SAMPLES
Contractor will supply a shipping service for the pickup of samples at the Purchaser’s site and the
delivery of such samples to the laboratory at no cost to the Purchaser, with the exception of gasoline
samples which be delivered to the Contractor’s laboratory by the Purchaser at no cost to the Contractor.
Any expedited shipping (overnight) cost shall be the responsibility of the Purchaser.
Shipping service could involve Contractor’s courier service or other courier services such as United
Parcel Services, FedEx, etc. Contractor shall make arrangements for the Purchaser to easily use the

Contractor’s shipping service transportation by utilizing the Contractor’s account information at no cost
to the Purchaser.

              19) DELIVERY OF SAMPLES
Purchaser is responsible delivery of samples to the Contractor with adequate time to properly test
samples. When possible, Purchaser will notify the Contractor with a minimum of a five (5) business day
notification of intent to deliver samples to the Contractor’s laboratory. Contractor shall take necessary
preparation steps for the requested sample test methods to meet Purchaser’s time constraints.
If the requested analysis work has a holding time less than two (2) days, then Purchaser shall make
arrangements with the Contractor on a case-by-case basis to determine the best course of action.

              20) SAMPLES HANDLING, STORAGE AND DISPOSAL
    a) Samples and analysis data shall be the property of the Purchaser. Contractor shall not release any
       information to any third party, except information that is in the public domain or that is required
       by law without the written authorization from Purchaser.
    b) Contractor shall retain all remaining portions of fuel samples for ninety (90) days.
    c) After the required retention period, Contractor shall dispose of samples in accordance with all
       federal, state, and local regulations at no additional charge to the Purchaser.
    d) Sampling containers shall be returned to the Purchaser. Purchaser is responsible for the
       associated cost of returning used empty sampling containers.
    e) If Contractor has sampling container washing service for used sample container, then the Bidder
       may proposed pricing with their bid response as an optional item.
    f) If the Contractor fails to meet an established holding time through negligence of Contractor, then
       the Contractor shall be held responsible for the costs of resampling and reanalysis as necessary.
    g) Contractor shall retain analytical data for seven (7) years relating to services performed following
       transmittal of the final analytical report.

              21) FUEL SAMPLE CONTAINERS
All fuel sampling containers will be supplied by the Purchaser. Purchaser will supply the following for
collecting and shipping fuel samples:
             o 1 liter aluminum containers, caps and locking lids
             o Absorbent pad
             o Sealing plastic bag
             o Cardboard box with labels

              22) TESTING PACKAGES
Bidder is to provide pricing for testing packages and individual tests as described in the bid’s Price
Sheets. The predetermined testing packages are a combination of nationally approved standards and test
required by WSDA for fuels. The testing packages are the analytical scope of tests that shall be
performed on each fuel sample, unless otherwise directed by the Purchaser. The state may add or delete
tests at prices negotiated between the Office of State Procurement and the Contractor.

              23) TESTING RESULTS REPORTS
Certificates of Analysis from each fuel sample submitted shall be electronically sent to the Purchaser
within two (2) business days following receipt of the sample (not counting the day of receipt, e.g.
received on Monday results due on Wednesday) by the Contractor, excluding any Cetane test. Cetane test
results shall be due within four (4) business days.

              24) RETESTING SAMPLES
Contractor shall immediately reanalyze an individual test method to verify results if a fuel sample result is
grossly out of ASTM specifications and is reported in units not standard for that test method. Contractor
shall be responsible for retesting cost, unless it is determined the results were not a fault of the Contractor,
then the Purchaser shall be responsible for the retesting cost.
Contractor shall provide to the Purchaser a revised Certificate of Analysis within one (1) business day by
email with the laboratory manager endorsement. The Certificate of Analysis shall clearly indicate that the
results were revised.
If the Purchaser requests a retesting because of test results show extremely high or low numbers, then the
Purchaser will be responsible for the retesting cost unless it is determined that the results were the a fault
of the Contractor.
Contractor shall notify the Purchaser if there is not sufficient amount of sampling material for retesting;
Purchaser is responsible to originally supply adequate quantity of sampling materials for retesting.
As a quality measure the sample or retained remaining sample may be sent to another laboratory for
retesting to verify the results.

              25) RANDOM TESTS
The Purchaser will perform random test for quality assurance purposes. Random tests will require fuel
analysis from an alternate laboratory to process the fuel analysis. Purchaser will pay full cost of random
testing.

              26) TEST SUMMARY REPORTS
Contractor shall provide to Purchaser summary data, both graphically and in text, on a monthly, quarterly
and annual basis. These summaries shall include all of the ASTM methods that have been run on the fuel
samples during the reporting period. Monthly reports must be received with WSDA Sample IDs and
Certificate of Analysis numbers by the 10th day of the following month.
Reports shall be in an acceptable format for Purchaser’s use of the data; acceptable software formats are
Microsoft WORD and EXCEL, and Abode Acrobat Pdf or other formats acceptable to the Purchaser.

              27) WASTE MATERIAL TESTING
To the extent allowable by rules and laws, the Contractor is expected to take responsibly and title to the
Recoverable Material when the material is in the sole possession of the Contractor.
Contractor shall be responsible for testing the waste materials (e.g. oil/fluid) they collect for hazardous
contaminants before they dispose it, sell it to someone else or use it in a process.

              28) TESTING AND STANDARDS
ASTM standards, federal environmental protection agency standards, and state standards will be adopted
together as the Department of Agriculture motor fuel quality standards. If any modification is
implemented on a federal level, the state quality standards will be revised to match the federal standards.
