  Sold… As detailed in our Special Update issued May 20, H&H Distributing Company dba H&H
              Foodservice (West Union, IA), completed the sale of its assets a couple days prior to Hawkeye
              Foodservice Distribution (Coralville, IA). Hawkeye revealed in an announcement that it expects to
  close on the purchase no later than May 29. H&H will cease operations at the end of the month, and Hawkeye will
  lease the West Union, IA facility until it can transition the H&H customers to its Iowa City, IA and Fairmont, MN
  facilities.

  Inching into India… As part of Brinker International’s (Dallas, TX) ongoing plan to grow its international
          operations by 500 units within the next five years, the Company opened its first Chili’s Grill & Bar in India.
           In related news, the Company will open its first Chili’s Grill & Bar location in the Greater Toronto, Canada
  area. The restaurant is the first of a five restaurant, five-year agreement that will expand Brinker’s presence
  throughout Toronto, though no dates were disclosed.

  What a Deal… Quiznos (Denver, CO) is launching a microloan initiative that will provide funding for current
              franchisees that want to expand, while mitigating the effects of a difficult lending environment. The
              loans will vary according to individual circumstance and are intended to be used to open new sites or
              re-open existing sites. This initiative comes after Quiznos began its lease renegotiation program
  launched earlier this year to help curb the impact of the economic environment and provide opportunities for greater
  franchise owner profitability.

  Hamburger Helper… Burger King Holdings’ (Miami, FL) Canadian subsidiaries sold 20 restaurants in Ontario
       to franchisee Heartland Food Corp. The purchase, combined with the completed acquisition of 14
       previously franchised Burger King restaurants in Ontario, brings Heartland’s total Canadian Burger King
       count to 34. Terms were not disclosed.
  In other news, Burger King’s Canadian subsidiaries sold 20 units in Ontario to franchisee Heartland Food earlier
  this month, bringing Heartland’s total Canadian Burger King store count to 34. Terms of the deal were not
  disclosed. Heartland is Burger King’s third largest North American franchisee and operates 223 units in the U.S.

  Set The Price… Yum! Brands (Louisville, KY) amended the terms of its cash tender offer to purchase $150.0
          million of its 7.7% senior notes due July 1, 2012. As part of the amendment, the Company is offering to pay
          the total consideration (which includes the early tender payment of $40 per $1,000 principal amount of the
          notes) to all holders who validly tender. The Company will pay $1,068.10 for each $1,000 principal amount
  of the notes bought in the tender offer, including an early tender payment of $40.

  In other news, Yum! Brands subsidiary A&W Restaurants plans to open 10 drive-ins in Minneapolis, MN.
  Franchisee Patrick Nickelson will open the first unit this summer in Inver Grove Heights, MN.

  Another Offer… Hedge Fund Mill Road Capital (Greenwich, CT) offered to acquire Kona Grill (Scottsdale, AZ)
          for $4.60 per share, or $27.9 million. The offer is nearly double the May 15 closing price of $2.29. Mill
          Road Capital, which is Kona Grill’s second largest shareholder, previously offered to buy all the
  Company’s outstanding stock for $10.75 in March 2008 and was rejected.
  In other news, Marcus Jundt resigned as president and CEO of Kona Grill. COO Mark Bartholomay will serve as
  interim president and CEO until a permanent successor to Mr. Jundt is named. As mentioned in the May 14 issue
  of this publication, a majority of votes cast in an annual board meeting on April 30 did not support Mr. Jundt’s
  reelection.

Selling Mode… OSI Restaurant Partners (Tampa, FL) plans to sell its Cheeseburger in Paradise brand to an
       entity controlled by the chain’s president, Steve Oyerholt, for $2.0 million. The Company sold six-unit Roy’s
       Selmon’s chain and has been trying to sell some of its other smaller brands to focus on its Outback
       Steakhouse brand. There are 36 Cheeseburger in Paradise restaurants located in the Midwest and Mid-
Atlantic region.

Home Cooking… The latest consumer price index (CPI) results from the federal government revealed that price
inflation in April rose faster for food away from home as compared with food at home, a trend that could push
consumers away from restaurants. Grocery store year-over-year changes in prices increased 2.3% in April.
Restaurant food prices rose 4.6% in April versus a year ago. Many restaurants have been forced to raise menu
prices to combat slowed guest traffic and rising operating cost. The last time the CPI for food at home declined on
a sequential basis to near current levels was in May 2002, which was followed by a months-long decline in
Wachovia’s restaurant stock index.

Employee Buyout… Manitowoc’s Enodis (New Port Richey, FL), a global ice machine business, was sold to
       affiliates of Warburg Pincus (Vernon Hills, IL), a private equity firm, for $160.0 million. The Company will
       change its name to Scotsman.

New Toys… Jamba (Emeryville, CA) inked a deal with Oregon Ice Cream (Eugene, OR) to make a new Jamba
Juice-branded line of frozen novelties. In addition, a second agreement was made with Think Wow Toys (New
York, NY) to develop a blender as well as an ice pop maker. The new agreements are in addition to Jamba’s
relationship with Nestle, which is developing ready-to-drink beverages under the Jamba brand for sale in grocery
and other retail stores.
In other news, the Company will start a refranchising initiative that is expected to involve up to 150 Jamba Juice
store locations primarily outside of California. The Company expects many of the refranchising transactions to
include a development agreement.

Refranchising… Jack in the Box (San Diego, CA) refranchised 46 restaurants in California and Texas as part of
    its plan to have 70% – 80% of its system franchised by fiscal 2013. Three existing franchisees purchased a
    total of 20 units in Los Angeles, CA, and the Company refranchised three restaurants in San Jose. In
    addition, 23 restaurants were refranchised in Dallas and Houston, TX.

Money in the Bank… J. Alexander (Nashville, TN) closed a $5.0 million revolving line of credit with Pinnacle
National Bank, which can be used for general corporate purposes. In addition, the Company repurchased 808,000
of its common stock from Solidus Company at $3.60 per share, using a $3.0 million term loan. The credit facilities
are subject to customary terms and covenants.

What Could be Better… Haagen-Dazs (Minneapolis, MN) plans to grow its business by taking advantage of
           opportunities resulting from the recession. The chain now offers a $10,000 discount off its $30,000
           franchise fee to operators with at least two years of restaurant industry experience. Haagen-Dazs is also
           targeting locations in high-traffic, pedestrian-friendly areas like shopping malls and outdoor lifestyle
centers, transportation hubs and tourist attractions. Locations for expansion include Northern California and the
Bay Area, the corridor from Maryland to Virginia through Washington, DC, and Hawaii. The brand also wants to
bring new franchisees into its more developed regions, including southern California, south Florida, and the New
York-New Jersey metro area.

Expanding Produce… Chipotle Mexican Grill (Denver, CO) will expand its local produce program this summer,
purchasing at least 35% of bulk produce items in all of its restaurants from local farmers when seasonally available,
a 10% increase over last year’s program.

Ups and Downs… Cracker Barrel Old Country Store (Lebanon, TN) anticipates fiscal 2009 revenues to be flat
         to down 0.5%, compared to a previous outlook that had an upside possibility of an increase of 0.5%.
         Comps are estimated to be down 1.5% – 2.0%; prior guidance projected comps to drop 1.0% – 2.0%.
         The Company continues to expect capital expenditures for fiscal 2009 to be approximately $65.0
million.
Additionally, the Company has a contract on the sale-leaseback of its retail distribution center and has entered into
a letter of intent for the sale-leaseback of 15 stores. Total net proceeds from the sales are expected to be
approximately $53.0 – $54.0 million and will be used to reduce outstanding debt.

Reporting Comps… CKE Restaurants (Carpinteria, CA) reported first quarter comps for its Carl’s Jr. and
Hardee’s brands. For the first quarter of fiscal year 2010, Carl’s Jr. comps dropped 5.1% from last year’s 3.9%
increase. Meanwhile, Hardee’s comps increased 2.5%, compared to a decline of 0.6% in first quarter of fiscal
2009. Total revenue decreased 4.6% to $343.1 million. Fiscal 2010 first quarter restaurant operating expenses are
anticipated to be flat as compared to the 2009 first quarter, which was 80%. The Company will report fiscal 2010
first quarter earnings on June 24, 2009.

Quarterly Dividend…
McDonald’s (Oak Brook, IL) board declared a quarterly cash dividend of $0.50 per share, payable on June 22,
    2009 to shareholders of record at the close of business on June 8, 2009.


Bob Evans’ (Columbus, OH) board declared a quarterly dividend of $0.16 per share, payable on June 15, 2009 to
stockholders of record at the close of business on June 4, 2009.

Store Openings…
            Wendy’s/Arby’s Group (Atlanta, GA) inked a deal with Kopitiam Investment (Singapore), a food
            service management operator, to build and operate Wendy’s in Singapore. The first location is
scheduled to open in late 2009, with plans to build more than 35 units throughout the country over the next 10
years. This development agreement is part of Wendy’s/Arby’s Group’s larger plans to increase development efforts
outside of North America.


E&S Food (Elmwood Park, NJ) plans to build a 50,000 square-foot facility in Hanover, NJ and will move from its
current location in Elmwood Park, NJ once it is completed. The date of the move was not disclosed.


     California Pizza Kitchen (Los Angeles, CA) opened a 5,900 square-foot unit in Sacramento, CA this month.
     The new location is the Company’s second in the metro area. In addition, California Pizza kitchen also
opened a 6,000 square-foot unit in Valencia, CA this month.


Elevation Burger (Arlington, TX) inked a multi-unit deal with franchisees Fabian Rosario and John Harris for New
York City. The Company currently has 40 units under development across Texas, New Jersey, Maryland, Northern
Virginia, Washington DC, New York and Florida.


     Costa Vida (Salt Lake City, UT) opened its newest location in Queen Creek, AZ, the second in the area. The
     Company currently has 23 locations across the U.S.


U-Swirl (Henderson, NV) will open two new units by early this summer in the Las Vegas, NV area. The Company
will operate a total of five units by the summer and anticipates opening up to 10 additional units by the end of 2009.

Store Openings, Cont’d…
         Wingstop (Dallas, TX) signed a development agreement with entrepreneur Ken Gelinas to open three
         units in Madison, WI, with the first scheduled for this fall. The second location is anticipated to open in
2010 and no date was disclosed for the third unit.


Famous Dave’s Bar-B-Que (Minneapolis, MN) opened its newest restaurant in Tualatin, OR on May 25. The
Company now operates in 38 U.S. states.


              Baskin-Robbins (Canton, MA) is opening 20 units in Louisville, KY and surrounding counties. The
              Company also has several new real estate concepts for 2009. Baskin-Robbins newest concept is a
high-end dessert bar with unique ice cream and coffee products, which will be called Café 31. The concept is
currently being tested outside of Boston.


Smashburger (Denver, CO) secured a 10-unit agreement with Reload LLC, its tenth franchisee. Reload is
       targeting locations in Lincoln and Omaha, NE, and is scheduled to open the first unit by the end of the
       year. The remaining nine units are slated to open over the next few years. There are currently 187
       franchised locations.

Hard Rock Café (Orlando, FL) will be opening a 20,000 square-foot unit in Hollywood, CA next year.                                 The
Company currently operates 125 restaurants.

         P.F. Chang’s (Scottsdale, AZ) signed a development and license agreement with franchisee Alsea, to
         develop 30 units throughout Mexico over the next 10 years. The first two units are expected to open in
Mexico City during P.F. Chang’s fourth quarter.

Chapter 11…
Eateries’ (Edmond, OK), parent of the Garfield’s Restaurant & Pub chain, filed Chapter 11 in the U.S. Bankruptcy
Court of Western Oklahoma on May 11. The Company reported estimated assets of $1.0 million – $10.0 million
and estimated liabilities of $10.0 million – $50.0 million. The Company went private in 2003 and reported sales of
$74.4 million in 2007.


           The U.S. Bankruptcy Court of the Northern District of Georgia confirmed Greater Atlanta Bar-B-Q LLC’s
           (Norcross, GA) amended plan to call for secured creditors to restructure the debtor’s credit terms.
Secured claims total approximately $9.2 million. The second amended plan sees the general unsecured claims of
creditors, GE and CNL initially being paid a 50% distribution, the same as other unsecured creditors, at the rate of
$25,000 per month. Beginning December 31, 2012, any of the Company’s cash flow at the rate of 50% will be paid
to GE and CNL; all others creditors whose claims total $858,475 will receive 50% distribution over three years.


J.O.D. Food Services Acquisition Co., LLC (Woonsocket, RI) reported its secured lender took possession of the
Company’s building after an auction conducted last week failed to come away with a successful bidder. The
Company’s debt is only partially satisfied even with the bank taking control of the location. J.O.D. ceased
operations in October and shortly after petitioned the court to place the business into receivership due to insolvency
caused by increased costs in the food industry.

             Noodles & Company (Broomfield, CO) named Dan Fogarty VP of marketing. Mr. Fogarty previously
            served on “The Pump Energy Food in New York City,” where he spent two years re-concepting the brand.


Taco Del Mar (Seattle, WA) named Larry Destro president and CEO. Mr. Destro replaces Kevin Hansen who was
named president last September after the resignation of founder James Schmidt. Mr. Destro
previously served as president of CB Manufacturing and Sales (West Carrollton, OH).

                   Raising Cane’s Chicken Finger’s (Baton Rouge, LA) named Ian Vaughn COO. Mr. Vaughn previously
                   served as SVP of operations.


 McCormick & Schmick’s Seafood Restaurants’ (Portland, OR) CFO Emanuel N. Hilario stepped down from his
 position on May 21. The Company is currently searching for a candidate to fill the position of CFO.

 Closings…

        Whataburger (Corpus Christi, TX) plans to close 18 stores at the end of the month, including 14 in Central
        Florida. The Central Florida restaurants include five units each in the Tampa and Orlando, FL markets and
 four in the Gainesville-Ocala market. The closings reflect declining sales, poor market saturation and high costs.
