Terms and Conditions of Logo Use by ISV Partners Partners in good standing in the Dell ISV PartnerDirect Program (each a "Licensee") shall be granted a limited, non-transferable, non-exclusive, and revocable license to use either the Dell "Registered" or Dell "Certified ISV Basic” or “Certified ISV Advanced” Partner logo ("Logo"), subject to the following rules, terms, and conditions:
Registered ISV Partners: A Licensee that is a Registered Partner Licensee may use the Dell PartnerDirect “Registered Partner” logo on its business cards, stationery (including e-mail signatures), and its website. Certified ISV Partners: In accordance with the terms and conditions set forth below, a Licensee that is a Certified ISV Partner may use the Dell PartnerDirect "Certified ISV Basic" or “Certified ISV Advanced” logo on company business cards, stationery, (including e-mail signatures), and its website. If both certification levels (ISV Basic and ISVAdvanced) have been attained, the company may use the logo of the highest level of ISV certification limited to the areas described in the foregoing list. In connection with marketing activities that are directly related and/or include the product/solution for which a certification logo was awarded, the company must use the certification logo that is specifically connected to the product/solution. The Certified ISV Basic and Certified ISV Advanced logos will be made available to certified ISV Partners via e-mail after validation that the product/solution has met all requirements for Certification. Use of the Registered, Certified ISV Basic, and Certified ISV Advanced Logos is conditioned upon the following: 1. Licensee may not use a logo obtained from any source other than Dell, and shall not modify or alter the Logo in any way. 2. The minimum font size for the Logo is 4pts. The minimum Logo size is 150x51 pixels 3. Licensee shall not to use the Logo in connection with any activity that is unlawful, libelous, defamatory, obscene, disparages Dell or Dell's products or services, or that in any way infringes the intellectual property or other rights of any person or entity. 4. Licensee shall not to use the Logo in any manner that is likely to create the impression that Licensee is a legal partner, affiliate, or franchisee of Dell, or is otherwise related to Dell. Licensee will clearly and prominently identify itself in its offers, advertising, marketing, and promotional materials. 5. Licensee agrees to use the Logo only in connection with the business registered in or the product/solution certified by the Dell ISV PartnerDirect program and the marketing of Dell products or services. Licensee shall not use or display the Logo on its invoices, bills, or shipping memos. 6. Licensee acknowledges that Dell owns all rights in the Logo, and agrees that it will not contest the validity of Dell's rights, either during or after the license term. Licensee will indemnify and hold Dell harmless against any claims, actions, or demands relating to its business activities or the use of the Logo in connection with such activities or otherwise.
7. Dell may immediately terminate Licensee's right to use the Logo for violation of any of these terms and conditions, or any terms and conditions governing Licensee's participation in the ISV PartnerDirect program or provision of Dell products or services, or for any other reason that Dell deems appropriate. Upon such termination, Licensee shall immediately cease use of the Logo or any similar mark, name, or logo, including any name or mark containing the term "Dell." 8. Licensee agrees not to use any Dell logo, trademark, or intellectual property other than the specified Partner logo that corresponds to Licensee's level of participation in the PartnerDirect program (i.e., "Registered Partner" or "Certified Partner"). 9. Dell grants Licensee no other rights except those set forth expressly herein. 10. Licensee recognizes and acknowledges that its breach of these terms and conditions will cause Dell irreparable harm for which monetary damages will be inadequate. 11. Licensee agrees that Dell shall be entitled to an injunction to restrain Licensee from such breach or threatened breach. Nothing in this section shall be construed as preventing Dell from pursuing any remedy at law or in equity for any breach or threatened breach of these terms and conditions.
