March 17, 2009 RE: Assignment and Assumption of Lease(s) No(s)__________________: Dear Sir or Madam: Thank you for your recent inquiry and request to assign your rights and obligations under the above referenced Lease(s) with Dell Financial Services L.P. (DFS). Please find enclosed an Assignment and Assumption Data Form. The information you provide on the enclosed form is forwarded to our credit department in order to process your request. If the Assignment and Assumption is approved, an “Assignment and Assumption of Lease” contract will be prepared for execution. This “Assignment and Assumption of Lease” requires the signature of both the original Lessee under the Lease(s) and the Assignee. In order to proceed with your request we will require the following information: 1. Fill in the information requested in the attached Assignment and Assumption Data Form, including the personal guarantor information. The credit department will decide if a personal guarantor is required. 2. Please compose a brief letter on company letterhead requesting the assignment and assumption. Be sure to explain the relationship between the original lessee and the party requesting assumption, including the reason for the request. In addition to the items requested above, please fax back the Articles of Incorporation, Articles of Organization, Assumed Name papers (for a sole proprietor) or similar legal documentation verifying the correct legal name of the proposed Assignee.

A $150 administrative fee will be charged for the first “Assignment and Assumption of Lease” contract, and, a $50 administrative fee will be charged for each additional contract assigned and assumed (one contract per lease).
