Board - 4 MINUTES MEETING OF THE BOARD OF DIRECTORS March 11-12, 2007 Call to Order The Board of Directors of the National Congress of Parents and Teachers met at the L’Enfant Plaza Hotel, Washington, DC on Sunday, March 11, 2007. President Anna Weselak called the meeting to order at 7:14 p.m. Chuck Saylors, Secretary-Treasurer, recorded the minutes and Rollie Cox served as the parliamentarian. The Chair requested board approval of the appointment of the Minutes Approval Committee: Mike Dimich, Maria DeWald, and Rosemary Kirby. Without objection, the appointments were approved and the committee was authorized to approve the minutes of the meeting. The secretary-treasurer circulated a sign-in sheet. Courtesy seats were granted without objection. A list of board members and courtesy seats is attached to the minutes (appendix #1). The Chair asked the courtesy seat persons to introduce themselves. The chair announced the following additions to the printed agenda: Under Action Items, to add the ratification of the adoption of the Policy on Election for National Council of State A-Large Positions, as adopted by the National Council of States on March 9, 2007, and the approval of the Finance Committee’s recommendation to transfer 2006 Funds. Without objection, the agenda was approved as amended. The Chair announced that the minutes from the October 27, 2006 Board of Directors meeting were approved by the appointed minutes approval committee. Roll Call/Introduction of Courtesy Seats Action Item – Membership Committee Vacancy Action Item – Policy on Election for National Council of States AtLarge Positions A motion was made and adopted to ratify the appointment of C. André Daniels to serve on the Membership Committee to fill a vacancy. A motion was made and adopted to ratify the adoption of the Policy on Election for National Council of States At-Large Positions, as adopted by the National Council of States on March 9, 2007: Policy On Election For National Council Of States At-Large Positions All candidates for National Council of States (NCS) At-Large positions, whether slated or running from the floor, shall adhere to this policy. Campaign Guidelines Candidates from the floor shall give written notice of their intent to run. Notification must be POSTMARKED at least thirty (30) days prior to the opening of the first General Meeting of the Annual Convention and the candidate must be able to show proof of the postmark if requested. All notification should be sent to National PTA’s 2 DRAFT headquarters office to the attention of the National President and chair of the Nominating and Leadership Development Committee. The chair of the Nominating and Leadership Development Committee shall notify a slated candidate of any candidates who have filed intent to run within five (5) days of the receipt of the notification of intent to run. Candidates from the floor must find a current NCS member to place their name in nomination. When there are nominations from the floor for election, each of the candidates will have two (2) minutes to address the National Council of States. Campaign Materials: One (1) one-sided 8 ½” x 11” sheet of paper, printed in black ink only, with the candidate’s biography Slated candidates and candidates running from the floor shall send to National PTA’s headquarters office to the attention of the Elections Committee staff liaison the following documents postmarked at least twenty (20) days prior to the opening of the first General Meeting of the Annual Convention: a. One (1) hard copy of their one (1) one-sided 8 ½” x 11” biography b. The signed Verification of Accuracy Statement Made by Candidates for At-Large election to the National Council of States, which states that all information included in their biography is true The staff liaison shall notify candidates when their biography has been received at the National PTA office. The biography shall be reviewed by the staff liaison for infractions of the campaign guidelines, and candidates shall be notified within five (5) business days of the receipt of the materials if there are any corrections that need to be made. Biographies will be distributed as submitted. No other campaign paraphernalia or electronic media shall be allowed during or prior to the national convention or the NCS meetings. Biographies of the slated NCS At-Large candidates shall be distributed to NCS members in advance of the NCS election meeting via electronic mail and will be available at the NCS meeting. Candidates from the floor may bring copies of their biography. All candidates may distribute their biography thirty (30) minutes prior to the start of the NCS election meeting. The posting of election materials (candidate’s biography) anywhere is prohibited. 3 DRAFT The National PTA logo and tagline shall not be used on personal correspondence or communication related to the campaign or biographical information. National PTA’s e-mail system, stationary, mailing and phone lists, and bulk rate permits shall not be used for campaigning. Violations  All candidates are responsible to adhere to this Policy on Election.  Failure to adhere to these guidelines may result in the candidate not being allowed to distribute their biography or the disqualification of the candidate.  Violations will be reported to the President. In the event of an infraction the president shall report the infraction to members of NCS. Voting and Balloting  Ballots shall list, in alphabetical order, the names of candidates.  On the ballot the name of each nominated candidate shall be followed by either “candidate of the nominating and leadership development committee” or “candidate from the floor.” The presiding officer shall declare who is elected. Due to the age of national documents careful storage is necessary. Our Children Advertising Commission Commission for outside advertising solicitor not in original budget. With this assistance, went over budget in advertising revenues. Reflections Additional items for Back to School kit to promote program. DC Office Move Additional needed after final moving invoice paid. Decrease Resource Development Cultivation and solicitation – Annual Fund – funds remaining at end of year. $10,600 $8,500 $8,100 $37,000 $64,200 Action Item – Transfer of Funds Action Item – Finance Policy A motion by the Finance Committee to designate $500,000 from 2006 funds to be used for the Community Connections and the Capacity Building Training Initiatives during the fiscal year 2007 was adopted. A motion was made and adopted to amend the Finance Policy as follows: Finance Policy Budget  Once the budget is approved, budgeted funds may be reallocated with approval of the chief executive officer; reprogramming may take place with: (1) notification of pending reprogramming being provided concurrently to the president and the Finance Committee, (2) approval of the president, and (3) board ratification.  National PTA may have unrestricted funds, donor restricted funds, and board designated funds. Cash Disbursements  Cash disbursements may be made by check or electronically.  All disbursements require two signatures or in the case of electronic transfer approval of two authorized signatories.  Authorized signers include officers (President, Secretary5 DRAFT Treasurer) and staff (Chief Executive Officer, Chief Finance Officer, Accounting Manager, or designee, as determined by the Chief Executive Officer). One of the two signatories must be Chief Executive Officer, Chief Finance Officer, or Accounting Manager. Line of Credit  National PTA may borrow funds limited to the approved line of credit based on short term needs to fund operations. Headquarters Building Fund  Net proceeds from the sale of real property located at 700 North Rush Street, Chicago, IL, shall be held in a board designated fund known as the “Headquarters Building Fund.”  A two-thirds vote of the board of directors shall be required to dispose of the principal of the fund for any purpose other than the construction or acquisition of an ownership interest in real property to serve as a new headquarters for National PTA. Insurance  National PTA shall obtain insurance to protect its fiscal and human assets. National PTA Endowment Fund  National PTA shall have an Endowment Fund held and administered by a separate not for profit corporation organized for this purpose under the laws of the State of Illinois.  Honoraria, gratuities, or fees received by National PTA representatives for services rendered in the name of the organization shall be forwarded to the Endowment Fund. National PTA Life Achievement Award  National PTA may confer National PTA Life Achievement Awards upon persons who have distinguished themselves in service to children and youth.  A person may be proposed for this award by the president, board of directors, or by any constituent organization.  Fees for life achievement awards shall be determined by the board of directors.  All proceeds from these awards shall be transferred to the Endowment Fund. Expenses  National PTA shall reimburse individuals fulfilling approved assignments and responsibilities in accordance with policies in affect at the time of the event.  Travel expenses for members of National Council of States to attend NCS meetings shall be paid based on current travel 6 DRAFT    policies. Travel expenses and registration fees for convention shall be paid based on current travel policies for the following:  Members of National PTA Board of Directors  Members of Nominating and Leadership Development Committee  Staff  Candidates nominated by the Nominating and Leadership Development Committee Nominees from the floor, who are elected during convention, shall be reimbursed for expenses incurred from the time elections are announced. Guest registration shall be provided to invited guests at the approval of the national president. Note: Convention Speakers’ expenses shall be addressed in the Convention Policy. Action Item – SecretaryTreasurer Job Description A motion was made and adopted to amend the Secretary-Treasurer Job Description as follows: Secretary-Treasurer Job Description          Action Item – National PTA Advisory Board Policy Be a member of a local PTA, Serve as a member of the board of directors, Serve as financial officer and secretary for the corporation, Serve as chair of the finance committee, Shall give notice of each meeting as provided for in the National PTA bylaws. Report the financial status of National PTA to the board of directors and annual convention body, Serve as chair of the endowment fund of National PTA, Perform other duties as assigned by the president or the board of directors, Actively participate in the annual giving campaign. A motion was made and adopted to adopt the National PTA Advisory Board Policy as follows: National PTA Advisory Board The National PTA Advisory Board shall be comprised of experts from leading organizations that share a commitment to children and youth. The Advisory Board shall provide an external perspective on issues referred to it by the board of directors, officers and Chief Executive Officer. 7 DRAFT The Advisory Board shall consist of the officers and Chief Executive Officer and no more than fifteen (15) members appointed by the president in odd numbered years and with approval of the Board of Directors. The President-elect shall chair the Advisory Board and shall provide a written report back to the board of directors. The Advisory Board shall meet at least once per fiscal year. Meetings may be held by conference call. Each Advisory Board member will be responsible for lodging and travel expenses. Reports (continued) Action Item – Resolution #1 Anne Thompson, chair of the Resolutions Committee, gave a committee report. A motion was made and adopted that the following resolution entitled Classroom Auditory Learning Issues be moved forward to the convention body at the 111th Annual National PTA Convention. Classroom Auditory Learning Issues Whereas, Children spend a significant portion of their school day engaged in auditory learning which relies on their brains effectively receiving incoming auditory signals from teachers and peers; and A child does not have the ability to process auditory information the same as an adult, nor is their auditory neurological network fully developed until approximately age 15; and Poor acoustical conditions in classrooms can interfere with a student’s development of spoken language, reading, writing skills and academic performance; and A significant portion of our student population has a permanent or temporary hearing problem that impairs their ability to learn and is exacerbated by poor acoustical conditions in classrooms; and An increasing percentage of our student population has additional auditory needs that put them at greater risk for learning and may contribute to an increasing achievement gap; and The integration of classroom sound enhancement technology provides greater acoustic accessibility to every student in the classroom, benefits teachers and students, and provides significant cost savings for school districts; now therefore be it Whereas, Whereas, Whereas, Whereas, Whereas, 8 DRAFT Resolved, That National PTA and its constituent organizations provide information to educate members, educators, administrators, public health officials and the public at large about the hearing needs and limitations specific to all children in a classroom setting; and be it further That the National PTA and its constituent organizations increase every child’s chance for academic success by encouraging school systems to integrate sound enhancement technology in each classroom to compensate for poor acoustics, student’s immature auditory abilities and other hearing related problems. Resolved, Action Item – Resolution #2 A motion was made and adopted that the following resolution entitled Internet and Wireless Communication Safety be moved forward to the convention body at the 111th Annual National PTA Convention. Internet and Wireless Communication Safety Whereas, Over 74% of homes in the United States have internet access and 68% of those users are now broadband (high speed internet) users, and the average teen computer usage time is 17.3 hours per month per user; and An alarming 75% of children share personal information about themselves willingly over the Internet in exchange for goods and services and 77% of youths are contacted by online predators by age 14, and 22% of children ages 10 to 13 are approached yet only 25% of our children will tell a parent about an encounter with a predator who approached or solicited sex while on the Internet; and Internet and wireless options continue to grow at an exponential rate and include email, instant messages, chat rooms, web pages, blogs, cell phones, text messages, camera phones, message boards, and internet games and voice chat abilities; and The dangers to children on the internet and wireless communications may include access to inappropriate material, solicitation by sexual predators, sexual or racial harassment, cyber stalking, cyber bullying and identity theft; therefore be it That National PTA and its constituent organizations shall work to heighten parents’ technologic awareness and skills and promote responsible and ethical use of internet, wireless and other electronic resources, and be it further 9 DRAFT Whereas, Whereas, Whereas, Resolved, Resolved, That National PTA, and its constituent organizations shall work with partners, associated organizations and governmental agencies to inform and educate students, parents, educators and communities on the dangers associated with internet, wireless and electronic communications use; and be it further That National PTA and its constituent organizations shall work to advocate for appropriate laws, policies, and regulations to assure the safety of children and youth when using the internet, wireless and other electronic communications. Resolved, Action Item – Resolution #3 A motion to forward the resolution entitled Underage Drinking to the 111th Annual National PTA Convention, as amended and shown below, was referred back to the Resolutions Committee. Underage Drinking Whereas, Alcohol is the number one drug of choice of America’s children and youth; and Underage drinking alters and kills brain cells and can adversely affect the ability to form new memories, and make decisions. Most children and youth do not realize that consuming alcohol can be harmful or fatal and (Add a section to this whereas describing the potential for alcoholism and for long term health effects such as chronic liver disease, etc.) Drinking alcohol can cause youth to injure or kill themselves or others in fire, falls, car or boating accidents or other tragedies, including suicide, that might well have been avoided if they were sober; and Drinking alcohol can cause youth to lose their inhibitions and be willing to engage in behavior they might not embrace if they were sober such as sex, violence, vandalism, date rape or other criminal behavior or drug use; and Binge drinking is a particularly dangerous form of drinking; and (Board approved that staff include statistical information on binge drinking to this whereas.) Underage drinking is associated with several schoolrelated problems such as poor attendance, lower grades, suspension and dropping out of school; and 10 DRAFT Whereas, Whereas, Whereas, Whereas, Whereas, Whereas, Reasons for the increase of underage drinking include the ease with which children and youth can obtain alcohol and the lack of consequences for youth use of alcohol on private property. The most common source of alcohol is the home. The majority of 8th graders (68%), 10th graders (85%) and 12th graders (95%) say that it is fairly easy to get alcohol; therefore be it That the National PTA and its constituent organizations encourage their members to work with local law enforcement to monitor 1) ordinances in their community which prohibit possession or consumption of alcoholic beverages by underage persons on private property and 2) laws on a local, state and federal level that prohibit the sale of alcohol to a minor; and be it further That the National PTA and its constituent organizations educate and inform their members to the signs and dangers of underage drinking through articles in PTA publications and on the National PTA website and that they encourage local and state PTAs to do the same in PTA magazines, newsletters and on websites; and be it further That the National PTA and its constituent organizations support prevention programs that provide members of the community – children and youth, parents, citizens, community leaders and teachers – with current and accurate information on all aspects of alcohol abuse; and be it further That the National PTA and its constituent organizations collaborate with organizations and agencies at the local, state and federal level, to work toward a common goal of diminishing the problem of Underage Drinking. Resolved, Resolved, Resolved, Resolved, Action Item – Resolution #4 A motion was made and adopted that the following resolution entitled Alcohol and Drugs be moved forward to the convention body at the 111th Annual National PTA Convention. Alcohol and Drugs Whereas, PTA’s commitment to the health and welfare of all children and youth is the basis for its long-time support of alcohol, drug, and other substance abuse education, treatment, and prevention efforts; and The solution to the problem of alcohol and drug abuse 11 DRAFT Whereas, requires a sustained and collaborative effort on the part of agencies and organizations at the federal, state, and local levels; therefore be it Resolved, That National PTA and its constituent organizations support and encourage prevention programs that include a parent involvement component and provide all members of the community – children and youth, parents, teachers, and community leaders – with current and accurate information on all aspects of alcohol and other drug abuse including prescription, non-prescription (over-the-counter), illegal drugs, inhalants, and alcohol; That National PTA and its constituent organizations support and encourage recreation and education programs that offer alternatives to alcohol and other drug abuse for children and youth, and support the inclusion of alcohol and other drug abuse education in comprehensive school health programs; That National PTA and its constituent organizations support non-punitive access to comprehensive care for substance abusers and services for children who have been exposed to illicit drugs; That National PTA and its constituent organizations support and encourage programs whereby parents pledge that they will not allow parties or gatherings in their home when they are not there, will not serve, nor allow youth under the legal drinking age to consume, alcohol in their home or on their property, and will not allow the use of illegal drugs in their home or on their property; and be it further That National PTA and its constituent organizations condemn and will work to eliminate the advertising of all alcoholic beverages, particularly in movies, on television, and in magazines, where children and youth are reasonably expected to be a substantial part of the audience or which associates alcoholic beverages with health, recreational activities, prestige, success, and sexuality; That National PTA and its constituent organizations call for the responsible advertising of alcohol, prescription and non-prescription drugs and herbal supplements, including federal legislation requiring labels specifying the alcohol content of all products containing alcohol, including beer, malt beverages and wine coolers; That National PTA and its constituent organizations urge those in the movie and television industry to eliminate unnecessary scenes depicting drinking of alcoholic beverages when not related to the story line; and be it 12 DRAFT 2. 3. 4. Resolved, 2. 3. further Resolved, That National PTA and its constituent organizations will work with law enforcement to monitor and enforce local, state and federal ordinances which prohibit the purchase, possession, or consumption of alcoholic beverages by underage persons; That National PTA and its constituent organizations support a designation of 21 as the minimum level drinking-age; That National PTA and its constituent organizations support strict enforcement of drunk driving laws and the passage of more stringent laws that would remove from the road drivers under the influence of alcohol or other drugs; That National PTA and its constituent organizations support zero tolerance for any blood alcohol level for drivers under age 21; That National PTA and its constituent organizations oppose the legalization of marijuana but does not take any position for or against the medical use of marijuana; and be it further That National PTA and its constituent organizations support research that provides the scientific basis for the development of effective educational, rehabilitative, and legal programs in this arena; and be it further That National PTA and its constituent organizations support taxes on alcohol and tobacco products, using the revenues for preventive health, education, and other child-related programs; and be it further That National PTA and its constituent organizations will collaborate with organizations, agencies, educators, parents and students, at the federal, state and local levels, to work toward a common goal of eradicating the problem of alcohol and other drug abuse. 2. 3. 4. 5. Resolved, Resolved, Resolved, The board of directors, by general consent, moved the rescinding of the 45 resolutions/position statements in appendix #8 be moved forward to the convention body at the 111th National PTA Convention if the convention body adopts the resolution entitled Alcohol and Drugs. Without objection, the Resolutions Committee was given permission to submit the resolutions to the editorial staff for review and for necessary changes, without changing the intent of the resolutions. 13 DRAFT Action Item – Rescissions Reports (continued) Action Item – Strategic Plan Executive Session Adjournment of Executive Session Reconvene Board Members’ Comments Adjournment A motion was made and adopted that the list of resolutions and position statements in appendix #9 be moved forward to the convention body at the 111th Annual National PTA Convention for rescinding. Sue Gatton, chair of the Convention-General Arrangements Committee and Jan Domene, chair of the Strategic Planning Committee, gave committee reports. A motion was made and adopted to adopt the proposed Strategic Plan for the National PTA. Without objection, the chair declared the meeting of the Board of Directors in executive session at 1:31p.m. The executive session was convened to discuss the Chief Executive Officer Review Committee’s report and the Chief Executive Officer Job Description. The executive session was adjourned at 2:20 p.m. The Board of Directors meeting was reconvened at 2:25 p.m. Each board member shared his/her comments with the other members.
