									        Constitution of the Computer Game Developers Club
               At The University of Texas at Arlington
                              Updated as of September 15, 2005




Article I: Name and Object
        1. The name of this organization shall be Computer Game Developers Club,
           GDC, and a society for those interested in developing computer & electronic
           games.
        2. The Computer Game Developers Club, hereafter referred to as "GDC", shall
           be governed by this Constitution and any amendments or bylaws accepted by
           a 60% majority of the active members of the Club.


Article II: Purpose
        1. The purpose of the GDC shall be the encouragement of initiative and
            creativity in the field of computer & electronic game development and design.



Article III: Membership
        1. This Club shall consist of members. A member is a student who has requested
           member status from the Executive Council (EC).
        2. The membership of the Club shall be made up of those UT Arlington students
           interested in the field of computer & electronic game development.
        3. Eligibility for membership shall not be restricted according to race, creed,
           color, sex, national origins, disability, age, veteran status, sexual orientation,
           course major, or classification.
        4. An individual is considered to be an active member if he/she has been present
           to at least 50% of the total announced official Club meetings or official
           activities held up to the point of consideration in the particular semester or has
           registered their desire to attend with an EC member. In the case that the time
           of joining is in the same semester as the particular semester, the time of
           consideration is from the beginning of his/her membership. Active members
           must be present in person at at least two meetings or activities during a long
           semester.
        5. Inactive members of this Club shall consist of all those members not otherwise
           considered active.
        6. The maximum number of members shall not be limited.

Article IV: Executive Council (EC) and Elections of the EC
   1) The Executive Council of the GDC shall consist of active club members elected
       by other active club members. The Executive Council (hereafter referred to as
       EC) shall comprise of ten percent of the active members, but no less than
       minimum number of individuals as stated below. Any active member is eligible to
       be on the EC. And any EC member is eligible to run for a higher EC position.

       The Minimum number of individuals as of September 12, 2005 is three. This
       represents one person for each of the Official Officer positions described in the
       next section (Article IV section 2).

   2) The EC will be organized into an Official Officer and Non-Official Officer
      arrangement. The EC has in its current state the following Official Officer
      positions referred to with the following titles:
          a) President of the GDC
          b) Vice-President of the GDC
          c) Secretary of the GDC
      Non-Official Officers will be referred to with the following title:
          d) GDC Leads or Leader or lead
      New Official Officer positions may be added if and when the need arises. All
      other elected EC members are considered as Non-Official Officers of the EC, who
      help to make decisions and carry out work that relates to the GDC.

   3) The official duties of the President of the GDC are as follows:
         a) Maintain order over the ‘council & official’ meetings or assign someone
             to do so if he/she (the President) cannot be present for the meeting.
         b) Be the official voice of the GDC in the eyes of the University or where the
             need arises.
         c) Assign new responsibilities to EC positions if and when the need arises.
         d) Meet with new members and introduce them to the club.
         e) Maintain a fluid relationship with the Club Advisors and keep them
             informed of club directions and activities.
         f) Maintain a fluid relationship with the UTA Office of Student Governance
             and Organizations.
         g) Should attend or assign another officer to attend Joint Council of
             Engineering Organizations.

   4) The official duties of the Vice President of the GDC are as follows:
         a) Backup the President of the GDC when he/she needs help.
         b) Be Responsible for setting up the meeting times.
         c) Be Responsible for room reservations for the meetings.
         d) Be Responsible for sending out GDC event emails.

   5) The official duties of the Secretary of the GDC are as follows:
         a) Maintain and Manage a complete list of Active Members.
         b) Maintain and Manage the meetings ‘sign-in’ sheets.
         c) Maintain and Manage the ‘Minutes’ of the meetings.

   6) The official duties of Non-Official Officer EC members are as follows:
         a) Help Maintain the integrity of all the Official Officer positions.
         b) Help the other EC Officers with any GDC work that they request help on.

   7) The overall official duties of All EC members (including Official Officers and
      Non-Official Officers) are as follows:
         a) Maintain the integrity of the GDC.
         b) Help to spread the word of the GDC.
         c) They must compose themselves in a mature and respectable manner when
            representing the GDC.
         d) Support the General Growth of game programming and design knowledge
            of the GDC.
         e) Make sure that EC members are not abusing the rights as EC members.
         f) Make sure that EC members are doing all their duties as EC members.
         g) Maintain the rules of the GDC Constitution.


Article IV (b): GDC Election Rules and Term Lengths
   8) Elections for the EC shall occur at least once per semester and as needed
       depending upon the size of the club. Elections will be held for only the fall and
       spring semesters, as the club is inactive in the summer semesters. (Read below for
       the times of elections)

   9) EC positions have variable term lengths based on the following descriptions.
      Once elected to a position that person holds that position until the next voting
      time for that position.
         a) The EC President’s term will last for two major semesters (fall and spring)
             starting in the beginning of the fall semester.
         b) Elections for President will take place at the end of spring semesters
             within 2-3 weeks of finals week.
         c) The EC Vice-President’s term will last two major semesters (spring and
             fall) starting in the beginning of the spring semester.
         d) Elections for Vice-President will take place at the end of the fall semester
             within 2-3 weeks of finals week.

       With the above rules we have term offsets for the President and Vice-President.
       This helps to keep things running in the GDC as one of the current Office holders
       will be able to help get the newer officer up to speed with the rules of the office.
       The 2-3 week time before the end of the election semester will allow the old
       officer holder to train the new office holder on how to do there job.

           e) The EC Secretary’s term will last one semester.
           f) Elections for Secretary will take place at the end of every fall and spring
              semester within 2-3 weeks of finals week. (For train time as listed above)
           g) The EC non-official officers or Leads term will last one semester.
           h) Elections for Leads will occur within two weeks from the beginning of a
              given semester based upon the new active members count or as the need

          arises within a given semester due to growth in the active member
          numbers
       i) If the GDC membership numbers increase then a new non-official Officer
          slot is created and then elections will be held at that time. This new term
          ends at the end of the given (current) semester.
       j) If the GDC membership numbers decrease and the requirements for non-
          official Officer slots decrease the person holding that slot will not be
          removed from the EC, instead at the beginning of the new semester the
          slot will be dissolved when the new number of required slots are
          calculated.


10) The following rules explain what happens if a person leaves the EC, and there
    office opens up for re-election.

       a) If the President of the EC leaves office for whatever reason then the vice-
          president will take over the responsibilities of the position until a new
          President can be elected. The newly elected President’s term will end
          when the next official voting of the president office takes place at the end
          of a spring semester.
       b) If the Vice-President leaves office for whatever reason then the
          responsibilities will fall to the Secretary and/or President until a Vice-
          President can be elected. The newly elected Vice-President’s term will end
          when the next official voting of the vice president office takes place at the
          end of a fall semester.
       c) If the Secretary leaves office for whatever reason then the responsibilities
          will fall to the Vice-President and/or President until a new Secretary can
          be elected. The newly elected Secretary’s term will end at the end of the
          given (current) semester.
       d) If a Non-Official Officer leaves office, then only if there are is still enough
          GDC numbers to warrant the ‘slot’ on the EC, a new election will be held
          to fill the slot.

11) Campaigning for an EC member position may take place any time during the
    semester as long as no foul language or demeaning actions are taken. If a member
    is running for office and is deemed to have broken these rules then a Faculty
    Advisor will be asked to rule in one of the following three notions:
                 i. ‘This member has not broken the rules of campaigning’
                ii. ‘This member is on the boarder of breaking the rules of
                    campaigning and a warning shall be issued’
               iii. ‘This member has broken the rules of campaigning’
    Upon a guilty verdict they are disqualified from the elections for the given
    semester. If a campaigning member gets two warnings in the same semester it acts
    as a guilty verdict and thus are disqualified from the elections for the given
    semester.
    Extreme violations of moral conduct such as to violate UTA policy will result in
    disciplinary measures through the University.

Article V: Meetings
        1. There are four types of meetings or activities (further more referred to as just
           meetings): Council Meetings, Official Club Meetings/activities, and general
           meetings/activities, and Special meetings.
        2. Council meetings need to take place at least once every month, unless agreed
           upon otherwise by the EC. Council meetings are required for all EC members.
           Only members on the EC should attend Council meetings, as they are a place
           for the EC to discuss the agenda for the GDC.
        3. Official Meetings shall take place at least once every month, unless agreed
           upon otherwise by the EC. Any members that wish to maintain active
           membership are required to attend 50% of the Official meetings.
        4. General meetings shall take place at any time the club agrees to meet. General
           meetings do not affect active membership and thus are not required by any
           member. General meetings are a place where gaming ideas and lessons can be
           exchanged, they are a forum for Game design Growth.
        5. Special meetings may be called by the Faculty Advisors, the Executive
           Council, or by a special request approved by 33 1/3 % of the active members
           of the GDC. Special meetings count towards active membership if the special
           meeting is given the label ‘Official Special Meeting’, or generally expresses
           that it will count toward active membership.
        6. A quorum shall consist of 33 1/3% of the active members of the GDC in the
           conduct of the business of the Club, except for the election of Executive
           Council members, at which 60% of the active members of the Club must be
           present.


Article VI: Rules and Regulations
        1. This Club will function in accordance with all University rules and
           regulations.


Article VII: Ratification and Amendment
        1. This Constitution shall become effective immediately upon ratification, and
           remain in effect until amended.
        2. Any member of the Club at an Official or Special meeting may propose
           amendments to this Constitution. The proposed amendment shall be discussed
           and a vote for further discussion shall be taken; a simple majority of the
           members present shall determine that consideration. On approval, the
           proposed amendment shall be formally framed by the Executive Council.
        3. A 60% favorable vote by active members shall be required for ratification of
           each amendment.
        4. The amendment shall become effective immediately upon announcement of
           the results of the ratification election.

Article VIII: Procedure of Meetings
        1. Meetings will be held as scheduled during the spring and fall semesters as
           stated previously.
        2. The order of conduct of a regular meeting shall be as follows:
                a.   Call to order
                b.   Roll call
                c.   Reading of minutes
                d.   Committee reports
                e.   Unfinished business
                f.   New business
                g.   Adjournment


Article IX: Cost of Membership
        1. There is no cost of membership.


Article X: Alumni List
   1) When an active member graduates from the University they can be, upon request,
       put into the Alumni list. They may request this at any time after graduation.
   2) The Alumni list is to help inspire a tradition of remembering the people who came
       before, and their contributions.
   3) Alumni are freely approved to come back and visit with the GDC.
   4) Along with there names the list will contain all the EC positions they held and any
       other respectable achievements that the contributed to the GDC.



Article XI: Honorary Members List
   1) The EC has with the approval of 60% of the current active members to give (or if
       the need arises remove) a status of Honorary Member to any individual outside of
       the University that the GDC recognizes as a friend or helpful to the GDC.
   2) An Honorary Members list shall be maintained.
