                      Employee Stock Purchase Plan for 2010

We are pleased to announce that we will offer our Employee Stock Purchase Plan (ESPP)
again for calendar year 2010. The effective date of this offering is January 4, 2010. This Plan
allows you the opportunity to purchase Common Stock of the Company at a discount through
convenient payroll deductions.

To be eligible to participate in this Plan, you must be scheduled to work at least twenty (20)
hours per week and have six (6) months of consecutive service as of January 4, 2010.

The money that you elect to have deducted from your payroll checks will be used to purchase
shares of stock at the end of each calendar quarter. These shares will be purchased at the
lower of:
   1) 85% of the fair market value of a share of Common Stock on the Offering Date,
      January 4, 2010;
   2) 85% of the fair market value of a share of Common Stock on the Exercise Date, the date
      the shares are purchased at the end of the quarter.

If you are eligible and wish to participate in this Plan, you must complete your enrollment using
E*TRADE. Instructions on how to enroll in the ESPP are enclosed.
By completing your online election, you:
     1) Authorize the Payroll Department to deduct money from your payroll check.
     2) Designate the percentage of your gross pay that you want deducted.

If you are a participant in this plan for the 2009 calendar year, and you want to participate
in the 2010 calendar year, you must enroll for 2010. Your 2009 enrollment does not carry
over into the 2010 calendar year.

Participation in this Plan is completely voluntary. If you elect not to participate in this Plan at
this time, you must wait until the 2011 calendar year.

Open enrollment for the 2010 ESPP begins on Monday, October 26, 2009 and ends Friday,
December 11, 2009.
