       Covenant not to sue executed on the (date), between (Name of
Covenantor) of (street address, city, state, zip code), referred to herein as
Covenantor, and (Name of Covenantee), of (street address, city, state, zip code),
referred to herein as Covenantee.

      For and in consideration of $____________ paid to Covenantor by
Covenantee, and the mutual covenants contained in this Agreement, and other
good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged, the parties agree as follows:

1.     Covenant Not to Sue
       Covenantor will never institute any action or suit at law or in equity against
Covenantee, nor institute, prosecute or in any way aid in the institution or
prosecution of any claim, demand, action, or cause of action for damages, costs,
loss of services, expenses, or compensation for or on account of any damage,
loss or injury either to person or property, or both, whether developed or
undeveloped, resulting or to result, known or unknown, past, present or future,
arising out of (describe incident or event).

        It is understood by covenantor that the payment made under this covenant
