WHEREAS, the Yonkers Parking Authority must maintain its facilities and regulate

310 Saw Mill River Road

WHEREAS, the Yonkers Parking Authority is mandated to comply with the New York State
Department of Environmental Conservation’s (DEC) Record of Decision (ROD), incorporated
by reference, for Site No. B00179-3, dated March 2008, for the site identified as 310 Saw Mill
River Road, Yonkers, NY (Section 2, Block 2359, Lots 11 and 13), and;

WHEREAS, the Interim Remedial Measures (IRM) as listed in the Record of Decision (ROD),
for Site No. B00179-3, states within Section 6: Summary of the Remediation Goals, Selected
Remedy, and the Proposed Use of the Site, “The property owner would provide a periodic
certification of institutional and engineering controls, prepared and submitted by a professional
engineer or such other expert acceptable to the Department, until the Department notifies the
property owner in writing that this certification is no longer needed.”

WHEREUPON, a Department of Environmental Conservation (DEC) Record of Decision
(ROD) is issued immediate compliance is typically expected; and,

WHEREAS, in compliance with said Record of Decision (ROD), the Yonkers Parking Authority
is required to monitor the site at 310 Saw Mill River Road once a year, for five years; and,

WHEREAS, HDR has provided engineering and science services in a satisfactory manner to the
Yonkers Parking Authority in the past related to the 310 Saw Mill River Road site, and;

WHEREAS, Attachment #4, incorporated by reference, the proposal by Henningson, Durham &
Richardson Architecture and Engineering, P.C., hereinafter known as HDR, of 711 Westchester
Avenue, White Plains, NY 10604, dated August 2002 (See attached YPA Resolution No. 13-
2002: Award Contract for Environmental Restoration Project Concerning RFP 2002-04)
summarizes
additional requested engineering and science services related to the Site, and;

WHEREAS, HDR’s scope of work, included in Attachment A, which was not covered in the
August 2002 proposal and supplemental amendments, consists of the following tasks:

Estimated Costs per Task

Task 1: Preparation of Site Management Plan for the Site ($13,050)

Task 2: Year 1 of on-Site Groundwater Monitoring ($16,000 of which $4,730 are laboratory
fees), including:
    o Sampling of the existing five (5) groundwater monitoring wells on Site;
    o Analysis of five (5) unfiltered groundwater samples (one from each well); Please see
         proposed modified parameters list in Attachment A; and,
    o Preparation and submittal to the NYSDEC of an Annual Groundwater Monitoring
         Report.

Task 3: Year 2 of on-Site Groundwater Monitoring ($16,720 of which $4,970 are laboratory
fees), including:
    o Sampling of the existing five (5) groundwater monitoring wells on Site;
    o Analysis of five (5) unfiltered groundwater samples (one from each well); Please see
         proposed modified parameters list in Attachment A; and,
    o Preparation and submittal to the NYSDEC of an Annual Groundwater Monitoring
         Report.

This Scope and budget is based on a modified parameters list for Year 1 and Year 2 of
groundwater sampling. HDR proposes analysis of Hydrogen as a natural attenuation parameter
not to be performed during these two years of groundwater sampling. If the sampling data
obtained during these first two years of groundwater sampling appears that anaerobic conditions
exist at the site, the sampling and analysis for Hydrogen (which is a complex procedure) can be
performed during one or more of the remaining three (3) years of required groundwater
sampling.

HDR’s estimated fee for this additional Scope is $45,770 (of which approximately $9,700 are
laboratory fees). However, HDR has $7,427 in YPA approved fees remaining. Therefore, HDR
requests approval of an additional $38,343 for completion of this additional Scope. In addition,
the remaining amount in the State Assistance Contract (SAC) for the Site is approximately
$25,437. Therefore, it should be noted that approximately $15,756 of the total additional Scope
fee ($45,770) will not be available for reimbursement from the NYSDEC, assuming a
reimbursement percentage of 90%.
It should be noted that HDR will, at request, provide an additional Scope and budget for the
remaining three (3) years required by the New York State Department of Environmental
Conservation (DEC) for groundwater monitoring (A total of five (5) years is required per the
ROD).

HDR will bill the YPA on a time and materials basis at the applicable 2009 and 2010 billing
rates and field equipment daily rates.

WHEREAS, the Yonkers Parking Authority has reviewed the existing by-laws and;

WHEREAS, these by-laws were last revised on November 25, 2008 under Resolution 2008-13;

WHEREAS, an amendment to the current procurement policy outlined in the existing by-laws
Article V:section1a is required in order to promote better pricing for the purchase of
commodities and services needed by the Authority;

WHEREAS, the attached revised procurement policy outlines the steps needed for the purchase
of commodities and services;

Procurement Procedures


Effective February 23, 2009 the following procedures are required for any purchasing of items
and/or services:

1) A Requisition form must be filled out with details of the items/services by the employee and
          signed by the Supervisor before it is submitted.

2) Scott processes the requisition by securing

       a) a minimum of 3 verbal or written quotes for any purchase of items/services
        totaling under $1,000.00 on an annual period.

       b) a minimum of 3 written quotes for any purchase of items/services totaling
         over $1,000.00 in an annual period.

       c) If the total annual cost is over $10,000, it is placed for publicized bidding

State, City and County Procurement Systems are constantly checked to see if the items needed
are on any of the municipal contracts in which case no additional quotes are needed (although
recommended for lower pricing). In emergency circumstances where items or services are
needed at once to prevent harm or further damage to the YPA interests, an immediate purchase
without standard procedures may authorized by the Executive Director and CFO

3) Scott submits the requisition to the Deputy Director/CFO with backup documentation.

    a) If the total annual cost is under $10,000, the Deputy Director/CFO checks
     the quotes and awards the purchase to the lowest qualified bidder.

    b) If the total annual cost exceeds $10,000, the quotes received from the
         publicized bidding are then reviewed and submitted to the board for
         contract award.

4) Scott then proceeds by processing a Purchase Order with the awarded vendor.

Morris Street parking facility, which will expire on March 31, 2014;

                           REVOCABLE LICENSE AGREEMENT


This LICENSE AGREEMENT (the “License”) is made effective as of the 1st day of May 2009
by and between The Yonkers Parking Authority (“YPA”) and Core Contracting of NY, LLC
("Licensee") (collectively referred to at times as the "Parties')

                                            RECITALS

WHEREAS, the YPA owns and operates a certain facility known as Chicken Island/Getty
Square Parking Facility located at Nepperhan Ave & School Street Yonkers, NY (the
“Premises");

WHEREAS, the Licensee desires to use and occupy a portion of the premises (as more
particularly described on Exhibit A attached hereto) in order to provide storage and parking for
construction projects within the City of Yonkers, and;

WHEREAS, the YPA has agreed to assist the Licensee in its need for storage and parking within
the City of Yonkers, and;

NOW THEREFORE, in consideration of the mutual promises and benefits flowing to each of the
Parties hereto, YPA and Licensee agree to the following:

COVENANTS

       1. The Recitals to this License are incorporated herein by reference.

        2. In exchange for the payment of a license fee of three thousand seven hundred
($3,700.00) dollars per month for a total sum of forty four thousand four hundred ($44,400)
dollars for a one year term, the obligations undertaken by the Licensee under this License and
other good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged, the YPA hereby grants to Licensee an exclusive, limited, non-assignable license
to enter and to use that portion of the Premises as delineated on Exhibit A attached hereto, for the
sole purpose of a storage and parking area for equipment, vehicles and materials used in a
construction project within the City of Yonkers. Further, Licensor must receive the full amount
of monthly rent by the fifth of each month. A late fee of five (5%) percent will be imposed on
rents received after the fifth of each month for each respective month that is in arrears. Failure to
comply with this provision may result in the immediate revocation of this agreement.

       3. The Licensee acknowledges and agrees that this License is not intended, and shall not
be construed to grant Licensee a leasehold interest, or any other real property interest in the
Premises. The Licensee agrees that the YPA shall have the right to mark as "reserved" such
number of spaces as is needed by the YPA, its employees, agents and invitees and that such
designated areas are not part of, nor subject to this License.


       4. The term of this License shall be for one (1) year and shall terminate on April 30,
2010. The Licensee further acknowledges that this License may be terminated by the YPA for
cause or for its convenience upon ninety (90) days written notice to Licensee. In the event that
Licensee fails to fully comply with the terms of this License, upon written notice of default by
YPA, Licensee shall have five (5) days to cure such default, and failing to do so to the
satisfaction of YPA, Licensee will within ten (10) days of the notice of default, cease using the
Premises. In the event of such a termination, the Licensee shall, immediately, remove any and all
property, materials or equipment that the Licensee has brought onto the Premises, have any
automobiles parked on the Premises removed or towed, and restore or commence efforts to
restore the Premises to its condition at the commencement of this License. Notwithstanding
YPA’s right to terminate, Licensee agrees that it shall fully vacate the Premises upon
termination, and any cost or expense incurred by YPA if the Premises are not fully vacated
(including attorney's fees and costs) shall be paid by Licensee. All materials must be covered
appropriately to the satisfaction of the YPA.

        5. Throughout the term of this License, the Licensee shall, at Licensee's expense, obtain
and maintain in force a policy of commercial general liability insurance in the name of Licensee
as insured but naming the City of Yonkers, and the Yonkers Parking Authority as additional
insured’s. Such insurance shall be written on an occurrence basis with combined single limits for
any one injury, including death, and for property damage of not less than $ 1,000,000 per
occurrence and $5,000,000 in the aggregate. The policy shall also include an endorsement
providing that the policy cannot be cancelled or allowed to lapse without thirty (30) days prior
written notice being provided to the YPA. The policy shall be issued by a company authorized to
transact business in New York and Licensee shall not have the right to access or use of the
Premises until a full copy of such policy has been provided to, and approved of by the YPA.

        6. The Licensee acknowledges and agrees that the Premises are the site of a proposed
redevelopment project within the downtown area of the City of Yonkers. Such project is
projected to break ground within the one year term of this license; if the YPA chooses to clear
the premises, another facility will be allocated for use during the balance of the term of the
license, at the discretion of the YPA. In such case the licensee shall be notified at least thirty (30)
days prior to the required move. Any costs associated with the move shall be paid by the
licensee.

       7. Licensee acknowledges that the YPA and its employees, agents, representatives
independent contractors, other licensees and invitees (including, but not limited to, the City of
Yonkers and its employees, agents, representatives, and contractors) shall have unrestricted and
unlimited access to the Premises during the term hereof.

       8. The Licensee shall be responsible for any and all damages to the Premises caused by
the Licensee or its invitees, including the public or any other third parties using the Premises for
parking, and shall reimburse the YPA for the cost of any repairs required.

        9. For the period commencing upon the date that Licensee first took possession of the
Premises and at all times after the date of this License, the Licensee agrees that it shall, to the
fullest extent permitted by law, indemnify defend and hold YPA, its employees, agents,
representatives, independent contractors, other licensees and invitees harmless, against any and
all claims, demands, debts, causes of action, liabilities, losses, damages, costs, expenses
(including actual attorney's fees), penalties, fines or judgments (collectively referred to as
"Claims'') resulting from or arising out of the Licensee’s use of the Premises, or breach of any
obligation contained in the Agreement including but not limited to Claims involving death,
bodily injury, sickness or disease to persons, or damage or destruction to or loss of use of
property.

       10. This License shall be construed and enforced in accordance with the laws of the State
of New York.

         11. Any notices required or permitted under this License shall be delivered to the Parties
at the following addresses:

 agreement between the parties, supersedes any and all prior negotiations, representations or
 warranties, whether written or oral, and may be amended only in a writing signed by the Parties.

       Wherever in this Rider the terms, covenants and provisions contained herein shall be at

         13. Commencing June 1, 2009, the payment of a license fee shall increase to Five
Thousand Five Hundred Dollars ($5,500.00) per month to the total sum of Sixty Four Thousand
Two Hundred Dollars ($64,200) for a one year term, the obligations undertaken by the Licensee
under this License and other good and valuable consideration, the receipt and sufficiency of
which is hereby acknowledged, the YPA hereby grants to Licensee an exclusive, limited, non-
assignable license to enter and to use that portion of the Premises as delineated on Exhibit B
attached hereto, for the sole purpose of a storage and parking area for equipment, vehicles and
materials used in a construction project within the City of Yonkers. Further, Licensor must
receive the full amount of monthly rent by the fifth of each month. A late fee of five (5%)
percent will be imposed on rents received after the fifth of each month for each respective month
that is in arrears. Failure to comply with this provision may result in the immediate revocation of
this agreement.

         14. No additional vehicles or equipment shall be placed beyond the designated area as
illustrated on Exhibit B, at any time. Construction Crew may however purchase parking permits
to the Getty Square Lot at a cost of Fifty-Nine Dollars ($59) a month. If for any reason,
additional space is needed outside the designated area; the licensee is required to request
permission from YPA one day in advance. If authorized, the licensee will also be required to pay
Twenty Dollars ($20) per day per each space directly or indirectly obstructed.

        15. Licensee is hereby notified that the said premises are directly supporting a flume
underneath and are hereby cautioned as recommended by the City of Yonkers Engineer, to
refrain from placing any materials and heavy equipment over the flume. The City of Yonkers
will assist in marking the area directly over the flume. For the period commencing upon the date
that Licensee first took possession of the Premises and at all times after the date of this License,
the Licensee agrees that it shall, to the fullest extent permitted by law, indemnify, defend, and
hold the YPA and the City of Yonkers, its employees, agents, representatives, independent
contractors, other licensees and invitees harmless, against any and all claims, demands, debts,
causes of action, liabilities, losses, damages, costs, expenses (including actual attorney's fees),
penalties, fines or judgments (collectively referred to as "Claims'') resulting from or arising out
of the Licensee’s use of the Premises, or breach of any obligation contained in the Agreement
including but not limited to Claims involving death, bodily injury, sickness or disease to persons,
or damage or destruction to or loss of use of property.

        16. In the event there is any conflict or inconsistency between the printed portion of this
lease and this rider with separate paragraphs contained herein, then all conflicts or
inconsistencies shall be determined in favor of and controlled by those paragraphs contained in
said rider.
        17. It is expressly agreed that this lease and the terms provided herein are subject to, and
are not binding upon the YPA until the City of Yonkers Parking Authority Board approves and
authorizes the execution of this lease.

CDC Incorporated Inc, has been assumed by Garda CL Atlantic, Inc., and;

WHEREAS, said agreement was originally executed as of April 6, 2005, for one year, to expire
on April 5, 2006, and renewable on an annual basis, and;

WHEREAS, The Authority has a banking relationship with Citibank, and;

WHEREAS, Garda CL Atlantic, Inc. has exclusive contractual rights to operate Citibank’s cash
processing hub in Long Island City, New York, and;

WHEREAS, the terms of the existing service agreement have been re-negotiated reflecting a
thirty-nine (39%) percent discount savings to the Authority, and;

WHEREAS, Garda CL Atlantic, Inc. has agreed to provide armored transportation and cash
services, for an additional three (3) year term commencing July 1, 2009 and ending on July 1,
2012, and;

WHEREAS, the agreement shall automatically renew after the said three (3) year term unless
cancelled by a thirty (30) day written notice by either party, and;

WHEREAS; a three (3) year service agreement as set forth in Attachment A hereto, and which is
incorporated by reference has been reached by and between the Authority and Garda CL
Atlantic, Inc. as of July 1, 2009, and ending July 1, 2012, and;
