KNOWN TO ALL MEN BY THESE PRESENTS:

That company name, hereinafter referred to as the Company with office address at
company address represented herein by company representative in his capacity as
position in the company do hereby name, constitute and appoint and by these presents has
named, constituted and appointed KOOKIES INTERNATIONAL RECRUITMENT
AGENCY, INC. – a company duly organized and existing under and by virtue of the
laws of the Republic of the Philippines with office address at PENTHOUSE, LSD
BUILDING, 2058 LIGAYA STREET, STA. MESA, MANILA, PHILIPPINES
represented in this act by MR. ARMANDO J. ZOLETA, in his capacity as
PRESIDENT, to be its true and lawful Attorney-in-Fact, and in its name, place and for
its use and benefits for the purpose of advertising, selecting and recruiting
candidates/potential employees for the Company and in this connection to do and
perform the following acts and things namely:

       1.      To represent company name before any and all government and private
               office/agencies in the Philippines.

       2.      To enter into any and all contracts with any person, corporation, institution
               or entity in a joint venture or as a partner in the recruitment, hiring and
               placement of Filipino contract workers for overseas employment where
               authorized in writing by the foreign principal;

       3.      To sign, authenticate all documents necessary to complete any transactions
               related to such recruitment and hiring, including making the necessary
               steps to facilitate the departure of recruited workers;

       4.      To bring suit, defend and enter into compromises in my name and stead in
               litigation brought for or against company name in all matters involving the
               employment of Filipino contract worker for company name.

       5.      To assume jointly and severally with the undersigned any liability that
               may arise in connection with the workers recruitment and/or
               implementation of the employment contract and other terms and
               conditions of the appointment as defined and spelled out in the attached
               agreement which have previously executed;

HEBEBY GRANTING unto said representative full power and authority to execute or
perform whatsoever is requisite or proper to be done in and about the premises as fully to
all intents and purposes as I might or could lawfully do if personally present with power
of substitution and revocation and hereby ratifying and confirming all the said legal
representative or her substitute shall lawfully do or cause to be done under and by virtue
of these presents.

appeared company representative in his capacity as position in the company exhibiting
