Dear Prospective Applicant:

Thank you for your interest in joining the exciting and ongoing business revolution occurring at Phoenix-
Mesa Gateway Airport. Our continuing goal is to serve as the business and transportation epicenter for
development and job growth for our entire East Phoenix Valley community, and we are pleased you are
exploring the possibility of lending your voice and efforts to contributing to that goal.

Attached is an Agreement Application that serves as the starting point for all negotiations leading to the
leasing of airport property, or to gaining formal authorization from the Williams Gateway Airport Authority
to conduct business on or at the Airport. This Application serves as your introduction to us, so please
include all requested information so we will have a clear understanding of you, your company, the type of
business or aeronautical activity you would like to conduct at or on the Airport and how you believe your
planned activities can or will contribute to the achievement of the continuing goal mentioned above.

Upon receipt, your completed Application will be reviewed for completeness, references will be checked and
a preliminary determination made regarding whether or not your planned activities would be in compliance
with our Airport Minimum Standards and other pertinent regulatory requirements. Thereafter, you will be
contacted to begin appropriate Agreement deliberations, or advised of any potential deficiencies that may
have been noted. Generally, the entire process, from Application receipt to final Agreement, can take several
weeks to several months, depending upon the scope and complexity of your request, and whether or not any
resulting Agreement requires advance approval by our Airport Authority Board.

Throughout this entire Application and Agreement development process, your point of contact for service

              AIRPORT AUTHORITY AGREEMENT APPLICATION

Please use this application to request to lease property (land or facilities) or establish commercial operating rights at Phoenix-Mesa Gateway
Airport. Please complete all sections with the appropriate information; mark “NA” if a particular section does not apply.

SECTION I – TYPE OF AGREEMENT DESIRED

A. Introduction. The type of Agreement you should seek will be predicated on both the nature of your
proposed business activities at or on the Airport, and any requirements you may have to rent or develop
facilities on Airport property. For example, if your proposed activity would require you to occupy an Airport-
owned office or build a new facility on Airport land (in accordance with the Airport Minimum Standards), a
Property Lease Agreement would be necessary. Similarly, if your proposed activity only requires access to
Airport property and no specific dedicated building space or land area to do so, either an Operation
Agreement or License Agreement would be appropriate, with the former generally pertaining to “commercial
aeronautical use” activities and the latter to those considered non-aeronautical. Operation Agreements also
relate directly to the Airport Minimum Standards, and to requirements to lease or rent appropriate facilities on-
Airport that are not owned by the Airport Authority as a prerequisite to Agreement conclusion.

B. Agreement Descriptions. Please review the following descriptions of the three (3) available Agreement
options. Thereafter, please check the block next to the Agreement type specified in the subsequent
Agreement Selection section of this application that will best meet your needs.

SECTION I – TYPE OF AGREEMENT DESIRED (continued)


Property Lease Agreement:      This type of Agreement is required of all private and business entities
                               desiring to lease “property” on the Airport, including land for the
                               construction of agreed improvements and/or facility space within Airport
                               Authority-owned and -operated buildings. This Agreement defines the
                               permitted uses of the property and formalizes a Lessee’s compliance with
                               all provisions contained within these Agreements, including the Airport
                               Rules and Regulations and, if a commercial aeronautical service provider, the
                               Airport Minimum Standards. Property Lease Agreement holders are required
                               to pay rent and other fees to the Airport Authority, as specified by the
                               Agreement. These Agreements can have varied term lengths that range
                               from month-to-month to twenty-five years or more, depending upon if,
                               and to what extent, improvements are contributed as part of the
                               Agreement.


Operation Agreement:           This type of Agreement is required of all commercial aeronautical service
                               providers that operate aircraft, use Airport runways and taxiways in the
                               course of conducting routine business operations at the Airport and do not
                               possess or are not eligible for a Property Lease or License Agreement. As
                               specified by the Airport Minimum Standards, eligibility for an Operation
                               Agreement is predicated on the applicant leasing or renting suitable, non-
                               Airport Authority owned or operated, business facilities on the Airport.
                               Like Property Lease Agreements, Operation Agreements formalize business
                               compliance with the Airport Rules and Regulations and, as appropriate, the
                               Airport Minimum Standards. Operation Agreement holders are required to
                               pay applicable fees to the Airport Authority for use of Airport facilities and
                               services, as specified in the current Airport Rates and Charges listing,
                               and/or as specified within their Operation Agreement. These Agreements
                               usually have a term of one year and may offer provisions for additional one-
                               year extensions upon mutual agreement of the Airport Authority and
                               Agreement holder.


License Agreement:             This type of Agreement is required of all commercial businesses operating
                               at the Airport or deriving business income from Airport sources that do not
                               possess or are not eligible for a Property Lease or Operation Agreement.
                               These Agreements formalize business compliance with the Airport Rules and
                               Regulations and, if appropriate, the Airport Minimum Standards. License
                               Agreements may vary according to the type of business activities involved.
                               However, all License Agreement holders may be required to pay the
                               Airport Authority an annual licensing fee, a percentage of monthly gross
                               receipts derived from Airport sources and other fees, as appropriate.
                               License Agreements usually have a term of one year, but may offer
                               additional one-year extension options upon mutual agreement of the
                               Airport Authority and Licensee.

SECTION VI – NOTICE TO ALL APPLICANTS

Applicants are hereby notified that all Applications must be accompanied by a check in the amount of
THIRTY-FIVE DOLLARS ($35.00) (payable to the Williams Gateway Airport Authority) as a Reference Review
Fee (fee is waived for current holders of other Williams Gateway Airport Authority Agreements). This fee
will be non-refundable, but only if our mutual efforts do not lead to issuance of an Agreement with the
Airport Authority within THREE- (3) months of the Application date. Applicants are also advised that
their Application will be reviewed and acted upon within SIXTY- (60) days of receipt by the Business &
Properties Division, provided all required information is included with each submittal. These reviews will be
evaluated with regard to each Applicant’s compliance with applicable provisions of the Airport Authority’s
Minimum Standards, Airport Design Guidelines and Airport Layout Plan, and to ensure that:

    •   The Applicant's proposed operation or construction will not create a safety or environmental hazard
        on the Airport;
    •   Application approval will not require an undue expenditure of local funds, labor or materials on any
        facilities described in or related to this Application, and the proposed activity or operation will not
        result in an undue financial loss to the Williams Gateway Airport Authority;
    •   There is appropriate space available on the Airport to accommodate the entire activity of the
        Applicant;
    •   Any proposed development or use of any Airport area requested will not result in congestion of
        aircraft or buildings, and will not unduly interfere with the operations of any present operator on the
        Airport, such as problems in connection with aircraft traffic or service, or preventing free access and
        egress to the existing fixed base operator area, or does not deprive, without the proper economic
        study, an existing operator of portions of any leased area in which it may operate:
    •   The Applicant is sufficiently credit worthy and responsible, in the judgment of the Williams Gateway
        Airport Authority, to provide, maintain or conduct the activities or operations to which this
        Application relates, and will promptly pay amounts due under any resulting Agreement; and
    •   The Applicant possesses the necessary finances to conduct the proposed activities or operations for a
        minimum period of SIX (6) months, or for the duration of any resulting Agreement, whichever is
        less.
