                                                                                                  AGENCY AGREEMENT

PARTIES:
The Agent Alpha International Accommodation Ltd of Plantation House, 261-263 Ecclesall Road, Sheffield S11 8NX
-and-
The Principal
                                 of



1. SCOPE OF THE CONTRACT:
This Agreement is made between
a company registered in


whose principal place of business is detailed above ("the Principal") and Alpha International Accommodation Limited whose principal place of business is at Plantation House, 261-263 Ecclesall Road,
Sheffield S11 8NX ("the Agent"). In accordance with this contract the Principal appoints the Agent as its selling agent and the agent agrees to act as such. The Principal will keep the contents
of this agreement and its terms of trading with the Agent including agreed room rates, strictly confidential and useless obliged to do so by law will not disclose them to any third party.

2. CONTRACT EFFECTIVE DATE AND TERM:
This contract between the named parties above will commence on
and will continue in full effect until cancelled in writing by either party, as described in Clause 14 of this contract.

3. BOOKINGS AND COMMISSION:
The Agent will confirm all bookings by means of a rooming list or fax or email, which the Principal must countersign to confirm receipt of same also by email. The Agent
undertakes to deal accurately with the requests for bookings and relay all monies, which it receives from the Principal’s clients, which are due to the Principals under the terms of this
agreement, but shall have no further commitment to the Principal under this agreement.
The Agent is entitled to a commission from the Principal, to be any such sum as it may charge to clients of the Principal, which is over and above the prices set out in this agreement.

4. PRICES AND PAYMENT:
In the event of variations in local tax which might necessitate changes to the agreed rates, such changes will be communicated in writing and agreed mutually. The prices and
arrangements agreed cannot be altered unilaterally by either party.

Payment will be made within 30 days of receipt of invoice, provided it is accompanied by the relevant documentation (client’s original voucher) and/or Company booking reference.

5. PRINCIPAL’S DUTIES
               i                        It is agreed that the Agent is authorised to sell on behalf of the Principal the accommodation, meals, facilities and services for the period and price in the schedule attached to
                                        this contract.
                   ii                   The Principal shall notify the Agent immediately of any withdrawal of or alteration to the accommodation or any facilities or services at the accommodation or any other
                                        matter which may alter any information previously given to the Agent including amendments to reservation email address or reservation fax number.
                   iii                  The Principal undertakes to inform the Agent in writing immediately of any building, maintenance work or other activity in the property, resort or surroundings such as
                                        may adversely affect the enjoyment of the clients at the accommodation. In the event of any planned refurbishment, the Principal must notify the Agent immediately,
                                        giving a minimum of 90 days notice. In the event of the Principal not observing the 90 day notice period, or the Hotel not being ready to accommodate clients at the
                                        agreed start date, the Agent reserves the right to terminate the contract (without prejudice to any rights which may have accrued under the contract) debiting any
                                        financial loss incurred as a consequence to the Principal.
                   iv                   The Principal shall complete and sign the ‘Liability report’ and a detailed description of the accommodation. Once approved, the Principal warrants that all such
                                        descriptive wording will remain correct throughout the period of the contract.
                   v                    The Principal will ensure performance of the arrangements with all due skill, care and diligence, and all personnel provided by the Principal (whether or not employed
                                        by the Hotel) in connection with the provision of the arrangements will be appropriately qualified, experienced and capable as appropriate of performing competently
                                        the work or jobs for which they are employed.
                   vi                   The Principal will ensure that the accommodation, premises contents, facilities and services are and will remain throughout the period of this contract of a good and
                                        clean standard, in full working order and safe for occupation and use by the Agent’s clients, employees, agents and representatives, and all other third parties; and this
                                        includes, but is not limited to, compliance with Clause 13 below.
                  vii                   The Principal will honour all reservations, options, and requests confirmed to the Agent.
                  viii                  The Principal will provide a cot for infants up to 2 years old which complies with national safety standards.

6. ALLOCATION:
The rooms on allocation or freesale assigned to the Agent may be used by one or more brands of the Agent. Rooms on allocation remain at the Agent’s disposal up to the agreed number of days before
client’s arrival (release). This allocation remains available to clients until instructed to close unavailable dates by the Principal directly to the Agent (via the supplier extranet or via email (to our stopsales
email address. These instructions will only be actioned in standard UK office hours and we will endeavour to action them within 24 working hours of receipt of the instruction)). All bookings taken prior
to this instruction must being accepted by the Principal. At the release date, unsold rooms are automatically released back to the Principal, and thereafter additional rooms must be requested by the Agent.

7. COMPLAINTS:
In the event of a complaint being made to the Agent or the Agents’ representatives by any of the clients of the Principal relating to the inadequacy or non- provision of the
accommodation or any other service or facility provided or agreed to be provided by the Principal, the Agent shall notify the Principal of any such claim or complaint, and the
Principal will deal with the complaint directly with the client.

If the Principal receives a complaint from a client concerning the services it will immediately take all responsible steps to resolve it and if it is serious, or if it involves a personal
injury, immediately notify the Agent of the complaint and the Principal’s response to it and if requested to do so by the Agent, keep the Agent informed of the developments
concerning the complaints as they occur. If the Agent receives a complaint concerning the services, the Principal will, at the Agents request, promptly and at its own cost, give all
assistance requested by the Agent including but not limited to, providing documents, providing detailed written statements from relevant employees and employees or agents and
holding any employee or agent available to give evidence.

8. CANCELLATIONS:
Cancellations of confirmed bookings will be notified in writing by email. The penalty charge which may be applied shall not exceed the following:

9. CHANGES TO CONTRACTED SERVICES:
The Principal will notify the Agent in writing of any alteration, suspension, deficiency, failure or other change of any nature whatsoever in respect of any part of the arrangements,
whether temporary or otherwise, within 48 hours of the problem occurring whether or not it is continuing. The Principal undertakes to take all reasonable steps to remedy the
problem immediately and restore the arrangements to those originally contracted, and shall be solely responsible for bearing the full amount of any costs incurred in doing so.
If any reservation option or request cannot be honoured the Principal will; notify the Agent immediately and comply with the Agents requests and instructions concerning alternative
arrangements. Unless otherwise advised by the Agent the Principal must locate replacement accommodation for the Agent’s clients at accommodation of least equal standards with
similar services, facilities and location (any additional costs must be borne by the Principal).

The Principal must also meet any additional costs arising because of the Principal failure to honour the reservation/option/request including the cost of taxis to the replacement
accommodation and ensure that the replacement accommodation complies with the conditions set out in this contract, although the Principal will itself remain bound by the
conditions as if no replacement accommodation had been provided.

If the alternative arrangements are not deemed acceptable by the client and the client wished to cancel, the Principal will pay compensation to the Agent under Clause 10 of this
contract.


10. INDEMNITIES:
Without prejudice to any other provision in this agreement, the Principal hereby agrees to indemnify the Agent for the full amount of all damages, expenses, losses, compensation,
demands, actions, liabilities, fines costs (including legal costs) and/or any other sum of whatever nature which, for any reason whatsoever, the Agent incurs or pays to any Clients,
employees, agents and/or representatives and/or any third party (including own legal costs) or authority (whether pursuant to any Court Order or by way of any settlement which the
Agent, acting reasonably in all the circumstances including the costs, risks and time involved in fighting any claim, agrees to pay or otherwise), as a result directly or indirectly in
whole or part of:-
(i) any breach of any nature whatsoever by the Principal of their obligations expressed or implied under this Agreement.
(ii) Any failure of the Principal to reach the standard agreed with the Agent to include by way of example and by no way of limitation, any failures or deficiency in the standard of
quality of the property/services provided, absence or alteration or any facilities or services of lack of cleanliness, hygiene or safety for any reason for any period.

11. INSPECTION OF PROPERTY:
The Principal will allow the Agents representatives to inspect all accommodation at any reasonable time on request by the Agent.

12. INSURANCE:
The Principal shall take out and maintain throughout the period of this contract comprehensive liability insurance to cover all risks relating to the accommodation including (but not
limited to) any liability for damages for the death, injury or illness of the Agent’s clients, employees, agents, sub-contractors howsoever arising. The Principal shall on demand
provide a copy of all insurance policies or the Agents or the Agents representatives together with a copy of the receipt for the payment of the current premium therefor.

13. FIRE PRECAUTIONS, HEALTH AND HYGIENE, SAFETY REQUIREMENTS:
The Principal represents and warrants that the accommodation conforms to all planning, licensing and other requirements as may be imposed on it by national, local or other laws or regulations for
the purpose of its use for the accommodation of tourists. The Principal further certifies that the property and the accommodation complies and will at all times during the validity of
this contract comply fully with EU national and trade laws, regulations and codes of practice, relating to hygiene, fire the general safety and security of those on the premises or in
any way affecting the operation of the property. Without prejudice to the generality of the foregoing the Principal will ensure that: all fire exits are clearly marked and accessible with
good emergency lighting: fire extinguishers are readily available on each floor and smoke alarms fitted; and all bedroom doors have printed instructions in English on what to do in
an emergency.

The Principal will ensure that the swimming pool filtration and cleaning systems provide good hygienic standards with bottom of the swimming pool clearly visible at all times. The Principal
agrees to consult with the Agent in respect of fire, health and safety issues with a view to compliance with the Agent’s own requirements in respect of display of swimming pool
depth markings, no diving signs, fire evacuation signage (where applicable) and life saving equipment (pool) as well as any other such matters as may arise in these respects. The
Principal accepts that failure to comply with the above may result in the suspension or revocation of all payments under his agreement and/or the immediate termination of this agreement
without any liability to the Agent and without prejudice to any other agreement or contract between the parties.

14. TERMINATION:
In the event of any breach of the terms of this contract by the Principal or the Agent, each party shall be entitled to give the written notice of such breach and either party shall be
entitled to terminate the contract forthwith. The Agent may further terminate the contract if there is a change in ownership of the property, if The Principal becomes insolvent or
goes into liquidation/bankruptcy, or if the Agent becomes insolvent or goes into liquidation. Any such termination will be without prejudice to any rights or claims, which the Agent
may have against the Principal.

15. ASSIGNMENT:
The Agent reserves the right at any time to transfer or subcontract any parts of its rights to the accommodation to any subsidiary or other associated company of the Agent or to any
other third party.

16. CHANGE OF OWNERSHIP OR MANAGEMENT:
In the event of any change of ownership of the Hotel, the Principal shall notify the Agent of this immediately and shall, which the Agent’s prior consent, transfer its obligations under
this contract to the new owner.

17. FORCE MAJEURE:
Neither party shall be liable to the other for any default due to any act of god, war, strike, lock out, industrial action, fire, flood, drought, technical problem with transport, weather
conditions, or other event beyond the reasonable control of either party.

If either party is affected by force majeure, it shall immediately notify the other party in writing of the matters constituting force majeure and shall keep that party fully informed of
their continuance and of any relevant change of circumstances whilst such force majeure continues.
The party affected by force majeure shall take all reasonable steps available to minimise the effects of the force majeure on the performance of its obligations under this contract.

18. DATA PROTECTION:
Personal client information will be made available to the Principal in the course of performing and fulfilling their duties under this contract and the Principal shall hold this data
confidential in compliance with the Agent’s data protection responsibilities and use the data solely as required to perform its duties under this contract.

19. JURISDICTION:
This contract shall be construed, and any dispute between parties determined, under the laws of England and Wales. Disputes shall be subject to the sole jurisdictions of the Courts
of England and Wales.
If any provision in this contract should be held illegal or unenforceable by a court having jurisdiction, such provision shall be modified to the extent necessary to render it enforceable
without losing its intent, or severed from this contract if no such modification is possible, and other provisions of this contract shall remain in full force and effect.

20. EXTRANET:
It is the Principal’s responsibility to maintain rates and allocation via the extranet once initially loaded by the Agent. Failure to adhere to this will result in the Principal having to meet any
additional costs arising because of the Principal failure to comply. If any reservation option or request cannot be honoured the Principal will; notify the Agent immediately and comply with the
Agent's requests and instructions concerning alternative arrangements. Unless otherwise advised by the Agent the Principal must locate replacement accommodation for the Agent’s clients to
accommodation of least equal standards with similar services, facilities and location (any additional costs must be borne by the Principal). These additional costs include the cost of taxis to
the replacement accommodation and the Principal must ensure that the replacement accommodation complies with the conditions set out in this contract, although the Principal will itself
remain bound by the conditions as if no replacement accommodation had been provided. If the alternative arrangements are not deemed acceptable by the client and the client wished to
cancel, the Principal will pay compensation to the Agent under Clause 10 of this contract. If reservation options or requests are repetitively not honoured by the Principal the Agent may
terminate the contract forthwith as detailed in Clause 14. If the rate details on the reservation voucher are considered to be incorrect by the Principal the Agent must be notified within 12 hours
of receipt of the reservation voucher otherwise the rate details will be legally standing.
