                    OVERVIEW & PROPOSAL PROCEDURES
                                Section 1

1.1   Introduction/Background

      Kissimmee Utility Authority (KUA) is requesting proposals to establish one
      or more reliable vendors to provide Emergency Catering Services as
      needed on premises.

1.3   Specific Submittal Format

      In order to ensure a uniform review process and to obtain the maximum
      degree of comparability, it is required that proposals be organized in the
      manner specified.

               Introduction

               This section will contain a:

                      (a)     Cover Letter

                              No longer than two (2) pages, signed by an
                              authorized representative of the offering firm. This
                              section is not included in the overall page count.
                              Show the name of the Proposer/Firm, address,
                              telephone number, name of contact person, date and
                              the title.

                      (b)     Table of Contents

                              This will follow the cover letter. Include a clear
                              identification of the material by section and page
                              number.

            Letter of Transmittal - Limit to one or two pages.

            Briefly state your understanding of the information required and
            make a positive commitment to perform the service.

            Give the names of the person who will be authorized to make
            representations for the agency, their title, addresses and telephone
            numbers.

            Indicate the years of experience of the offering firm in the specified
            area of work. Provide a list of four (4) references that have
            utilized the services being proposed to KUA. Include the following
            information:

1.4   Additional Requirements

            Attachments

            All attachments required by this Request for Proposal shall be fully
            executed by the proposer. Failure to do so may result in
            disqualification.

1.5   Opening Location

      The proposals will be publicly opened at the Kissimmee Utility Authority
      (KUA) Finance Conference Room, 1701 W. Carroll Street, Kissimmee, in
      the presence of KUA officials. All proposers or their representative are
      invited to be present.

      Agencies’ proposals will not be read aloud or revealed to the public at this
      time. Only the names of the agencies responding will be available to the
      public immediately after the proposal is opened. In accordance with
      Chapter 119.07 (1) Florida Statutes, all proposal documents will be made
      available for public inspection upon request, when the notice of award
      recommendation has been posted or within ten (10) business days after
      the proposal opening, whichever is earlier.

1.6   Proposal Delivery Requirements

      Any proposals received after the stated time and date will not be
      considered. It shall be the sole responsibility of the proposer to have their
      proposal delivered to KUA Finance & Risk Management
      Department/Purchasing Division for receipt on or before the stated time
      and date. If a proposal is sent by U. S. Mail, the proposer shall be
      responsible for its timely delivery to the Finance & Risk Management
      Department/Purchasing Division. Proposals delayed by mail shall not be
      considered, shall not be opened at the public opening, and arrangements
      shall be made for their return at the proposer's request and expense.
      However, KUA reserves the right, in its sole discretion, to accept a late
      proposal provided the proposer provides sworn, incontrovertible proof the
      delay was due to delivery factors beyond its control. This reservation of
      acceptance does not apply to proposals that are sent via U.S. Mail and
      arrive late. Such proposals will not be considered.

      interpretation of this RFP must be requested in writing from the contact

1.8   Parties Defined

      Kissimmee Utility Authority:

      Kissimmee Utility Authority is the party issuing this above-numbered
      Request for Proposal (RFP) and for whose benefit services and/or
      commodities will be rendered hereunder. Throughout this RFP, including
      throughout any associated Contract Agreement and Contract Documents,
      Kissimmee Utility Authority may be referred to interchangeably as “KUA”,
      “Owner”, or “Purchaser”.

      Proposer/Vendor/Contractor:

      The terms “Proposer”, “Vendor” and/or “Contractor” refer to the same
      party, i.e., the party responding to KUA’s above-numbered RFP. The
      terms may be used interchangeably throughout the RFP, including
      throughout any associated Contract Agreement and Contract Documents,
      to refer to the party responding to KUA’s above-numbered RFP.

      Savings Clause:

      The presence or absence of a defined term describing either party to this
      RFP, which includes any associated Contract Agreement and Contract
      Documents, will not render any provisions of the RFP, associated Contract
      Agreement or Contract Documents ineffective or inapplicable to such party
      provided a given provision’s context reasonably indicates that it applies to
      such party. The use or lack thereof of capital letters in any of the terms
      defined and described is not intended to carry any legal significance and
      shall not be construed to deny applicability of any provisions or terms to
      the parties by reason thereof.

1.9    Obtaining Solicitation Document(s)

       There are two ways to obtain solicitations issued by KUA:

             Contact KUA’s solicitation distribution service, Demandstar/Onvia
             at http://www.demandstar.com and/or

             Download solicitations from KUA’s website at http://www.kua.com.

1.10   Clarification and Addenda

       Each Proposer shall examine all RFP documents and shall judge all
       matters relating to the adequacy and accuracy of such documents. Any
       inquiries, suggestions, or requests concerning interpretation, clarification,
       or additional information pertaining to the RFP shall be addressed to the
       contact person. Clarification of RFP’s submitted shall be in letter form,
       signed by the proposer.           KUA shall not be responsible for oral
       interpretations given by any KUA employee, representative or others. The
       issuance of a written addendum is the only official method whereby
       interpretation, clarification or additional information can be given. If any
       addenda are issued to this RFP, KUA will attempt to notify all prospective
       proposers who have secured same. However, it shall be the responsibility
       of each proposer, prior to submitting their proposal, to contact the Finance
       & Risk Management Department/Purchasing Division to determine if
       addenda were issued and to make such addenda a part of their proposal.

1.11   Sealed and Marked Package

       One (1) signed original and three (3) signed copies of your proposal shall
       be submitted in one sealed package, clearly marked on the outside of
       package with Proposal number and addressed to:

       Proposals shall clearly indicate the legal name, address, and telephone
       number of the Proposer (company, firm, partnership, or individual).
       Proposals shall be signed above the typed or printed name and title of the
       signer. The signer shall have the authority to bind the agency to the
       submitted proposal.

1.13   Hazardous Material Provision

       Where applicable, the Proposer agrees to furnish KUA with a current
       Material Safety Data Sheet (MSDS) on or before delivery of each and
       every hazardous chemical or substance purchased which is classified as
       toxic under Chapter 422, Florida Statutes. Appropriate labels and MSDS’s
       shall be provided for all shipments. Send MSDS’s and other pertinent
       data to Kissimmee Utility Authority (KUA) at the “Ship to” address.

1.14   Signature

       The RFP shall be signed in the proper section with a manual signature of
       an authorized representative, and shall enter his title and date of the
       proposal. Failure to properly sign the proposal shall invalidate same, and
       it shall not be considered for award. No erasures are permitted. If a
       correction is necessary, draw a single line through the entered figure and
       enter the corrected figure above it. Corrections must be initialed by the
       person signing the proposal.

1.15   Proposal Expenses

       All expenses for making proposals to KUA are to be borne by the
       proposer.

1.16   Irrevocable Offer

       Any proposal may be withdrawn up until the date and time set above for
       opening of the proposal. Any proposal not so withdrawn shall, upon
       opening, constitute an irrevocable offer for a period of ninety (90) days to
       sell KUA the goods or services set forth in this RFP until one or more of
       the proposals have been duly accepted by KUA.

1.17   Reserved Rights

       KUA reserves the right to accept or reject any and/or all proposals, or any

       part thereof and/or to waive irregularities and technicalities and to request
       submission. Also, KUA reserves the right to accept all or any part of the
       proposal and to increase or decrease quantities to meet additional or
       reduced requirements of KUA. Any sole response received by the first
       submission date may or may not be rejected by KUA depending on
       available competition and timely needs of KUA. For each item or for all
       items combined, the proposal of the lowest responsive, responsible
       proposer will be accepted, unless all proposals are rejected.

       To be responsive, a proposer shall submit a proposal that conforms in all
       material respects to the requirements set forth in the RFP.

       The lowest responsible proposer shall mean that proposer who makes the
       lowest proposal to sell goods and/or services of a quality which conforms
       closest to the quality of goods and/or services set forth in this RFP
       otherwise required by KUA and who is known to be fit and capable to
       perform the proposal as made.

       To be a responsible proposer, the proposer shall have the capability in all
       respects to perform fully the contract requirements, and the tenacity,
       perseverance, experience, integrity, reliability, capacity, facilities,
       equipment, and credit which will assure good faith performance. Also,
       KUA reserves the right to make such investigation as it deems necessary
       to make this determination. Such information may include but shall not be
       limited to:   current financial statements; verification of availability of
       equipment and personnel; and past performance records.

1.18   Appeals and Remedies

       Any person adversely affected by the decision or intended decision of
       award must file a written notice of protest to the Manager of Accounting
       within seventy-two (72) hours (excluding Saturday, Sundays, and legal
       holidays) after the posting of the KUA’s decision or intended decision.
       KUA Purchasing Division personnel should be contacted to obtain
       comprehensive written protest procedures prior to filing a written notice of
       protest.

1.19   Code of Ethics

       With respect to this proposal, if any proposer violates or is a party to a
       violation of the Code of Ethics of KUA per KUA procurement regulations
       and/or the State of Florida per Florida Statutes, Chapter 12, Part III, Code

       of Ethics for Public Officers and Employees, such proposer may be
       disqualified from furnishing goods or services for which the proposal is
       submitted and shall be further disqualified from submitting any future
       proposals for goods or services for KUA.

1.20   Collusion

       By offering a submission to this RFP, the proposer certifies that the
       proposer has not divulged, discussed, or compared his proposal with any
       other proposer and has not colluded with any other proposer or parties to
       this proposal whatsoever. The proposer also certifies that in connection
       with this proposal:

             Any prices and/or cost data submitted have been arrived at
             independently, without consultation, communication, or agreement
             for the purpose of restricting competition, as to any matter relating
             to such prices and or cost data, with any other proposer or with any
             competitor.

             Any prices and/or cost data submitted for this proposal have not
             knowingly been disclosed by the proposer and will not knowingly be
             disclosed by the proposer prior to the scheduled opening directly or
             indirectly to any other proposer or to any competitor.

             No attempt has been made or will be made by the proposer to
             induce any other person or firm to submit or not to submit a
             proposal for the purpose of restricting competition.

             The only person or persons interested in this proposal, principal or
             principals is/are named therein and that no person other than
             therein mentioned has any interest in this proposal or in the
             contract to be entered into and;

             No person or agency has been employed or retained to solicit or
             secure this contract upon an agreement or understanding for a
             commission, percentage, brokerage, or contingent fee accepting
             bona fide employees established commercial agencies maintained
             by the purchaser for the purpose of doing business.

1.21   Contract Forms

       Any agreement or contract resulting from the acceptance of a proposal

       shall be on forms either supplied by or approved by KUA.

1.22   Indemnity

       After notification of award, the contractor shall indemnify and save
       harmless KUA and its board members, officials, directors, partners,
       consultants, agents, and employees from and against all claims, suits,
       actions, damages, or causes of action including claims for any personal
       injury, loss of life, or damage to property arising during the terms of the
       resulting agreement due to the performance of the services or delivery of
       goods for which the resulting agreement was entered into by proposer,
       any subcontractor, sub-supplier, any person or organization directly or
       indirectly employed by any of them to perform or furnish any of the work or
       anyone for whose acts any of them may be liable, including but not limited
       to their agents, employees, invitees, and all other persons, and for and
       against any orders, judgments, or decrees, which may be entered thereto,
       and from and against all costs, attorney's fees, expenses and liabilities
       incurred in or by reason of the defense of any such claim, suit or action,
       and the investigation thereof. Nothing in the award, resulting agreement,
       contract, or purchase order shall be deemed to affect the rights, privileges
       and immunities of KUA as set forth in Florida Statutes § 768.28.

       The successful proposer(s) covenants and agrees to indemnify and save
       harmless KUA and to defend from all cost, expenses, damages, attorney's
       fees, injury or loss to which KUA and/or its board members, officials,
       directors, partners, consultants, agents, or employees may be subjected
       by any person, firm, corporation, or organization by reason of any
       wrongdoing, misconduct, want, or need of care or skill, negligence or
       default or breach of contract, guaranty, or warranty, by the successful
       proposer(s), his subcontractor, sub-supplier, any person or organization
       directly or indirectly employed by any of them to perform or furnish any of
       the work or anyone for whose acts any of them may be liable.

1.23   Proposal Forms, Variances, Alternates

       Proposals must be submitted on attached KUA proposal forms (if
       provided) with other exhibits, although additional information may be
       attached. All blank spaces must be completed with the appropriate
       response. The proposer must state the price, typewritten or written in ink,
       for which he proposes to complete each item of the project. Proposer(s)
       must indicate any variances from the conditions of the RFP; otherwise
       proposer(s) must fully comply with the RFP in its entirety. Alternate

       proposals may or may not be considered at the sole discretion of the
       Manager of Accounting.

1.24   Basis for Award

       Other factors that will be considered in addition to the lowest price include:

       1. Response time upon issuance of notice to proceed and time of
          completions,
       2. Quality of workmanship as represented by references, and
       3. Capabilities to do required work.

       The contract resulting from this solicitation will be awarded to that
       responsible proposer whose proposal conforming to the invitation is
       determined most advantageous to KUA, price and other factors
       considered. The offeror’s proposal shall be in the form prescribed by this
       invitation and shall contain a response to each of the areas identified
       which affects the evaluation factors for award.

       Exceptions to the proposal may be considered if determined minor in
       nature and acceptable to KUA’s application. All exceptions shall be noted
       on the attached “Affidavit of Compliance” response form.

1.25   Split Award

       KUA reserves the right to make award to one proposer, to split the award
       between proposers, or to not award some or all items, depending on the
       best interest of KUA. KUA may accept any item or group of items on any
       proposal unless the offeror qualifies his proposal by specific limitations.

1.26   Oral Presentations

       KUA may require proposers found to be qualified based on the evaluation
       criteria set forth in this RFP, to give oral presentations in support of their
       proposals or to exhibit or otherwise demonstrate the information contained
       in their proposal.

1.27   Regulations

       It shall be the responsibility of each proposer to assure compliance with all
       OSHA, EPA and/or Federal or State of Florida rules, regulations or other
       requirements, as each may apply.

1.28   Equal Employment Opportunity Clause

       KUA of Kissimmee, Florida, in accordance with the provision of Title VI of
       the Civil Rights Act of 1964 (78 Stat. 252) and the Regulations of the
       Department of Commerce (15 CFR, Part 8) issued pursuant to such Act,
       hereby notifies all agencies that it will affirmatively ensure that in any
       contract entered into pursuant to this advertisement minority business will
       be afforded full opportunity to submit proposals in response to this
       advertisement and will not be discriminated against on the grounds of
       race, color, or national origin in consideration for an award.

1.29   Drug-Free Workplace

       A Drug-Free Workplace Statement must be completed, signed, and
       returned with proposal. This form will be used whenever two or more
       proposals that are identical with respect to price, quality, delivery, and
       service are received; a proposal received from a business that certifies
       that it has implemented a drug-free workplace program shall be given
       preference in the award process.

1.30   Public Entity Crime Information

       A person or affiliate who has been placed on the convicted vendor list
       following a conviction for a public entity crime may not submit a proposal
       on a contract to provide any goods or services to a public entity, may not
       submit a proposal on a contract with a public entity for the construction or
       repair of a public building or public work, may not submit proposals on
       leases of real property to a public entity, may not be awarded or perform
       work as a contractor, supplier, subcontractor, or consultant under a
       contract with any public entity, and may not transact business with an
       public entity in excess of the threshold amount provided in Section
       287.017, for CATEGORY TWO for a period of 36 months from the date of
       being placed on the convicted vendor list.

1.32   The Right to Audit

       The contractor agrees to furnish such supporting detail as may be
       required by the owner to support charges or invoices, to make available
       for audit purposes all records covering charges pertinent to the purchase,
       and to make appropriate adjustments in the event discrepancies are
       found. The owner will pay the cost of any audit. The owner shall have the

       right to audit the contractor's records pertaining to the work/product for a
       period of three (3) years after final payment.

1.33   Completeness of Proposal

       Proposers shall propose on all items in one proposal form. Failure to do
       so may result in the proposal being rejected as not responsive.

       When proposals on certain items are optional, proposers shall insert the
       words "no proposal" in the space provided for an item for which no
       proposal is made.

       Incorporation in the proposal of substantial exceptions to this RFP shall
       invalidate the proposal, if the exceptions amount to a substantial
       modification of the contract documents. Exceptions to the specifications
       shall be clearly noted in the "Affidavit of Compliance". Exceptions may be
       considered if determined minor in nature and acceptable to KUA’s
       application.

       The proposal must be signed by an authorized agent or officer of the firm.

1.34   Modification or Withdrawal of Proposal

       A modification of a proposal already received will be considered only if the
       modification is received prior to the time announced for opening of
       proposals. All modifications shall be made in writing, executed and
       submitted in the same form and manner as the original proposal.
       Modifications submitted by telephone, facsimile, or electronic mail (e-mail)
       will not be considered.

       Any proposer may withdraw his proposal by giving written notice to the
       Manager of Accounting, KUA, at the place such proposals are to be
       received and at any time prior to the time announced for opening of
       proposals.

1.35   Errors in Proposals

       Proposers or their authorized representatives are expected to fully inform
       themselves as to the conditions, requirements and specifications before
       submitting proposals; failure to do so will be at the proposer’s own risk.
       Neither law nor regulations make allowance for errors either of omission or
       commission on the part of proposals. In case of error of extension of

       prices in the proposal, the unit price shall govern.

1.36   Prices Quoted

       Give both unit price and extended total. Prices must be stated in units of
       quantity specified in the proposal specifications. All prices for materials to
       include F.O.B. destination, freight prepaid (unless otherwise stated in
       special instructions). Each item must be priced separately and no attempt
       is to be made to tie any item or items in with any other item or items.

       If a proposer offers a discount on payment terms, it is understood that a
       minimum of thirty (30) days will be required for payment (unless otherwise
       stated in the special instructions), and the discount time will be computed
       from the date of satisfactory delivery at place of acceptance and receipt of
       correct invoice at the office specified.

1.37   Discounts

       Any and all discounts must be incorporated as a reduction in the proposal
       price and not shown separately. The price as shown on the proposal shall
       be the price used in determining award(s).

1.38   Descriptive Information

       Unless otherwise specifically provided in the specifications, all equipment,
       materials, and articles incorporated in the product/work covered by the
       agreement are to be new and of the most suitable grade for the purpose
       intended. Reference to any equipment, material, or article or patented
       process, by trade name, make, or catalog number shall not be construed
       as limited competition. If the proposer wishes to make a substitution to
       the specifications, the proposer shall furnish to KUA the name of the
       manufacturer, the model number, and other identifying data and
       information necessary to aid KUA in evaluating the substitution, and such
       substitution shall be subject to KUA approval. Substitutions shall be
       approved only if determined by KUA to be equivalent to the specifications.
       A proposal containing a substitution is subject to disqualification if the
       substitution is not approved by KUA.

       Specified items proposed shall be identified by brand name, number,
       manufacturer, and model, and shall include full description information,
       brochures, or appropriate attachments.

1.39 Interpretations

       Should any proposer have any questions as to the intent of meaning of
       any part of this RFP, he/she should contact the contact person of this RFP
       in time to receive a written reply before submitting his/her proposal.

1.40   "Or Equal" Interpretation

       When a particular manufacturer's name or brand is specified along with
       the words "or equal", proposals will be considered on other brands or on
       the product of other manufacturers. On all such proposals the proposer
       shall indicate clearly the product (brand and model number) on which he is
       proposing, and shall supply a sample or sufficient data in detail to enable
       an intelligent comparison to be made with the particular brand or
       manufacturer specified. All samples shall be submitted in accordance with
       procedures outlined in paragraph labeled "Samples". Catalog cuts and
       technical descriptive data shall be attached to the original copy of the
       proposal where applicable. Failure to submit the above information may
       be sufficient grounds for rejection of proposal.

1.41   Deviations to Specifications

       All deviations from the specifications must be noted in detail by the
       proposer, in writing, at the time of submittal of the formal proposal. The
       absence of a written list of specification deviations at the time of submittal
       of the proposal will hold the proposer strictly accountable to KUA to the
       specifications as written. Any deviation from the specifications as written,
       not previously submitted as required by the above, will be grounds for
       rejection of the material, equipment, and/or service delivered or
       performed.

1.42   Alternatives/Substitutions to Specifications

       Any alternatives or substitutions to the attached specification must be
       clearly delineated, set out, and submitted on the “AFFIDAVIT OF
       COMPLIANCE” response form.

1.43   Samples (if required by proposal form-See Special Instructions)

       The samples submitted by proposer on items for which they have received
       an award may be retained by KUA until the delivery of contracted items is
       completed and accepted. Proposers whose samples are retained may

       remove them after delivery is accepted.

       Samples not retained must be removed as soon as possible after award
       has been made on the item or items for which the samples have been
       submitted. KUA will not be responsible for such samples if not removed by
       the proposer within thirty (30) days after the award has been made. KUA
       reserves the right to consume any or all samples for testing purposes.

       Proposers shall make all arrangements for delivery of samples to the
       place designated as well as the removal of samples. Cost of delivery and
       removal of samples shall be borne by the proposer.

        All sample packages shall be marked "Sample for Purchasing Division"
       and each sample shall bear the name of the proposer, item number,
       proposal number and shall be carefully tagged or marked in a substantial
       manner. Failure of the proposer to clearly identify samples as indicated
       may be considered sufficient reason for rejection of proposer.

1.44   Quality Guaranty

       If any product/service delivered does not meet applicable specifications or
       if the product/service will not produce the effect that the proposer
       represents to KUA, the proposer shall remove the product or stop the
       service at no expense to KUA. Also, the proposer shall refund to KUA any
       money which has been paid for same. The proposer will be responsible
       for attorney fees in the event that he/she defaults and court action is
       required.

1.45   Quality Terms

       KUA reserves the right to reject any or all materials/services if, in its
       judgment, the item/service reflects unsatisfactory workmanship or
       manufacturing or shipping damages.


1.46   Additional Information Request

       KUA reserves the right to request any additional information needed for
       clarification for evaluation purposes from any proposer.

1.47   Use of Trade Names

       Brand or trade names referenced in specifications are for comparison
       purpose only. Proposers may submit proposals on items manufactured by
       other than the manufacturer specified. In these instances, the proposal
       must be accompanied with all descriptive information necessary for a
       thorough evaluation of the proposed material or equipment such as
       detailed drawings and specifications, certified operation and test data, and
       experience records, as well as an itemized list of any variance from, or
       exceptions taken to the specifications. Failure of any proposer to furnish
       the data will be cause for rejection of the specified item(s) to which it
       pertains.

1.48   Authorized Product Representation

       The successful proposer(s) by virtue of submitting the name and
       specifications of a manufacturer's product will be required to furnish the
       named manufacturer's product. By virtue of submission of the stated
       documents it will be presumed by KUA that the proposer is legally
       authorized to so submit and the successful proposer will be legally bound
       to perform according to the documents.

1.49   Period of Offer Validity

       Prices quoted in the proposal must remain open for a period of ninety (90)
       days from the date of opening.

1.50   Cancellation

       It is the intention of KUA to purchase material or services from sources of
       supply that will give prompt and convenient shipment/service. Any failure
       of the proposer to satisfy the requirements of KUA shall be reason for
       termination of the award. Any proposal may be rejected in whole or in part
       for good cause when in the best interest of KUA.

1.51   Applicable Laws

       All applicable laws and regulations of the State of Florida and KUA
       procurement regulations and procedures will apply to any resulting
       agreement, contract, or purchase order. Any involvement with any KUA
       procurement shall be in accordance with KUA procurement regulations
       and procedures.

1.52   Royalties, Patents and Copyrights

       The successful proposer shall pay all royalties and license fees for
       equipment or processes in conjunction with the equipment he/she is
       furnishing. He shall defend all suits or claims for infringement of any
       patent right and shall hold KUA harmless from loss on account thereof and
       cost and attorney's fees incurred therefore. Proposer warrants that there
       has been no violation of copyrights or patent rights in manufacturing,
       producing, and/or selling the item(s) ordered or shipped as a result of this
       proposal, and successful proposer agrees to hold KUA harmless from any
       and all liability, loss or expense by any such violation.

1.53   "Statement of No Proposal" Response Form

       If not submitting a proposal, respond by returning the “Statement of No
       Proposal” response form no later than the stated opening date and time,
       and explain the reason in the space provided.

1.54   Proposal Tabulations

       A copy of the proposal tabulation can be received by visiting KUA’s
       website at http://www.kua.com.

1.55   Delivery

       Delivery time will be a factor for any orders placed as a result of this
       proposal. KUA reserves the right to cancel such order(s) or any part
       thereof, with obligation, if delivery is not made within the time(s) specified
       herein and hold the vendor in default. All items should be proposed F.O.B
       Destination with freight charges prepaid and included, to designated
       addresses as specified by KUA on it’s purchase order(s) or form of
       contract(s). Proposer must state specific number of calendar days
       required for delivery of each item proposed.

1.56   Warranty and Guarantee

       Contractor agrees that materials pursuant to the contract documents will
       come with a separate, all encompassing and comprehensive warranty
       which will be furnished to owner at the time of the material’s delivery.
       Warranty coverage shall commence on the first day of service to KUA.
       Each product furnished shall be guaranteed by the successful contractor
       to be free from adulterants or impurities which might cause hazards or
       stoppages in the operation of standard equipment using the specified

      KUA will not accept any disclaimer of warranties of merchantability and
      fitness for a particular purpose for the product(s) and/ or service(s)

      complete manufacturer’s warranty is to be submitted with the proposal.

           GENERAL CONDITIONS & SPECIAL INSTRUCTIONS
                           Section 2

   2.1   General

         These instructions are standard for all contracts for commodities
         and/or services issued to Kissimmee Utility Authority. KUA may
         delete, supersede or modify any of these standard instructions.
         Proposer agrees that the provisions included within this proposal shall
         prevail over any conflicting provisions within any standard form
         contract of the proposer regardless of any language in proposer’s
         contract to the contrary.

   2.2   Jurisdiction, Venue and Application of Florida Law

         Jurisdiction and venue under any claim or cause of action arising
         under the contract, or related to performance thereunder, shall lie in
         the courts of competent jurisdiction of Osceola County, Florida. All
         claims or causes of action arising under the contract shall be resolved
         in accordance with the laws of the State of Florida.

   2.3   Hindrances and Delays

         The contractor expressly agrees that in undertaking to complete the
         work/services within the time specified, he/she has made allowances
         for all hindrances and delays that might usually be expected to occur in
         performing the work/services. No claims shall be made by the
         contractor or his subcontractors for such hindrances and delays.

   2.4   Liens

         This project is a "public work" project under Chapter 255, Florida
         Statutes. No liens may be filed against the owner. Any claimant may
         apply to the owner for a copy of this proposal and the performance
         bond (if required of this proposal). The claimant shall have a right of
         action against the contractor and surety for the amount due him/her.
         Such action shall not involve the owner in any expense. Claims
         against the contractor or the surety are subject to timely prior notice to
         both the contractor and the surety as specified in § 255.05, Florida
         Statutes.

         PARAGRAPH IN EVERY SUB-SUBCONTRACT HEREUNDER:

         “Notice:   Claims for labor, materials and supplies are not
         assertable against Kissimmee Utility Authority, and are subject to
         proper prior notice to the contractor and to the surety, pursuant
         to Chapter 255 of the Florida Statutes.”

   2.5   Responsibility for Damage to KUA Property

         The successful contractor shall use reasonable care to avoid
         damaging KUA property. If the contractor's failure to use reasonable
         care causes damage to any of this property, the contractor shall
         replace or repair the damage at no expense to KUA.

   2.6   Prohibition of Assignment

         Neither the owner nor contractor shall assign, sublet or transfer any
         interest in this agreement without the written consent of the other.
         Contractor shall not assign any interest in this agreement, and shall not
         transfer any interest in the same (whether by assignment or novation),
         nor shall contractor assign any monies due or to become due to it
         under this agreement without the prior written consent of the owner
         thereto. Neither party shall have the power to assign any of the duties
         or rights or any claim arising out of or related to the agreement,
         whether arising in tort, contract, or otherwise, without the written
         consent of the other party. These conditions and the entire agreement
         are binding on the heirs, successors, and assigns of the parties hereto.

   2.7   Independent Contractor- Not an Employee of KUA

         It is understood and agreed that contractor is an independent
         contractor and not an employee of the owner. The owner will not
         withhold income taxes, social security or any other sums from the
         payments made to the contractor herein. The contractor shall in no
         way hold himself/herself out to any third person as an agent of the
         owner. All persons furnished by contractor shall be considered solely
         its employees or agents and contractor shall be responsible for
         payment of all unemployment, social security and other payroll taxes,
         including making contributions when required by law.

   2.8   No Waiver of Rights

          No partial payment made under this agreement shall be evidence of
          the performance of the agreement either wholly or in part, and no
          payment shall be construed to be an acceptance of improper material
          or unsatisfactory performance. No act of the owner in superintending,
          nor failure to disapprove or reject any material or services used
          therein, nor any extension of time for the completion of the
          material/service shall be construed as acceptance of the work either
          wholly or in part. Acceptance shall be evidenced only by the final
          payment by the owner.

   2.9    Contract Documents Defined and Made Binding

          All of the RFP procedures, General Conditions, Special Instructions,
          Insurance & Bonding Requirements, and all attached requirements and
          specifications set forth herein shall, together, form the Contract
          Documents and as such shall be incorporated by reference into and
          made a part of the Contract Agreement executed between owner and
          contractor such that all the terms and conditions of the Contract
          Documents shall be fully binding on each party. By submitting a
          signed proposal in response to this above numbered RFP, the
          contractor agrees to be bound by any and all terms and conditions of
          the Contract Documents.

   2.10   Contract Documents Not Affected by Oral Agreement

          No oral statement of any person shall modify or otherwise affect the
          terms, conditions, or specification stated in the Contract Documents.
          All modifications, amendments and/or addenda to the Contract
          Documents must be made in a writing or writings executed by
          contractor and Owner in order to be legally enforceable.

   2.11   Other Governmental Agencies

          Each governmental agency desiring to accept this proposal, and make
          an award thereof, shall do so independently of any other governmental
          agency. Each agency shall be responsible for its own purchases and
          billing. Each agency shall be liable only for materials ordered and
          received and services rendered to it and no agency assumes any
          additional liability by virtue of this proposal.

          Purchase Orders

             P.O.’s may be issued with an electronic signature. P.O.’s signed
             electronically shall be fully effective and legally enforceable. By
             furnishing any services in response to a P.O. and/or giving any
             other indication of acceptance by P.O., the contractor agrees to be
             bound by all the terms and conditions set forth therein. Every P.O.
             issued under this above-numbered RFP will be considered an
             enforceable addition to the Contract Documents.

             The agreement may be terminated by either party without cause, by
             giving written notice of termination of one hundred twenty (120)
             days advance notice of termination.

          Termination for Cause

             If at any time during this agreement KUA finds sufficient cause
             regarding this service, such as unprofessional treatment of KUA
             customers, or default or negligence on the part of the contractor,
             KUA will immediately request a meeting to resolve any of the above
             issues or other related issues. If KUA feels these issues cannot be
             resolved, the one hundred twenty (120) day advance notice
             requirement is waived for cause and KUA can terminate the
             contract immediately.

             This agreement is subject to immediate termination for severe
             breach of security or for misappropriation of KUA property.

2.13   Warranty

       Contractor warrants to owner that all work shall be free from defects in
       material or workmanship, and that the services provided under the
       contract shall conform to all requirements of the contract and expectations
       of the owner. All materials and equipment furnished by contractor are
       guaranteed to be new, unused, and to conform in all respects to the
       requirements of this contract. After receipt of written notice thereof,
       contractor shall promptly correct any defective work which may develop
       during the warranty period (one year following the date of final
       acceptance), and any damage to other work caused by such defects or
       the repairing of the same, all at contractor’s expense. Contractor hereby
       assigns to owner any and all rights under any warranties contractor may
       have received or be entitled to from vendors of the materials and/or

       equipment incorporated into the work. The warranties set forth in this
       article shall apply to all replacement materials, equipment and services
       associated therewith to the same extent as it applies to original work
       provided and shall extend for a period of one (1) year beyond the date the
       replacement work is complete.

       Contractor agrees that materials furnished pursuant to the contract
       documents will come with a separate, all encompassing and
       comprehensive warranty which will be furnished to owner at the time of
       the material’s delivery. Warranty coverage shall commence on the first
       day of service to KUA. Each product furnished shall be guaranteed by the
       successful contractor to be free from adulterants or impurities which might
       cause hazards or stoppages in the operation of standard equipment using
       the specified products.

       KUA will not accept any disclaimer of warranties of merchantability and
       fitness for a particular purpose for the product(s) and/ or service(s)
       offered. Bids will clearly state any additional warranties and guarantees
       against defective materials and workmanship. A copy of the complete
       manufacturer’s warranty is to be submitted with the proposal.

2.14   Taxes

       This purchase by Kissimmee Utility Authority is tax exempt. Exemption
       Certificate Number is 59-05-010473-54C. The price stated in this
       proposal should exclude Florida State Sales and Use Taxes. Nothing
       contained herein shall in any way act as a waiver of any exemption or
       immunity to or from taxes that KUA enjoys under Florida law. Should
       this contract result in KUA losing any tax exemption or immunity under
       Florida law, the contractor agrees to indemnify and hold KUA harmless
       from any liability that results from such loss.

2.15   Conflict of Specifications

       In the event that a conflict exists between the General Conditions,
       Proposal Procedures, Insurance & Bonding Requirements, and the
       Special Instructions contained herein, the Special Instructions shall
       govern.

      Except as otherwise specified in this contract, the contractor and his/her
      subcontractors of any tier will be required at their own expense to maintain
      in effect at all times during the performance of the work insurance
      coverages with limits not less than those set forth below with insurers and
      under forms of policies satisfactory to the owner. It shall be the
      responsibility of the contractor to maintain adequate insurance coverage
      and to assure that subcontractors are adequately insured at all times.
      Failure of the contractor to maintain adequate coverage shall not relieve
      him/her of any contractual responsibility or obligation.

      The requirements specified herein as to types, limits, and owner’s
      approval of insurance coverage to be maintained by the contractor and
      his/her subcontractors are not intended to and shall not in any manner
      limit or qualify the liabilities and obligations assumed by the contractor and
      his subcontractors under this contract.

      Any insurance carried by the owner which may be applicable shall be
      deemed to be excess insurance and the contractor’s insurance primary for
      all purposes despite any conflicting provision in the contractor’s policies to
      the contrary.

      For insurance purposes, the title of ownership of materials furnished under
      this contract shall remain with the contractor until the owner receives such
      materials at the specified destination.

      Additional Insured

      Upon award, all insurance coverages furnished under this contract, except
      for Workers’ Compensation and Employer’s Liability, shall include the
      owner and its board members, officials, directors, partners, consultants,
      agents, and employees as additional insured’s with respect to the
      activities of the contractor and his subcontractors. These policies shall
      contain a “cross-liability” or “severability of interest” clause or
      endorsement. Notwithstanding any other provision of these policies, the
      insurance afforded shall apply separately to each insured, named insured,
      or additional insured with respect to any claim, suit, or judgment made or
      brought by or for any other insured, named insured, or additional insured
      as though a separate policy had been issued to each, except the insurer’s
      liability shall not be increased beyond the amount or amounts for which
      the insurer would have been liable had only one insured been named. The
      owner shall not by reason of their inclusion under these policies incur

      liability to the insurance carrier for payment of premium for these policies.

      Waiver of Subrogation

      The contractor and his/her subcontractors shall require their insurance
      carriers, with respect to all insurance policies, to waive all rights of
      subrogation against owner, its board members, officials, directors,
      partners, consultants, agents, and employees.

      KUA shall be exempt from, and in no way liable for, any sums of money
      which may represent a deductible in any insurance policy. The payment of
      such deductible shall be the sole responsibility of the contractor and/or
      subcontractor providing such insurance.

      Certificates of Insurance

      A Certificate of Insurance Form will be furnished by the Contractor upon
      notice of award.       These shall be completed by the authorized
      representative and presented to the Finance & Risk Management
      Department/Purchasing Division. The certificate shall be dated and show
      the following:

             The name of the insurer, the effective and termination date, the
             specified job by name and quote number, name of the insured
             contractor and the policy number.

             Statement that the insurer will mail notice to KUA at least thirty (30)
             days prior to any material deviations or cancellations of the policy.

             Shall include all deductibles and/or self insurance retentions for
             each line of insurance coverage.

             The Certificate(s) of insurance shall designate KUA as certificate of
             holder as follows:

      This insurance shall protect the contractor against all claims under
      applicable state workers’ compensation laws. The insured’s shall also be
      protected against claims for injury, disease, or death of employees which,
      for any reason, may not fall within the provision of a workers’
      compensation law. This policy shall include an "all states" or "other
      states" endorsement.

      motor vehicles licensed for highway use, whether they are owned, non-
      owned, or hired.

      This insurance shall be an "occurrence" type policy written in
      comprehensive form and shall protect the contractor and the additional

      out of any act or omission of the contractor or his agents, employees, or
      subcontractors. This policy shall also include protection against claims
      insured by usual personal injury liability coverage, a "protective liability"
      endorsement to insure the contractual liability assumed by the contractor

      and "Completed Operations and Products Liability" coverage (to remain in
      force for 2 years after final payment).

      Umbrella Liability Policy

      This insurance shall protect the contractor and the additional insured
      against all claims in excess of the limits provided under the employer’s
      liability, comprehensive automobile liability, and the comprehensive
      general liability policies. The liability limits of the umbrella liability policy
      shall not be less than $5,000,000. The policy shall be an “occurrence”
      type policy.

      Extension Option and Escalation/De-Escalation:

      KUA will enter into an agreement with contractor for a one (1) year period
      with the option to automatically renew that agreement for four (4)
      additional one year terms, provided the same terms, conditions and prices
      exist. KUA may renew the agreement pursuant to issuance of a Purchase
      Order (P.O.) signed by KUA. P.O.s may be issued with an electronic
      signature. P.O.s signed electronically shall be fully effective and legally
      enforceable. By furnishing any services in response to a P.O. and/or
      giving any other indication of acceptance or renewal by P.O., the
      contractor agrees to be bound by all the terms and conditions set forth
      therein. Every P.O. issued under this above-numbered RFP will be
      considered an enforceable addition to the Contract Documents.

      Proposal prices shall remain firm for a period of one (1) year from the date
      of an award. At the time the option to renew is to be exercised, the
      proposal prices may be changed only if a substantial increase occurred in
      the manufacturer's production cost. This shall not result in any way in an
      increase of the vendor's margin of profit.

      All written requests for price increases must include supporting
      documentation as to the nature of the increase and shall be submitted to

      the Manager of Accounting at least one hundred twenty (120) days prior to
      renewal of a contract. Approval of each request shall be by written
      confirmation from the Manager of Accounting. Should KUA consider said
      increases unwarranted or unreasonable, KUA reserves the right to
      terminate the contract with the vendor and re-advertise or select a second
      supplier.

      Any price declines at the manufacturer's level shall be reflected in an
      immediate reduction of the proposal prices and the vendor shall notify the
      Manager of Accounting of said decline.

      Consideration for Indemnification:

      Contractor shall, to the fullest extent permitted by laws and regulations, and
      in consideration of 1 percent of the Lump Sum Price, the amount of which is
      included in the contract price, defend, and indemnify KUA as stated in the
      General Conditions.

                                   SCOPE OF SERVICES
                                   Section 3


3.1   Requirement/Specification

      3.1.1 Proposal is for meals to be provided for emergency situations,
            including but not limited to hurricanes and tornados, for breakfast,
            lunch and dinner for KUA employees, contractors and mutual aid
            employees (workers).

      3.1.2 Set-up, clean up, and provision of tent, tables and chairs for the
            purpose of providing food and drinks to workers beginning 24 hours
            after such time that KUA crews have been dispatched subsequent
            to the emergency.

      3.1.3 All meals and drinks will be provided by this service, along with all
            paper products and ice for drinks.

      3.1.4 All portions should be largest available.

3.5   Qualification of Caterer

      Successful proposers must meet the following qualifications and provide
      evidence thereof with their submittal:

      3.5.1 The proposer must have been licensed to conduct          a     catering
            business in the State of Florida for at least the past two years;

      3.5.2 Proposer must be able to respond within a 24 (twenty four) hour
            turnaround period of time, to begin when KUA crews are
            dispatched.    Proposer is responsible for contacting KUA to
            determine timing of first meal to be served.

      3.5.3 Proposer must provide all cooking equipment and fuel needs. No
            cooking facilities will be provided on site. Proposer shall have
            accommodations in which to prepare and store meals in a well-kept
            clean environment. All state and local food service codes must be
            met at all times.

Preference shall be given to businesses with drug-free workplace programs. Whenever two or more proposals which are equal with respect to price,
quality, and service are received by the State or by any political subdivision for the procurement of commodities or contractual services, a proposal
received from a business that certifies that it has implemented a drug-free workplace program shall be given preference in the award process.
Established procedures for processing tie proposals will be followed if none of the tied proposers have a drug-free workplace program. In order to

            violation of Chapter 1893 or of any controlled substance law of the United States

            assistance or rehabilitation program if such is available in the employee's
            community, by any employee who is so convicted.

                              CONTRACT AGREEMENT


THIS CONTRACT AGREEMENT, made and entered into this                 day of
                      , 2005, by and between the KISSIMMEE UTILITY AUTHORITY,
hereinafter referred to as the “Owner” and                         , hereinafter
referred to as the “Contractor,”

WITNESSETH:

THAT WHEREAS, the Owner has prepared, in accordance with the law, specifications,
plans, terms and conditions and other Contract Documents for the work as herein
specified; and

WHEREAS, the Contractor has submitted to the Owner, a proposal in accordance with
the terms of this Contract Agreement and the Contract Documents; and

WHEREAS, the Owner, in the manner prescribed by law, has determined and declared
Contractor to be the lowest responsible proposer for the work specified herein and has
duly awarded to Contractor a contract therefore, for the sum or sums named in the
Contractor’s proposal.

NOW, THEREFORE, in consideration of the compensation to be paid to the Contractor
and of the mutual agreements contained herein and in the Contract Documents, the
parties to these presents have agreed and hereby agree, the Owner for itself and its
successors and assigns, and the Contractor for itself, and its successors and assigns or
executors and administrators, as follows:

ARTICLE I. That the Contractor shall furnish the materials and/or services as specified
and required in accordance with the provisions of the Contract Documents, which are
attached hereto and incorporated by reference herein (and including subsequent
amendments to the Contract Documents, even though such amendments are not
attached hereto) and shall execute and complete all work included in and covered by
the Owner’s official award of this Contract Agreement to the Contractor.

ARTICLE II. That the Owner shall pay the Contractor for the work and materials
embraced in the Contract Agreement, as also set forth in the Contract Documents, and
the Contractor will accept as full compensation therefore, the sum (subject to any
adjustments as provided by the Contract Agreement or Contract Documents) of
             for all work covered by and included in the contract award; payment to be
made in cash or its equivalent in the manner provide in the specifications attached
hereto.

ARTICLE III. That time of completion is a basic consideration of the Contract
Agreement, and the Contractor shall proceed with the specified work and shall conform
to the specified schedule.
