PURSUANT TO N.J.S.A. 27:23-6.1 AND N.J.A.C. 19:9-2.1 et seq. BID PROPOSALS WHICH

1.         Bid proposals must be received at or before the public opening time stated on the cover page at the
           following place: New Jersey Turnpike Authority, Administration Building, 581 Main Street,
           Woodbridge, New Jersey 07095. Telephone, Telefacsimile or Telegraph proposals will not be
           accepted. The accompanying self-addressed envelope should contain or be attached to the Request
           for Quotation.

2.         The bidder must sign the Proposal and Non-Collusion Affidavit (Signature Page).

3.         The Proposal must include all price information. Proposal prices shall include delivery of all items
           F.O.B. destination or as otherwise provided. Price quotes must be firm through issuance of contract.

4.         All proposal prices must be typed or written in ink.

5.         All corrections, white-outs, erasures, re-striking of type, or other forms of alteration or the
           appearance of alteration, to unit and/or total prices must be initialed in ink by the bidder.

6.         The bidder must attend the mandatory        site inspection at the following date(s) and time(s) if

Sealed proposals for Requisition RM-605 will be received in the New Jersey Turnpike Authority
Administrative Offices, 581 Main St., Woodbridge, New Jersey, as stated on the cover page at
which time and place said proposal will be publicly opened and read.

                                               INTENTION

It is the intention of the Authority to issue a Price Agreement for the purchase of a Service
Agreement for The Repair of Generators & Electrical Switching Apparatus for the NJ Turnpike
and The Garden State Parkway. Items purchased off this Agreement will be delivered as directed
by the Authority.

                                   BID SHEET INSTRUCTIONS

 The Agreement will be awarded to the Bidder who proposes the lowest total cost for the Items as
listed on the Request for Quotation. Unit prices for each Item must be submitted. No lump sum
bids will be accepted. All mileage, costs and tolls incurred by the Contractor are not reimbursable
and should be calculated in the hourly rate.

If a bidder is basing the proposal on items other than what is specified, and wishes the items he
proposes to be considered as an "Approved Equivalent", the Bidder shall submit on the Exception
Sheet in the exact format of the line item on the Request for Quotation contained herein, the Item
number, an item description, including manufacturers name, model number, and packaging
quantities of those Items which the Bidder proposes to substitute.

The Authority will purchase amounts of any given item as needed, at the sole discretion of the
Authority. All items are to be bid FOB Destination. All shipping, handling, and other costs should
be considered in the bid price.

          Award will be made to the lowest, responsible bidder for the total Items bid.

                      AUTOMATIC ELECTRICAL SWITCHING APPARATUS
                   AT NEW JERSEY TURNPIKE AND GARDEN STATE PARKWAY
                                       FACILITIES

                                            AUGUST 2008



1.      PURPOSE AND INTENT
        The purpose of this Request for Quotation is to obtain proposals from responsible bidders
to furnish all labor, replacement parts, minor materials, services, equipment, tools and insurance to
perform required repairs and regular maintenance on New Jersey Turnpike and Garden State
Parkway emergency generator sets and related electrical switching apparatus (transfer switches),
including but not limited to, all facilities listed hereinafter.

        The name “Authority” or “NJTA” hereinafter refers to the New Jersey Turnpike
        Authority, 581 Main Street, Woodbridge, NJ 07095. The name “Contractor” hereinafter
refers to the Company hired and retained by Authority on an annual basis to perform required
repairs on emergency generator sets and related electrical switching apparatus (transfer
switches) as indicated in the Specifications.

2.     CONTRACT PERIOD
       The term of the Contract shall commence upon receipt of an Authority Purchase Order
and shall terminate on the date one (1) year after the date of the Purchase Order or until such a
time as the need for such services are no longer required, whichever comes first.

        The Authority, at its sole discretion, may choose to extend this Contract for an additional
two (2), one (1) year terms. The Authority will notify the Contractor, in writing, thirty days prior to
the end Agreement of its intent to extend, at which time, the original bid prices may be subject to
re-negotiation; provided however, that such re-negotiation shall not result in an increase that
exceeds ten percent (10%) from the preceding Contract year. The Authority reserves the right to
terminate said extension at any time by giving the Contractor thirty days notice, in writing, of its
intent to terminate.

3.      CONTRACTOR’S QUALIFICATIONS
        All firms submitting a quotation shall complete, sign and return, with their proposal, the
attached Statement of Contractor’s Qualifications Sheet. Failure to do so may result in an automatic
rejection of the submitted bid.

NOTE: Qualification minimums shall be as specified on the “Qualification Statement” sheet.

4.     GENERAL REQUIREMENTS
       All work performed under the Contract shall be done in accordance with the following
conditions:

         A.     The Contractor shall remove all debris, garbage, equipment and materials from the
job site upon completion of the job.

        B.      All work performed shall be in accordance with all currently acceptable inspection,
analytical, troubleshooting and electrical wiring methods.

        C.      If the Contractor is aware a generator set or transfer switch must remain out of
service for an extended period of time to facilitate the necessary repairs, the Turnpike or Parkway
Buildings Manager must be notified in advance for scheduling purposes.

       D.    Work under this agreement must be performed during NJTA regular working
hours, Monday through Friday, 8:00 am through 4:30 pm. Other times must be by prior
arrangement.

        E.     The Contractor shall have a system in place to field and respond to emergency
repair requests on 24 hour a day, 7 day a week basis.

        F.     The Contractor shall provide all personal protective equipment (PPE) such as
harnesses, hardhats, safety glasses and breathing protection and certify that all service personnel
are trained and qualified in their use.

         G.     The Contractor shall perform all generator testing in accordance with local, state
and federal regulations as well as the Authority’s Emergency Generator Testing and Maintenance
SOP-001 (standard operating procedures) pertaining to the operation of emergency generators. The
Contractor shall also complete the Authority’s Generator Preventative Maintenance Check List as
set fort in SOP-001.



5.     WORK TO BE PERFORMED
       All work performed under the Contract shall be done in accordance with the following:

        A.     The Contractor shall furnish all labor, replacement parts, minor materials, services,
equipment, tools and insurance necessary to perform the required repairs and regular maintenance
necessary to ensure all emergency generator sets and related electrical switching apparatus
(transfer switches) operate in a safe, proper condition consistent with their design.

       B.       The Contractor shall take a systematic approach to troubleshooting utilizing a
checklist for both the generator set and electrical switching apparatus (transfer switch). A report or

copy of the work order for all work completed, including replacement parts, shall be forwarded to
the respective Electrical Maintenance Foreman for that area.

        C.      The Authority’s Maintenance Staff will first investigate all emergency generator set
and related electrical switching apparatus (transfer switch) complaints. If the problem cannot be
corrected or bypassed temporarily, a call will be made to the Contractor describing the problem.
The Contractor shall respond to the facility within four (4) hours. In most cases the Authority’s
Maintenance personnel will assist the Contractor while at the facility. This eliminates duplication
of efforts and expedites the callout of additional Authority tradesmen if required.

             Work performed under this Contract shall be considered either Normal or
Emergency Service and is defined as follows:

             (a)    Normal Service: Work performed by the Contractor during regular working
hours, Monday through Friday 8:00AM -4:30PM (excluding holidays), shall be considered Normal
Service.

              (b)    Emergency Service: Work performed by the Contractor during all hours not
considered regular working hours.

6.      PARTS
        The Contractor shall repair or replace worn or defective parts with the appropriate OEM
(original equipment manufacturer) parts. Substitute parts shall not be used without the prior
written consent of the Authority.

       Repair parts will be billed at the Manufacturer’s List Price minus the discount submitted on
the Request for Quotation Sheet. The Authority reserves the right to verify the current
manufacturer’s List Price, and if necessary, alter the payment invoice to reflect the current
Manufacturer’s List Price.

         If it shall become necessary to special order a part to complete a repair, the job specific
Work Order will show the job as “not complete.” The subsequent Work Order under which the
part is replaced must make reference to the original Work Order number; otherwise, the Authority
will not be aware that the service was not completed and payment can be withheld.

7.     VANDALISM OR DAMAGE
       If a component in service has been found to be vandalized or damaged, the Contractor shall
submit an invoice and voucher for services to recover the cost. Said invoice shall show the work
order or report number under which the part was replaced.

      All vandalized or damaged parts shall be returned to the Authority immediately upon
removal for investigation.

8.      REPORTING
        All work completed by the Contractor shall be documented and a report or completed
work order submitted to the responsible Building Maintenance General Foreman. The Contractor
shall also submit a copy of said report along with the invoice for back-up purposes.

9.      RESPONSIBILITY OF THE CONTRACTOR
        The Contractor shall not sublet, subcontract, assign or otherwise transfer in any way, its
obligations, or the performance of the same or any equipment included in this Contract without
the prior written consent of the Authority.

10.     TRAFFIC, TOLLS AND SAFETY
         Turnpike passes will not be issued to the Contractor. All mileage, costs and tolls
incurred by the Contractor are not reimbursable and should be calculated for in the hourly rate.
Contractor vehicles will not be permitted to use Z-turns, median U-turns, grade separated U-turns
or make U-turns across the median or in any Toll Plaza area. Any vehicle making illegal turns will
be subject to a summons by the State Police. Access to the work site in this Contract may be via
Turnpike interchanges by means of revenue toll tickets or via local streets. If access is via the
Turnpike, egress must also be via the Turnpike. If access is via local streets, egress must also be via
local streets. Exiting the Turnpike via an access gate, as at Service Areas or Maintenance Facilities,
constitutes an evasion of tolls and is prohibited by Authority regulations, NJAC 19:-1.19.

11.    PERSONNEL AND VEHICLES
       All personnel servicing this Contract shall be neat in appearance.

       All Contractor vehicles shall be marked in a prominent location with the company name
such that it will be recognizable to the State Police who patrol the Authority’s facilities.


12.      SITE INSPECTION
         Prospective bidders are encouraged to be familiar with the equipment in place at the
Turnpike and Parkway locations noted on the bid. Bidders who have not previously held this
Contract are encouraged to call Mr. Charles Ortiz, Assistant Buildings Manager – Turnpike, at
(609) 426-6390 and Mr. Thomas Dilger, Assistant Buildings Manager – Parkway, at (732) 442-
8600, EXT. 2822, respectively, to arrange for an inspection of an Office Complex, Interchange,
Maintenance District and Service Area which are typically representative of the equipment found
at all locations. The bidder may inspect additional areas by appointment.

3.    Contractor shall be a prime industrial emergency power and generator/switchgear
      installation and repair company. No subcontracting work will be accepted.

4.    Contractor shall maintain a working stock of spare parts or have 24 hour accessibility
      to a parts warehouse.

5.    Contractor shall be fully capable and able to obtain OEM parts for ASCO brand
      transfer switches.
