                        HANDHELD COMPUTER AGREEMENT
                                     FOR
                   SAN ANTONIO INDEPENDENT SCHOOL DISTRICT


This Agreement (“Agreement”) is between San Antonio ISD (the “District) and the employee of the
Campus identified below (“Employee”) who hereby agree as follows:

1.     Introduction. The District has offered teachers and administrators the opportunity to use a
       Handheld Computer for use on or off school premises. STUDENTS USE OF THIS
       HANDHELD COMPUTER IN A CLASSROOM SETTING IS EXPECTED WHEN
       APPROPRIATE. Because handheld computers are portable and by their nature more susceptible
       to damage and theft, the District has required that s, teachers and administrators must undertake
       the financial responsibility for the loss or destruction of the equipment. EXCEPT WHEN SUCH
       DAMAGE IS CAUSED BY STUDENTS WHILE USING THE HANDHELD COMPUTER IN
       A CLASSROOM SETTING.

2.     Use Of Equipment. Employee agrees to use the Equipment in accordance with the District‟s
       acceptable use policies and never to use the Equipment in a way that is illegal, immoral or
       inappropriate to the educational purpose intended. Employee agrees to make the Equipment
       available to representatives of the District for audit purposes upon (3) days prior oral or written
       notice. The District may assume that any information on the Equipment when it is returned is not
       confidential information of Employee. The employee agrees to keep the Handheld Computer‟s
       battery charged at all times.

3.     Financial Responsibility. Employee acknowledges that their Campus owns and shall retain title to
       the Equipment and Employee agrees to bear the cost of loss or damage to the Equipment during
       the term of the TPRI Handheld Implementation or 3 years. Employee agrees that he or she will
       promptly pay to the District the full replacement cost of such Equipment (approximately $250) if
       the Equipment is damaged, destroyed, lost or stolen or for any reason the Employee is unwilling
       or unable to return it at the end of the TPRI Handheld Implementation (August, 2007) term
       EXCEPT WHEN DAMAGE IS CAUSED BY STUDENTS WHILE USING THE HANDHELD
       COMPUTER IN A CLASSROOM SETTING. THE EMPLOYEE UNDERSTANDS THAT HE
       OR SHE IS RESPONSIBLE FOR LOSS OR DAMAGE TO THE EQUIPMENT WHEREVER
       IT OCCURS, BOTH ON AND OFF THE DISTRICT‟S PROPERTY. In the case where the
       District has recovered insurance proceeds from the loss or damage to a handheld computer, the
       District agrees not to also seek recovery of the replacement cost from Employee. (These
       circumstances are usually limited to a theft from school property with physical evidence of break
       in and a certified police case number). The Employee is responsible for securing the handheld
       computer property overnight or over the weekend in the school building.

4.     Salary Official. If the Employee fails to return the Equipment at the end of its lease, the
       Employee agrees to pay the District the full replacement cost of the Equipment. The District may
       in its sole discretion, deduct such debt from the Employee‟s salary in order to offset Employee‟s
       obligation to the District.

5.     Acknowledgement Of Delivery. Employee acknowledges that the Equipment has been delivered
       to him or her and accepts such Equipment „as is‟ on the terms and conditions set forth in this
       Agreement. The District makes no warranty, expressed or implied, with respect to the
       Equipment. The District owns and shall retain title of the Equipment until it is transferred to the
       Campus while it is in the possession and control of Employee.

7.     Miscellaneous. This Agreement constitutes the entire agreement between the parties and there are
       not other agreements, written or oral, with respect to the subject matter hereof. Any waivers or
       amendments to this Agreement must be in writing, signed by both parties. This Agreement is not
       assignable by Employees.
