The US is staring at depression-level corporate earnings and share prices just as proxy season moves into full swing. The accounting values displayed for executive compensation in the new proxy statements will not reflect realizable values and the substantial drop in executive comp unfolding at many companies. This year marks the third proxy season affected by the 2006 SEC rules on executive pay disclosure. This proxy season has generated more shareholder actions on executive compensation than any season on record, according to RiskMetrics Group, with early reports indicating that an unprecedented number of proposals, including some first-year proposals, may pass.
