State of North Carolina Department of the Secretary of State ARTICLES OF AMENDMENT NONPROFIT CORPORATION
Pursuant to §55A-10-05 of the General Statutes of North Carolina, the undersigned corporation hereby submits the following Articles of Amendment for the purpose of amending its Articles of Incorporation. 1. The name of the corporation is: Society for the Preservation of Physician Assistant History, Inc. (SPPAHx) 2. The text of each amendment adopted is as follows (state below or attach): Please make the revisions in the following Articles of Incorporation: Article 4: The mailing address of the registered office is: 950 North Washington St., Alexandria, VA 22314 Article 5: The name of the registered agent in North Carolina is: CT Corporation Systems, 225 Hillsborough Street, Raleigh, NC, 27603 (county: Wake). Article 9: Any other provisions which the corporation elects to include are as follows: Appointment of Trustees and Tenure: Trustees shall be appointed by the Board of Directors of the American Academy of Physician Assistants, Incorporated. Each Trustee appointed shall hold office for a three-year term. Not withstanding the foregoing, trustees shall be limited to two consecutive terms. Terms will commence on July 1 of each year. Article 10: The street address and the county of the principal office of the corporation is: 950 North Washington St., Alexandria, VA 22314 Article 11: The mailing address of the principal office of the corporation is: 950 North Washington St., Alexandria, VA 22314 3. 4. The date of adoption of each of the above amendments was as follows: March 15, 2007
(Check a, b, and/or c, as applicable) a._ __The amendments were approved by a sufficient vote of the board of directors or incorporators, and member approval was not required because the bylaws of the Society state that the Board of Directors “assume all powers of the Society during the interim between membership meetings, except that the Board may not nullify or modify any action taken at the membership meetings…” The Board is acting on this authority and with the consent of the membership on October 27, 2006 to pursue negotiations with the American Academy of Physician Assistants to become its historic arm as a 501 (c)(3), [509(a)(3)]. b._______The amendment(s) was (were) approved by the members as required by Chapter 55A. c._______Approval of the amendment(s) by some person or persons other than the members, the board, or the incorporators was required pursuant to N.C.G.S. §55A-10-30, and such approval was obtained.
