            AMENDMENT TO SUBPOENA AND SUBPOENA DUCES TECUM

               Pursuant to MPSC Rule 3 19 (R 460.17319) you have been previously directed to

attend and testify orally at a hearing in this matter on Friday, August 13, 1999 at 9:00 a.m., or until

excused by the presiding officer, and to produce certain notes, records, documents, or other tangible

materials previously specified. Such subpoena and subpoena duces tecum remain in force. In

addition, you are hereby ordered to produce:

                1.     Provide a copy of the interconnection agreements, and modifications thereto,
                       which are applicable to the operations and interchange of power and
                       payments, between American Electric Power, and its operating subsidiaries,
                       including any and all subsidiaries such as Indiana Michigan Power Company,
                       Ohio Power Company, and other operating subsidiaries of the American
                       Electric Power system. Please provide a copy of the FERC orders which have
                       approved the latest such interconnection agreements, or modifications
                       thereto.
         2.    Please provide a copy of all state commission orders, or settlement
               agreements, or other orders, which have been issued upon review of or
               approval of the proposed merger of American Electric Power with Central
               and South West. Please provide any order issued by FERC regarding the
               proposed merger, or any settlement of any such merger case. This and all
               other requests are deemed to be continuing requests, so that such information
               will be provided to the date of hearing in this case.

         3.    Please provide all documents which relate to the financing of the costs of
               expenditures at I&M’s Cook Plant on and after the outage of September
                1997, and relative to the financing of the Cook Plant generally. Please include
               all documents including prospectuses, correspondence with banks or between
               those financing such expenditures and I&M or American Electric Power or
               any subsidiary thereof, any provisions of interchange or purchase power
               agreements, merger agreements, or any agreements whatsoever which
               referenced said expenditures and the financing and cost responsibility thereof.
               Please indicate which documents relate to American Electric Power
               responsibilities    and which documents relate to I&M’s separate
               responsibilities as a subsidiary. Please provide a copy of documents whereby
               American Electric Power would guarantee or assist with the financing of the
               I&M expenses at the Cook Plant.

         4.    Provide a copy of all documents which demonstrate the analysis undertaken
               to determine whether the Cook Plant should be the subject of further
               expenditures, investment, refurbishment, and a cost benefit analysis and any
               documents whatsoever which detail the decision making process, risks,
               benefits, or considerations relevant to the determination by either American
               Electric Power or I&M to incur expenses or investment at the Cook Plant to
               bring it back online following or on or after the outage since September 1997.
