									           BUYER REFERRAL AND ASSIGNMENT AGREEMENT
                                   Ascent Wealth Strategies




This Buyer Referral and Assignment Agreement (this “Agreement”), dated the ______ day of
_________________, 20_____, is entered into by and between Ascent Wealth Strategies
(“Referring Broker”) and ________________________ (“Receiving Broker”), both of whom
are licensed real estate agents in the state of Colorado.

                                           RECITALS

        A.     Referring Broker will enter into an Exclusive Right-To-Buy Contracts, dated May
10th, 2008 (the “Buyer Agency Agreement”), with (“Buyer”), pursuant to which Buyers will
retain Referring Broker as Buyer’s exclusive buyer’s agent.

        B.      Pursuant to the Buyer Agency Agreements, Referring Broker has the right to
assign its rights and responsibilities under the Buyer Agency Agreements to other brokers and/or
brokerage firms;

        C.      Subject to the terms and conditions hereof, and in consideration of the referral
fees to be paid hereunder, Referring Broker desires to assign to Receiving Broker its rights and
responsibilities under the Buyer Agency Agreements with respect to real estate transactions
involving all Buyers referred from Ascent Wealth Strategies to Receiving Broker.

       NOW, THEREFORE, the parties, intending to be legally bound and for good and
valuable consideration, the sufficiency of which is hereby acknowledged, do hereby agree as
follows:

        1.       Assignment. Subject to the terms and conditions hereof, Referring Broker hereby
assigns and delegates its rights, responsibilities and duties under the Buyer Agency Agreement to
Receiving Broker, and Receiving Broker hereby accepts such assignment and delegation. Buyer
consents to such assignment and delegation. Receiving Broker shall be fully responsible for the
performance of Referring Broker’s obligations under the Buyer Agency Agreement, and
Referring Broker shall have no liability for any action of Receiving Broker. Subject to the
referral fee described in Section 2 hereof, Receiving Broker shall be entitled to the commission
set forth in the Buyer Agency Agreement.
           2.    Referral Fee.

Receiving Broker has no previous relationship with Buyer. In consideration of the referral of
Buyer, Receiving Broker shall pay Referring Broker a referral fee in the amount of 30% of the
gross commission received by Receiving Broker or 1% of the purchase price on the closing of
any real estate transaction in Colorado involving Buyer for which Receiving Broker is entitled to
receive a commission, which ever is greater.

       (b)     Receiving Broker shall pay the referral fee to Referring Broker within 3 business
days of the closing of the transaction to which the referral fee relates.

       (c)    This referral fee shall be paid for the first transaction after the execution of this
Agreement and on all future transactions for which Receiving Broker receives or is entitled to
receive a commission or compensation.

         3.     Scope of Referral. Receiving Broker acknowledges that this Agreement, and the
assignment and delegation of Referring Broker’s rights, responsibilities and duties under the
Buyer Agency Agreement, relates only to real estate transactions involving Buyer in the State of
Colorado and does not constitute an agreement between Referring Broker and Receiving Broker
with respect to real estate transactions in any areas outside of the State of Colorado or to any real
estate transactions involving other current or potential clients of Referring Broker or Receiving
Broker.

       4.      Return of Buyer. In the event that Receiving Broker cannot satisfy Buyer’s
needs, Receiving Broker will return Buyer to Referring Broker and will re-assign the Buyer
Agency Agreement to Referring Broker. Receiving Broker shall not further refer Buyer to
another broker without the prior written consent of Referring Broker.

        5.     Termination. This Agreement shall terminate upon the earlier of (i) the
termination or expiration of the Buyer Agency Agreement or (ii) the date that is three years from
the date hereof.

       6.     Governing Law; Arbitration. This Agreement shall be governed by Colorado law,
and any disputes hereunder shall be resolved through binding arbitration with venue being proper
in Colorado. The prevailing party shall be awarded actual attorneys’ fees and costs.

I hereby consent to the assignment of the Exclusive Right-To-Buy agreement I signed with
Market Place Professionals R.E. Services, LLC to Receiving Broker.
