        I, @name@, a resident of Mobile County, State Of Alabama, being in good
health, of sound mind and disposing memory, and not acting under duress, menace, fraud,
or undue influence of any person whatever, do make, publish and declare this instrument
as and for my Last Will and Testament. I hereby revoke all wills and codicils that I have
previously made.

                                      ARTICLE I
                              DISPOSITION OF PROPERTY

Alt 1: (All to spouse THEN all to children in equal shares).

A.        I give, bequeath and devise all of my property, whether real, personal or mixed, of
          whatever kind or character, and wherever situated, to my beloved spouse,
          @spouse@. However, if my spouse shall not then survive me, this bequest shall
          be distributed to my beloved children, ___; provided, however, that if any child of
          mine shall not then survive me, but should leave issue then surviving me, such

       then surviving issue shall take, per stirpes, the share that such deceased child
       would have taken by surviving me.


Alt 2: (All to children - There is no wife).

A.     I give, bequeath and devise all of my property, whether real, personal or mixed, of
       whatever kind or character, and wherever situated, to my beloved children,
       namely, _____; provided, however, that if any child of mine shall not then survive
       me, but should leave issue then surviving me, such then surviving issue shall take,
       per stirpes, the share that such deceased child would have taken by surviving me.

Alt 2: (All to person other than wife or kids; then to their issue).

A.     I give, bequeath and devise all of my property, whether real, personal or mixed, of
       whatever kind or character, and wherever situated, to _____. However, if said
       beneficiary shall not then survive me, but should leave issue then surviving me,
       such then surviving issue shall take, per stirpes, the share that such deceased
       beneficiary would have taken by surviving me.

B.     Any other property of mine that has not been disposed of under any other
       provision of this Will shall go and be distributed to my heirs at law. Their
       identity and respective shares shall be determined in all respects as if my death
       had occurred immediately following the happening of the event requiring such
       distribution, and according to the laws of Alabama then in force governing the
       distribution of the estate of an intestate.

NOTE: (Use only if he is disinheriting any children).    D.      I am mindful that I
     have ___ children, named ___; but I have knowingly and intentionally made no
     provision in this Will for him, her, them. I hereby give them my eternal love and
     affection.

D.     Residuary Clause: Any other property of mine that has not been disposed of
       under any other provision of this Will shall go and be distributed to my heirs at
       law. However, any property of mine that is disposed of under this Residuary
       Clause shall pass as if my child, ___, had predeceased me without issue. The
       identity of my heirs at law, and their respective shares, shall be determined in all
       respects as if my death had occurred immediately following the happening of the
       event requiring such distribution, and according to the laws of Alabama then in
       force governing the distribution of the estate of an intestate.



                             ARTICLE II
               NOMINATION OF PERSONAL REPRESENTATIVE

A.   Personal Representative: I hereby nominate my beloved spouse, @spouse@, as
     Personal Representative hereunder. If she shall resign, or for any reason fails or
     ceases to qualify, or is unable or unwilling to act or to continue to act in the
     capacity of Personal Representative, then I hereby designate and appoint ,      as
     successor Personal Representative hereunder.

B.   Substitute, Successor Or Ancillary: All references in this Will to my "Personal
     Representative" include the original, substitute, successor and ancillary Personal
     Representative. My substitute, successor or ancillary Personal Representative
     shall be vested with the same exemptions, powers and authority as granted herein
     to my original Personal Representative.

C.   Waiver Of Bond, Inventory And Accounting: I exempt my Personal
     Representative, whether original, substitute, successor or ancillary, from having to
     give any bond for the performance of his or her duties arising hereunder; and,
     notwithstanding this request, any bond required by law, statute or rule of court
     shall have no sureties required thereon. I further exempt my Personal
     Representative, whether original, substitute, successor or ancillary, from having to
     file any inventory of assets coming into his or her hands as such Personal
     Representative. I further exempt my Personal Representative, whether original,
     substitute, successor or ancillary, from having to file any accounting, report or
     settlement with any Court.

D.   Ancillary Appointment: If, at the date of my death, I own or have an interest in
     any personal or real property located in another State or jurisdiction requiring
     ancillary administration in that State or jurisdiction, I hereby nominate my
     Personal Representative to serve as Ancillary Executor, or Ancillary
     Administrator, in said State or jurisdiction; with all of the powers, privileges and
     exemptions as those conferred upon said Personal Representative in this Will.
     This nomination shall be subject to approval by a Court or tribunal of competent
     jurisdiction in said State or jurisdiction.



                            ARTICLE III
                 PERSONAL REPRESENTATIVE'S POWERS

A.   I hereby grant to my Personal Representative the absolute discretionary power to
     deal with any of my property, real, personal or mixed, owned individually or
     jointly with others, and the authority to do all acts which I could do if I were
     living, in the handling of my affairs. Such power may be exercised independently
     and without prior or subsequent approval of any Court and no person dealing with
     any said fiduciary of mine shall be required to inquire into the propriety of any of
     his or her actions.

     Without in any way limiting the generality of the foregoing, I hereby grant to my
     Personal Representative acting prudently for the benefit of interested persons, all
     of the powers presently, or subsequently, authorized by the Code of Alabama;
     (including, without limitation, §43-2-843 and §43-2-844). All powers may be
     exercised without notice to anyone; and, without a hearing, order, approval or
     supervision of any Court.

B.   In addition to, and not in substitution of, powers conferred by law and the powers
     already granted in this Will, I grant to my Personal Representative the power to
     do each of the following without notice to anyone; and, without a hearing, order,
     approval or supervision of any Court:

     (01) Invest and re-invest in such stocks (common and preferred), bonds, and
     other securities as my Personal Representative may deem advisable, all without
     diversification as to kind or amount and without being restricted in any way by
     the Constitution of Alabama and any statute or court decision now or hereafter
     existing which regulates or limits the investment authority of Personal
     Representatives. I direct that my Personal Representative shall not be liable for
     any depreciation of securities or property held by me at my death and retained by
     him or her.

     (02) Acquire or dispose of an asset, including land in this or another state, for
     cash or on credit, at public or private sale; and manage, develop, improve,
     exchange, partition, change the character of, or abandon an estate asset.

     (03) Make ordinary or extraordinary repairs or alterations in buildings or other
     structures, demolish any improvements, or raze existing or erect new party walls
     or buildings.

     (04) Subdivide, develop, or dedicate land to public use; make or obtain the
     vacation of plats and adjust boundaries; adjust differences in valuation on
     exchange or partition by giving or receiving considerations; or dedicate easements
     to public use without consideration.

     (05) Enter for any purpose into a lease as lessor or lessee, with or without
     option to purchase or renew, for a term of more than one year.
