            Memorandum of Understanding between Member Organisations

Membership of the Best Practice Partnership is open to all Disability Support Organisations
that wish to adopt a culture of continuous improvement.

Outline
By this Memorandum of Understanding the Partnership aims to achieve the following;

1. Objectives

               a)      Develop a quality framework to underpin best practices in a range of key
                       issues and activities that build on existing reforms to the Disability Services
                       Standards to ensure the stability and viability of Disability Support
                       organisations.

               b)      Foster a spirit of co-operation between member organisations and promote
                       the mutual benefits of sharing information knowledge and resources in the
                       pursuit of quality and cost effective best practice.

               c)      Elect an advisory Committee to determine the quality and accuracy of any
                       information or examples which are to be promoted by the Partnership as best
                       practice examples.

               d)      Facilitate quarterly meetings of the members to enable them to meet with,
                       network and share ideas and information with other members.

               e)      Match member organisations with mentors who are willing to offer their
                       time, advice or experience in assisting another organisation with the benefit
                       of their skills or expertise in specific issues.

               f)      Develop and establish and maintain a password protected website of easily
                       accessed information, promoting good practice examples for the benefit and
                       use of all members of the Partnership.

               g)      Publish a quarterly newsletter for members of the Partnership.

2. Committee

               a)      The Committee will appoint a suitably qualified project officer to co-ordinate
                       the project and promote the benefits of the Partnership.

               b)      The Project Officer will be directed by and accountable to the Committee.

               c)      The Committee will meet as required to direct, evaluate and monitor the
                       progress.

3. Members

         The members of the Partnership agree to work in partnership with the other member
         organisations to

               a)      Identify opportunities for the ongoing development of the Partnership.

               b)      Recognise the value of input from a range of disability support organisations
                       within the Partnership.

               c)      Promote the implementation of initiatives as best practice models for the
                       benefit of people with a disability through joint publicity and other means.

               d)      Be willing to share information or act as a mentor where applicable, to assist
                       other disability employment organisations in continuous improvement/best
                       practice initiatives.

               e)      Participate and contribute to future directions in the disability services
                       industry in a manner that involves consumers.

         The members of the Partnership agree to abide by the following code of ethics
         established by the Partnership

               f)      The values of equality, tolerance and respect for others govern this code of
                       ethical conduct. Commitment to ethical professional conduct is expected of
                       all members of the partnership.

               g)      To assist fellow members in their professional development and to support
                       them in following this code of ethics.

               h)      To respect other member’s rights and privacy and never misuse any
                       information that has been given in good faith by another member in
                       commercial or personal confidence.

               i)      To avoid real or perceived conflicts of interest whenever possible and
                       disclose any conflict of interest to affected parties within the membership of
                       the partnership.

               j)      To credit properly the work done by other members and that of their
                       employees who have willingly provided and shared information, innovative
                       ideas or resources.

               k)      To avoid injury to other members, their organisation, their reputation or
                       employment by false, misleading or other action.

               l)      To help promote and foster a spirit of goodwill and co-operation among
                       members of the partnership.

               m)      Never misuse information that has been given in confidence by another
                       member organisation.

4. Alleged breaches of the Code of Ethical Conduct

     a) Any current member of the Best Practice Partnership may lodge in writing a notice of
        an alleged breach of the Code of Ethical Conduct by any another member
        organisation/s.

     b) The Committee will establish a Code of Ethical Conduct Panel to investigate the
        alleged reported breach or breaches by a member organisation/s.

     c) The Code of Ethical Conduct Panel will advise in writing all member organisations
        named in the alleged breach of the Code of Ethical Conduct that an official complaint
        has been received, detailing the alleged breach or breaches.

     d) Member organisations accused of an alleged breach of the Code of Ethical Conduct will
        be given at least 14 days to respond in writing to any allegations.

     e) Whilst investigating the complaint of an alleged breach of the Code of Ethical Conduct,
        the member organisation/s accused of the breach may be temporarily suspended from
        attending Best Practice Partnership meetings until the Panel determines its findings and
        makes its recommendations. The Panel shall determine if any temporary suspensions
        should be imposed. Any temporary suspension includes suspension from the member’s
        only section of the Best Practice Partnership’s website.

     f) If the investigation by the Panel determines there is no breach of the Code of Ethical
        Conduct:
             - The Panel will inform the Committee in writing of their deliberations and result
                 of the investigation with recommendations;
             - The Committee will inform in writing the member organisations concerned in
                 the alleged breach or breaches; and,
             - These member organisations may be invited to follow the Dispute Resolution
                 procedure (if it has not already been used).

         Any temporarily suspended member organisation/s will be allowed to resume and
         continue participation in the Best Practice Partnership and attend its meetings.

OR

     g) If the investigation by the Panel determines there is a breach of the Code of Ethical
        Conduct the following disciplinary procedure will be adhered to.

6. Disciplinary Procedure for breaching the Code of Ethical Conduct

     a) Upon advice from the Code of Ethical Conduct Panel of a breach by a member
        organisation/s, the Committee shall determine the level of disciplinary action to be
        taken on a member organisation/s based on the nature of the breach or breaches and

         recommendations from the Panel. Such disciplinary action may include, but is not
         limited to:
             - Reprimanding or severely reprimanding the member organisation/s;
             - Imposing conditions on the membership of the member/s;
             - Suspension from the membership;
             - Expulsion from the Best Practice Partnership

    b) Any member organisation/s found to have breached the Code of Ethical Conduct has
       the right to appeal to the full membership of the Best Practice Partnership within 14
       days of receiving their written advice regarding disciplinary action to be taken. Such
       appeal must be lodged in writing with the Chairperson of the Best Practice Partnership
       for consideration by the members at the next scheduled meeting of the Partnership.

                (i)     Should the members of the Partnership uphold the disciplinary action, their
                        decision is final.

    OR

                (ii)    If the Partnership members uphold the appeal, the disciplined member
                        organisation/s shall be reinstated. The decision of the members of the
                        Partnership shall be final.
