                                          Tourism Committee
The Gloucester County Tourism Committee was established in conformance with the resolution
adopted by the Board of Supervisors of Gloucester County on November 4, 1998.

                                                   Article 1

                                               Committee Name

                  This Committee shall be known as the Tourism Committee of Gloucester County,
                  Virginia, hereinafter referred to as “the Committee.”

                                                Article 2

                                         Purpose of the Committee

                  The Tourism Committee shall act as an advocate for the local tourism industry, and
                  provide advice to staff and the Board of Supervisors. Specifically, they shall provide
                  input on budgeting and tourism initiatives, lobby for tourism interests when needed, and
                  network with other organizations to facilitate coordination of programs.

                  The committee, itself, will not plan and implement special events.

                                                Article 3


Section 1.        The Committee shall have between seven and twelve members made up of people with
                  expertise in the tourism industry. Positions shall be filled according to the interest and
                  availability of people willing to serve.

Section 2.        An appointed member of the Historical Committee shall always fill one of the seats.

Section 3.        Representatives will be appointed by the Board of Supervisors and shall be chosen from
                  the following sectors:

             1.   Lodging Industry                             8. Realtors/Property Management
             2.   Food Industry                                9. Historical Attractions
             3.   Recreational (Marinas,                       10. Gloucester Museum of History
                  Campgrounds, water sports)                   11. Board of Supervisors
             4.   Main Street Association                      12. At-large member - with expertise
             5.   Chamber of Commerce                              and/or strong interest in tourism
             6.   Retail -Large                                13. Historical Committee
             7.   Retail-Small

                     The Director of Parks, Recreation and Tourism or the Tourism Coordinator shall
                     serve as a non-voting, ex-officio member to the Committee.
Section 4.   Each voting member shall serve a term of three years. Upon expiration of the
             original term of office, a member can be re-appointed for one additional
             successive 3-year term. A member wishing to be re-appointed will be responsible
             for notifying the Chairperson of their interest in serving a second term, no later
             than September in the year his/her term expires.

Section 5.   The Chairman of the Board of Supervisors may, by and with consent of that
             Board, on recommendation of the Committee, remove any member of the
             Committee for misconduct or neglect of duty. Two absences in a calendar year
             shall constitute a resignation. If unable to attend a meeting, a committee member
             may send an alternate representative once a year which will not count as an

Section 6.   Vacancies occasioned by removal, resignation, or otherwise, shall be reported to
             the Board of Supervisors, and shall be filled in like manner as original

Section 7.   Committee members shall serve without monetary compensation. When
             officially representing the Committee, members shall be reimbursed for travel and
             subsistence to professional meetings, conferences and workshops.
             Reimbursement shall be in compliance with the policies of Gloucester County.

                                          Article 4


Section 1.   The officers of the Committee shall be a Chairperson, a Vice-Chairperson and a
             Secretary. The officers shall be elected at the organizational meeting in January
             to serve for one year or until a successor shall be elected and qualified.

Section 2.   Chairperson’s Duties: The Chairperson shall preside at all meetings, sign official
             papers, appoint committees, call special meetings when he/she deems it advisable,
             and perform all such duties as usually handled by a chairperson, except when such
             duties are properly delegated.

Section 3.   Vice-Chairperson’s Duties: The Vice-Chairperson of the Committee in the
             absence of the Chairperson shall perform all the duties of the Chairperson. In the
             absence of both the Chairperson and the Vice-Chairperson, the Committee shall
             elect a Chairperson Pro-Temp who shall perform and be charged with the
             responsibility to see that all standing and temporary committees function as
             planned by the Committee.

Section 4.   Secretary’s Duties: The Secretary shall perform the usual duties pertaining to the
             office as follows:
                1. Keep or cause to be kept a full and true permanent record of all meetings
                    of the Committee, including regular and special meetings, and shall be the
                    custodian of all pertinent documents.
                2. Issue minutes of the previous meeting to the Committee members
                   prior to all meetings.

Section 5.   Staff Relationship: The Director of Parks, Recreation & Tourism, or the Tourism
             Coordinator, has continuing responsibilities and working relationships to, and
             with, the Committee. He/she is an ex-officio member (by virtue of the office) and
             attends Committee meetings. He/she keeps the Committee informed concerning
             the interests, needs, objectives, progress, plans, and other factors of importance to

Section 1.   Regular meetings shall be held quarterly at a time agreed upon by the Committee.

Section 2.   Special meetings may be called by the Chairperson or on the written request of at
             least two members.

Section 3.   All meetings are to be open to the public.

Section 4.   The first regular meeting in January of each year shall be called the organizational
             meeting. The purpose of this meeting shall be the election of officers, the
             establishment of a meeting time and place, and other business that may need to
             come before such meetings.

Section 5.   Fifty-one percent (51%) of the committee membership shall constitute a quorum
             at any regular or special meeting.

                                           Article 6

                         Duties and Responsibilities of the Committee

Section 1.   The Committee shall make recommendations to the Board of Supervisors relating
             to tourism.

Section 2.   The Committee shall help determine the needs and interests for tourism services
             and facilities and recommend actions to meet these needs.

Section 3.   The Committee and the Parks, Recreation & Tourism staff shall prepare and
             recommend to the Board of Supervisors an annual budget sufficient to finance
             tourism. The budget shall be submitted to the Board of Supervisors at the time
             designated by the Board to hear the requests.
Section 4.   The Committee shall adopt by-laws, rules, and regulations governing its
             procedures and not inconsistent with the provisions of the state laws and the
             approved resolution as set forth by the Gloucester County Board of Supervisors.

Section 5.   The Tourism Committee shall make full and complete reports to the governing
             body at such times as may be requested and at such other times as the governing
             body may deem proper. The fiscal year of the Committee shall conform to that
             of the governing body of Gloucester County.

Section 6.   The Committee shall have no authority to enter into contract or incur any
             obligation binding the governing body of Gloucester County.

Section 7.   The Committee members shall work to educate both citizens and businesses of the
             advantages of increasing tourism in Gloucester County.

                                          Article 7


Section 1.   These by-laws may be amended at any regular meeting of the Committee
             by a majority vote of the entire Committee, provided previous notice of
             the nature of any proposed amendment shall have been given at least one
             regular meeting before the action thereon shall be taken.

                                          Article 8

                                       Rules of Order

Section 1.   The current parliamentary procedure as laid down in the current edition of
             Roberts Rules of Order Newly Revised shall govern all meetings of the
             Committee in which they are applicable and in which they are not
             inconsistent with these by-laws and any special rules this Committee may
