DEED OF ASSIGNMENT (By Way of Love & Affection)

THIS DEED OF ASSIGNMENT is made this Between

_____________________________ (NRIC No. ___________________) of __________________ (hereinafter called “the Assignor”) of the first part And _____________________ (NRIC No. _________________) of ____________________________ (hereinafter called "the Assignee") of the other part.

ARTICLE 1 RECITALS Whereas:1. By an agreement in writing dated _____________________ (hereinafter referred to as “the Sale and Purchase Agreement”) made between _________________________________ with its registered office at _________________________________________________ (hereinafter called “the Developer”) of the first part and the Assignor on the second part, the Developer sold and the Assignor purchased from the Developer free from encumbrances other than those imposed by the provisions of the Sale and Purchase Agreement and the conditions express or implied in the subsidiary title when issued and subject to the terms and conditions therein contained all that parcel of residential premises with vacant possession distinguished as _________________________________________________ (hereinafter referred to as “the said Property”), upon the terms and conditions therein contained. A strata title to the said Property has yet to be issued by the relevant authorities. The purchase price of the said Property has been paid in full to the Developer. The Assignor has agreed to assign the said Property and the Assignee has agreed to accept the assignment of all the rights title interests and benefits together with the liabilities and obligations of the Assignor under the Sale and Purchase Agreement in and to the said Property upon the terms and conditions herein appearing.

ARTICLE 2 ASSIGNMENT 2.1 Assignment

In consideration of love and affection of the Assignee to the Assignor, the Assignor assigns unto the Assignee absolutely the said Property together with all whatsoever rights title and interest vested in the Assignor in and to the said Property under or pursuant to the Sale and Purchase Agreement and the full benefits and liabilities and all stipulations granted thereby and contained therein and all remedies for enforcing the same.

ARTICLE 3 COVENANTS OF ASSIGNEE / ASSIGNOR 3.1 Covenants of Assignee

The Assignee hereby covenant and undertake with the Assignor that the Assignee shall perform, fulfill and observe all and every of the several terms, stipulations, agreements, covenants, provisions, restrictions and conditions on the part of the Assignor to be performed and observed as contained and expressed in the Sale and Purchase Agreement. 3.2 Covenant of Assignor

The Assignor hereby agrees covenants with and undertakes with the Assignee that the Assignor shall at all times hereafter save harmless and keep the Assignee indemnified against all actions, proceedings, claims, demands charges, costs, expenses, damages and penalties which may be brought or made against or incurred by the Assignee by reason or on account of the Assignor's non-observance of the terms and conditions contained in the Sale and Purchase Agreement or otherwise in relation thereto or arising therefrom or otherwise howsoever.

ARTICLE 4 ASSIGNEE IN PLACE OF ASSIGNOR 4.1 Assignee in place of Assignor

In amplification and not in derogation of the matters hereinbefore expressed and set forth the parties hereto hereby expressly agree and confirm severally with each other that subject only to the express terms and conditions and modifications herein contained the Assignee shall assume all and sundry the obligations and liabilities and shall be entitled to whatsoever benefits rights title and interest imposed upon or vested in the Assignor under or pursuant to the Sale and Purchase Agreement and each of the parties hereto severally covenants and undertakes to do all acts and execute all instruments necessary or expedient for the purpose of effecting the stipulations hereinbefore expressed.

ARTICLE 5 ASSIGNOR SHALL HAVE NO FURTHER RIGHTS 5.1 Assignor shall have no further rights

The Assignor hereby expressly agrees and confirms that from the date of this Deed:(a) the Assignor shall have no further rights, title, interest or claim whatsoever under the Sale and Purchase Agreement or any clause thereto and in to the said Property or any part thereof and shall make no claim whatsoever in respect thereof; and the Assignee shall be solely entitled to the rights title interest and benefits under and pursuant to the Sale and Purchase Agreement and to the legal and equitable title and interest in and to the said Property.

ARTICLE 6 ASSIGNMENT COMPLETE 6.1 The Assignment shall be deemed completed on the date of this Deed and henceforth the Assignee shall be governed by all the terms stipulations agreements covenants provisions restrictions and conditions contained in the Sale and Purchase Agreement as if the Assignee had been the only parties signatory to the Sale and Purchase Agreement.

ARTICLE 7 REAL PROPERTY GAINS TAX 7.1 Real Property Gains Tax

The Assignor hereby undertakes to pay any Real Property Gains Tax payable on the assignment of the said Property that may be imposed by the relevant authority and further undertakes to indemnify the Assignee at all times thereafter against all actions proceedings claims demands charges costs expenses and penalties by the relevant authority for the recovery of any such Real Property Gains Tax.

COSTS 8.1 Costs

The Assignor shall be liable for all legal fees and disbursements with respect to the preparation of this Deed of Assignment including the stamp duty payable thereon.

ARTICLE 9 NOTICE 9.1 Notice

Any notice, request or demand required to be served by either party hereto to the other under the provisions of this Deed of Assignment shall be in writing and shall be deemed to be sufficiently served:(a) if it is given by that party or that party’s solicitors by post in a registered letter with postage prepaid addressed to the other party at that other party’s address hereinmentioned or at that other party’s last known address or to that other party’s solicitors and it shall be deemed to have been received at the time when such registered letter would in the ordinary course of post be delivered; or if it is given by that party or that other party’s solicitors and despatched by hand to the other party or other party’s solicitors.

ARTICLE 10 DEFINITIONS 10.1 Definitions

In this Deed of Assignment, unless there is something in the subject or context inconsistent with such construction or unless it is otherwise expressly provided:(a) words importing the masculine gender only shall include the feminine and neuter genders and vice versa; words in the singular number only shall include the plural number and vice versa; where there are two (2) or more persons or parties included or comprised in the expression “the Assignor” or “the Assignee” agreements covenants terms stipulations and undertakings expressed to be made by or binding upon such persons jointly and severally.

This Deed of Assignment shall be binding upon the respective permitted assigns and successors in title of the parties hereto.
