                FCC Form 1275 Item B - Ownership and Affiliation Statement


       Pursuant to Section 76.1502(c) of the Commission’s Rules, TDS Metrocom, LLC (“TDS

Metrocom”) submits the following ownership and affiliation information as defined by Section

76.1500(g) of the Commission’s rules governing open video systems. 47 C.F.R. §§ 76.1500(g),

76.1502(c). TDS Metrocom is a wholly owned subsidiary of TDS Telecommunications

Corporation, which, in turn, is a wholly owned subsidiary of Telephone and Data Systems, Inc.

(“TDS”). TDS is a publicly traded Delaware corporation. The following entities own

beneficially more than 5% of any class of voting securities of TDS:

Southeastern Asset Management, Inc. (20.8% of the shares of Common Stock)
Gabelli Funds, LLC (8.5% of the shares of Common Stock)
Wallace R. Weitz & Company (5.5% of the shares of Common Stock)


In addition, LeRoy T. Carlson, Jr., Walter C.D. Carlson, Letitia G.C. Carlson and Prudence E.

Carlson are named as trustees under a voting trust which holds 10.6% of the shares of Common

Stock in TDS.

                                      Form 1275, Item C.1

       TDS Metrocom is not a cable operator applying for certification within a cable franchise

area, and Item C.1 is therefore not applicable. TDS Metrocom does not currently offer any video

programming services.



                                     Form 1275, Item C.4

       TDS Metrocom has received the necessary authorization from the FCC to offer interstate

domestic and international telecommunications (see FCC File No. ITC-214-19980210-00094).

Upon receipt of such authority, TDS Metrocom was classified as a non-dominant common

carrier and as such is not required to file a cost allocation manual at the Commission. Item C.4

therefore is not applicable.
