                     HOTEL SECURITY SERVICE AGREEMENT

THIS AGREEMENT is made and entered into by and between:

                                (hereinafter referred to as the “Contractor”)

                                                   - and -

                                            [NAME OF HOTEL]
                                              [address of hotel]
                                   (hereinafter referred to as the “Hotel”)

WHEREAS, Hotel requires professional security and protective services for its hotel premises located at
___________________________ [insert location(s) of the buildings to be covered by the Agreement];

AND WHEREAS, Contractor represents to Hotel that it is professionally qualified, able and ready to
provide such services;

NOW THEREFORE THIS AGREEMENT WITNESSES that in consideration of the covenants and
premises contained in this Agreement, the parties hereto agree as follows:

1.      Scope of Agreement

Hotel hereby retains Contractor as an independent security and protection service, to perform the
services set out in Section 4 hereof, and such additional or amended services as the parties may agree in
writing (collectively, the “Services”).

2.      Term and Termination

2.1      This Agreement shall be effective for a period of ______ months/years, commencing on
__________ [insert start date] and expiring on __________ [insert end date], unless renewed by the parties in
writing.

2.2     This Agreement may be terminated by either party upon _________ days prior written notice to
the other party.

3.      Service Fees; Payment

3.1     The Services shall be provided for a monthly fee of _____________________ DOLLARS
($__________), excluding applicable taxes.

3.2     Contractor will issue a monthly invoice for its fees for the Services, plus applicable taxes. Invoices
are due on receipt. Unless otherwise agreed to by Contractor, Hotel will make payment by check, money
order or credit card.

3.3     Payment must be received within _____ days after Hotel’s receipt of the invoice. Invoices not
paid within such ___-day period will accrue interest at the rate of _____% per annum, or the highest rate
allowable by law, whichever is higher.

3.4    Contractor’s fees may be increased after the first ______________ months of the term if
Contractor’s costs to provide its services hereunder have increased by more than _____%. Hotel shall
have the right to audit Contractor’s records to verify any cost increase. Contractor agrees to give Hotel
________ days written notice prior to putting any increase into effect.

4.      Services to be Provided

At all times during the term of this Agreement, Contractor will provide the following services
(collectively, the “Services”) to Hotel, and will supply all personnel, equipment, tools, materials,
supervision and other items necessary to provide the Services:

4.1      Contractor will provide on-site security services to Hotel and protect its guests, visitors,
customers and personnel, their respective persons and property, on a 24-hour per day, 7-day per week
basis. There will be three (3) shifts in each 24-hour day, each shift running for a period of eight (8) hours.

4.2     The    Services   will      be       provided       at     Hotel’s       premises,        located       at
___________________________________. The site consists of ____ building(s), an [outdoor / indoor]
parking   area   [below   ground      /     adjacent     to the      building],      outdoor       pool      area,
______________________________ [list all areas which security personnel will be responsible for patrolling].

4.3       Contractor is responsible for ensuring that there are ____ security guard(s) on duty during each
shift, regardless of holidays, weather or road conditions.

4.4     Contractor shall be responsible for hiring, training, equipping, supervising, directing,
discharging, and issuing uniforms and ID tags for all security services personnel.

4.5     Contractor’s security personnel will perform their duties in accordance with Schedule A – Scope
of Services, attached hereto and made a part of this Agreement by reference.

4.6      Contractor will recommend, when necessary or desirable in its opinion, improvements to safety
and/or security measures and procedures, to increase the safety and security of Hotel premises and its
guests, visitors and personnel.

4.7     Contractor will provide Hotel with an up-to-date duty roster of security personnel who are
assigned to duty on Hotel premises. Such duty rosters shall detail the security personnel’s respective
names, assignments, duty periods, etc. and each of the security guards who reports for duty must sign
his/her name in the appropriate place provided in the form. This list must be signed in duplicate, one of
which must be given to Hotel for its approval not less than ____ [hours/days] in advance. At all times one
chief guard shall be on duty to act as the official liaison of Contractor vis-à-vis Hotel in all matters
concerning the performance of duties at Hotel’s premises by Contractor’s personnel.

4.8    Copies of all activity reports, accident / incident reports and security guard timesheets will be
submitted to Hotel each __________ [day/week].

4.9     Contractor will establish and implement methods of ensuring that the keys issued to Contractor
for Hotel premises are not lost, misplaced, or used by unauthorized persons. Contractor agrees not to
duplicate any keys issued by Hotel. Contractor will immediately report any occurrences of lost or
duplicated keys.

4.10    Contractor will equip each security guard with the following equipment:

4.11     Contractor’s personnel shall immediately notify Hotel about any security problem, equipment
that is not working, or any circumstance that may constitute a hazard or cause damage or harm to Hotel
property, its guests, customers, or personnel.

4.12   Contractor will provide overall security management and supervision including an inspection of
Hotel premises and the security personnel on duty at irregular intervals daily. Contractor’s security
guards assigned to duty at Hotel will comply with all reasonable instructions given by Hotel
management pertaining to the protection and security of Hotel premises. Contractor agrees to
immediately reassign and replace any of its security personnel deemed incompetent, careless,
insubordinate or otherwise objectionable if requested by Hotel management.

4.13    Contractor shall be responsible for paying the wages of all security personnel in Contractor’s
employ. All payroll, payroll taxes, benefits, workmen’s compensation insurance and other employer
responsibilities required by [state / provincial] and federal law shall be the sole responsibility of
Contractor.

5.      Responsibilities of Hotel

5.1    Hotel shall provide Contractor’s security personnel with access to all areas of Hotel premises
deemed necessary by Contractor. If any area of the premises is to be off-limits to security personnel, Hotel
must notify Contractor in writing.

5.2      Hotel is responsible for keeping security lighting and fencing on Hotel property in a reasonable
state of maintenance and repair, and to comply insofar as possible with reasonable recommendations
made by Contractor for improvement of the security and physical condition of Hotel premises. Security
telephones, fire-fighting equipment, pass card/key systems, maintenance and upgrading shall be the sole
responsibility of Hotel.

5.3     Hotel agrees to provide meals to security guards during their duty shifts at Hotel. Meals will be
provided at Hotel’s staff canteen. Contractor’s on-duty personnel will receive meal coupons each day for
breakfast, lunch and/or dinner (depending on the shift hours). Security guards will not be provided with
free beverages or snack items except as part of a meal.

5.4      Hotel shall notify Contractor from time to time which Hotel officer(s) shall receive the daily
reports from Contractor personnel.

6.      Independent Contractor

6.1      Contractor undertakes performance of the Services as an independent contractor. Contractor
personnel shall not be considered as employees of Hotel, and this Agreement will not be construed to
create a partnership, joint venture, agency or employment relationship between Contractor and Hotel.

6.2     Contractor will not have the right or authority to create any obligation or responsibility on
Hotel’s behalf or to obligate or bind Hotel in any respect. Contractor further warrants and represents that
it has no obligation or indebtedness that would impair its ability to fulfill its obligations under this
Agreement.

7.      Right of Approval

All candidates for permanent and/or replacement security guard personnel shall be subject to the prior
approval of Hotel’s management.

8.      Insurance

8.1       At all times during the term of this Agreement and any renewals hereof, Contractor will maintain
general liability insurance, automobile liability insurance, worker’s compensation and employer’s
liability insurance in such amounts and with such insurers as Hotel in its discretion deems advisable and
necessary.

8.2      Deductible amounts shall not exceed ___% of the total amount of required insurance in each
category. Should any policy contain any unusual exclusions, such exclusions shall be indicated on the
certificate(s) of insurance.

8.3     The certificates of insurance shall contain a provision that no policy cancellation, non-renewal or
reduction of coverage will be effective until at least thirty (30) days written notice of same has been given
to Hotel.

8.5     In the event that subcontractors used by Contractor do not have insurance or do not meet the
insurance limits required by Hotel, Contractor shall indemnify and hold Hotel harmless against any
claim in excess of the subcontractor’s insurance coverage, arising out of negligent acts, errors or
omissions of such subcontractor.

9.      Standard of Care

Contractor shall exercise the same degree of care, skill and diligence in the performance of the Services as
is ordinarily provided by a comparable professional under similar circumstances. Contractor warrants
that all Services provided under this Agreement shall be performed by skilled and competent personnel
to the highest professional standards in the field.

10.     Liability; Indemnification

10.1    Contractor shall be responsible for all damages to Hotel property resulting from Contractor’s
operations and shall report any incident of damage to Hotel upon occurrence. Any damage resulting
from Contractor’s operations shall be repaired to Hotel’s satisfaction within _____ days of occurrence and
at no additional cost to Hotel.

10.2     Hotel has complete control over its premises and is responsible for all areas of the premises listed
as off limits to security personnel, but Contractor may from time to time express opinions which may
prove helpful to Hotel to improve its security measures. Contractor does not accept responsibility, and

Hotel will hold Contractor harmless for any decision regarding the areas of the premises which are and
will remain the exclusive province of Hotel.

10.3     Contractor agrees to protect, defend, indemnify and hold Hotel, its employees, agents, insurers
and representatives, harmless from any and all claims and liabilities, including all legal fees and court
costs associated therewith (including appeals) for which Hotel, its employees, agents, insurers and/or
representatives can or may be held liable as a result of injury and/or death to persons or damage to
property occurring by reason of any negligent acts or omissions of Contractor, its employees,
