									               POWER OF ATTORNEY BY A PARTNERSHIP FIRM (INDIA)


KNOW ALL MEN BY THESE PRESENTS that I, __________________________, partner of the firm
M/s _______________________________________________(hereinafter referred to as “the Firm”),
authorised by the other partners, do hereby appoint, nominate and constitute for and on behalf of the
Firm, Mr. ______________________, as Attorney of the Firm, named to do, execute and transact all
such acts, deeds and things as he deems necessary, proper, expedient and conducive to the efficient
transaction and carrying on of the business of the Firm. In particular, he is authorised to do, execute
and transact the following deeds and matters so long as he remains in the service of the firm:

To make all kind of sales and purchases and do all other works concerning loans and advances as
deemed necessary and expedient in the interest of the business of the Firm.

To draw, accept, negotiate, pay or satisfy bills of exchange, promissory notes, hundies, cheques, and
drafts.

To place order, retire the documents from the bank, make payments, and receive payments on behalf
of the Firm.

To conduct, supervise and control all correspondence and dealings involving the Firm, including
dealing with Government, Semi-Government Offices, local bodies, firms, companies, and individuals
on behalf of the Firm.

To demand, collect, and give effectual bona-fide discharge of all debts, hire moneys, advances and
other dues and to take, prosecute and use all lawful means for recovery and realisation of the amount
of the Firm.

To purchase properties, movable and immovable, for and on behalf of the Firm and acquire rights,
leases, and licences for and on behalf of the Firm.

To sell or otherwise transfer any property, movable or immovable, in the ordinary course of the
business of the Firm and in the interest of the Firm.

To borrow money from the bank and accept deposits for the purpose of the business of the Firm.

To pledge, mortgage, or hypothecate securities, bonds, negotiable instruments, or other assets of the
Firm in the interest of the business of the Firm.

To look after all matters concerning Sales Tax, Income Tax, Semi-Government Bodies, local
authorities, corporations, companies, firms, and individuals, including Tribunals and Arbitrators.

To sign plaints, written statements, memoranda of appeal, and revisions of all kinds as Attorney of
the Firm.

To appoint one or more advocates to look after Civil and Criminal matters of the Firm and to appoint
one or more tax advocates to look after Sales Tax and Income Tax matters.

To file and receive papers and documents and to obtain refunds to stamp duty Sales Tax and Income
Tax for and on behalf of the Firm.

To bid on and purchase property at sales in execution of decree or court orders.

To accept delivery of property or goods purchased or of money realised in execution of decree of the
Court or order of any authority.

To receive summons and notices of the Court and Government departments for and on behalf of the
Firm.

To appoint managers, accountants, typists, stenographers, clerks, and other employees for the Firm
