The rights granted by the record company include the right to exploit, advertise and publicise the video. - Performance Rights. THIS LICENCE made effective as of the _____ day of ______________, _______ (“Effective Date”).

BETWEEN:

                                        (hereafter, the “Company”)

                                                    - and -

                                           [NAME OF PRODUCER]
                                             [address of producer]
                                          (hereafter, the “Producer”)


THIS LICENCE WITNESSES that in consideration of the Producer’s agreement to pay to the
Company the [choose appropriate option: licence fee / royalty hereinafter set forth, and other good and
valuable consideration, the Company hereby grants to the Producer and its successors, licensees and
assigns, as their interest may appear, the non-exclusive licence:

(a)       to perform and to synchronise the musical recording identified below (the “Recording”)
         with, and/or include all or any part of the Recording and/or use the Recording in timed
         relation to the music videogram tentatively entitled ________ (the “Video”) featuring
         _______________ [insert name of Artist[ (the “Artist”);

(b)      to exploit the Video and any advertising or publicity of or for the Video in ________________
         [specify the various media], including but not limited to rental or lending of the same,
         throughout the universe, for the period of __________________;

subject to the rights of Phonographic Performance Limited and Videogram Performance Limited.

1.       The Recording covered by this Licence is:

2.       In consideration of the Licence herein granted, the Producer shall pay to the Company a

3.       The Company hereby warrants, represents and agrees to and with the Producer as follows:

         (a)      the Recording is not obscene, blasphemous or defamatory, and does not infringe
                  upon any rights of copyright, performers’ rights, performers’ property rights, moral
                  rights, rights of privacy, rights of publicity or any other right whatsoever of any
                  person, firm or company;

         (b)      the Company has full power, authority and right to enter into this Licence and to
                  grant the rights granted hereunder;

         (c)      the Company owns and controls 100% of the right, title and interest in and to the
                  Recording;

                 respect of the rental or lending of the Recording by means of the rental or lending of
