If you are incorporating a privately held business under the Business Corporations Act, use this Incorporation Checklist to help you to prepare the necessary documents to organize the corporation.
The required information includes:
- names and addresses of initial directors and shareholders
- classes of authorized shares
- jurisdiction (province) in which the company will be incorporated
- registered and records office addresses
- fiscal year end

CHECKLIST OF INFORMATION REQUIRED TO INCORPORATE A CORPORATION UNDER THE BUSINESS CORPORATIONS ACT (______________) The information to be gathered by this checklist should allow you to incorporate under the Business Corporations Act and prepare the necessary documents to organize the corporation. Name of Corporation: Is the corporation to be a numbered corporation? Yes No If no, what name? (in case the first choice is not available, you should have 3 choices. NOTE: The corporation’s name must contain a “descriptive element”, such as “Consulting”, “Engineering”, etc. and a “legal element”, i.e. “Inc.”, “Corporation”, etc.) You must conduct a NUANS search through a Registry in order to search and reserve the name. 1. 2. 3. Registered & Records Office Address: A corporation must maintain both a Registered Office and a Records Office address within the province of incorporation. Usually it is most convenient to have both addresses at the same location. The Registered Office is the address at which documents can be served on the corporation, and is most often the address of the corporation’s solicitors. The Records Office is the address at which the corporation’s Minute Book is kept, and must be accessible during normal business hours to the shareholders, directors and any other party authorized to review the corporate records. NOTE: Postal codes must be included in the address. A box number or rural route number is unacceptable - if a street address is unavailable, please provide the legal description of the land.
