This is an agreement between an accountant and a client whereby the client pays a
retainer fee for the accountant’s services. The client agrees to pay the accountant an
annual retainer fee that is paid in equal monthly payments. In return, the accountant will
be available to do whatever the client needs. This agreement can be used by small
businesses that offer accounting services, or by small businesses looking to retain an
accountant on an annual basis.
RETAINER AGREEMENT ACCOUNTANT
THIS RETAINER AGREEMENT (hereinafter referred to as the “Agreement”) is made effective
as of this ______________ day of _______________, 20_____ BY AND BETWEEN:

WHEREAS the Company desires to retain the Accountant to provide accounting and other such
services to the Company and the Accountant hereby accepts such engagement and agrees to
perform the Services herein described for the Company subject to the terms of this Agreement.
NOW THEREFORE the parties agree as follows:
For and during the term of this Agreement, the Accountant shall provide accounting and taxing
services as required and requested by the Company in connection with its business. These
services shall include without limitation to preparation of monthly financial statements and all
tax returns. The Accountant shall also provide all financial advisory services as may be requested
from time to time by the Company.
This Agreement shall commence on the date first above written and shall continue for a period of
______ ( ) years, unless earlier terminated in accordance with the terms of this Agreement.
This Agreement shall thereafter be renewed by either party for an additional term of _______
year, on the same terms and conditions as set forth herein by giving prior written notice to the
other party of its intent to renewal.
3. RETAINER FEE
In consideration of the services, the Company agrees to pay the Accountant an annual retainer

products and services, and allowable expenses incurred during that month. Company shall pay

All invoices not paid within ____ ( ) business days will bear interest at the rate of ________ (__

7. INDEPENDENT CONTRACTOR
The parties hereto acknowledge that in providing the services under this Agreement the
Accountant acts as an independent contractor under the control of the Company. The Accountant
is not an employee or partner of the Company and the Accountant shall have no authority
whatsoever to bind the Company by contract or agreement of any kind other than as expressly
provided under the terms of this Agreement. The Company shall not withhold federal or
state/provincial income taxes or any other amounts from the Accountant’s fees payable

Accountant will have access to confidential information about the Company’s business. The
Accountant agrees to keep all such information strictly confidential and not use it for the
Accountant’s own benefit nor disclose or divulge any of such confidential information directly or
indirectly to any third party either during the term of this Agreement or at any time thereafter,
except as required in the course of this engagement with the Company. The Accountant further
agrees that upon expiration or earlier termination of this Agreement, or whenever requested by
the Company, the Accountant shall immediately deliver to the Company all such files, records,
documents, specifications, information, and other items in its possession or under its control.
