                       TAX & NON-TAX INCENTIVES


1. PAYROLL TAX. The payroll tax will be exempted by the State Government of
   Baja California from 3 to 5 years based on the qualifications of the new project.
   The investment project will be evaluated by the following qualifications: number
   of jobs, incorporation of students in the production processes as well as disable
   and 60+ year-old people, quality of jobs, amount and origin of the investment,
   amount invested in technology, national and local suppliers, market access, and
   place of establishment.

   After the evaluation of the project the exemption will be 100% the first 2 years
   and 75% the 3rd year. If the project’s qualifications are located in the higher
   levels, the company will award an extra 50% off for the 4th year up to another
   25% the 5th year of operation.

   If the company hires during it’s operation disabled and 60+ year-old people, it will
   be exempted 100% of the payroll tax as long as they are hired.

2. WATER CONNECTION SYSTEM TAX. The State Government of Baja California
   will exempt 20 or 50% of the water connection system tax based on the former
   qualifications.

3. WATER. The State Government of Baja California will exempt 30% of the
   monthly payment if the company reuses or treats 100% of their water
   consumption.

4. RECRUITMENT. The State Government of Baja California will provide
   assistance to recruit personnel through the State Secretariat of Labor in
   collaboration with the National Employment Service.

5. PRODUCTION PROCESS TRAINING BENEFITS. The State Government of
   Baja California through the Secretariat of Labor and the National Employment
   Service will provide training benefits through the Work Training System
   (BECATE), in order to absorb some of the cost of training directly related to the
   production process.

6. PERMITS. The State Government will provide assistance to negotiate the “fast
   track” of Federal, State and local permits that your company may require in order
   to developing its investment project in Baja California.

7. FEDERAL ASSISTANCE. The State Government of Baja California will provide
   assistance to obtain from the Federal Government and its agencies the following
   benefits:

       a) Income tax benefits. Focusing on a possible 30% tax credit over the
          yearly total investment in Research and Development (R&D) activities
          that the company develops in its operation.
       b) Training Benefits. Focusing on R&D and engineer level personnel.
