BOARD OF DIRECTORS OF [COMPANY NAME] “CORPORATION” CONSENT TO ENTER INTO AN EQUIPMENT LEASING AGREEMENT AS LESSEE WHEREAS, the board of directors of [COMPANY NAME] has determined that it is desirable and in the best interests of this Corporation that certain affirmative decisions and actions be undertaken regarding the leasing of certain capital equipment. It was therefore RESOLVED, that the Corporation shall enter into a lease agreement with [LESSOR NAME] to lease the equipment (the “Equipment”), as described substantially in the form of Schedule 1 to Exhibit A, where the Equipment shall be leased for a term of [TERM], beginning on [DATE], at a rate of $[RATE PER MONTH], and as otherwise described in the attached Exhibit A hereto (Exhibit A containing both the equipment lease documents and Schedule 1 thereto, detailing the Equipment). It was further RESOLVED that the officers of this Corporation are authorized and instructed, in the name of this Corporation, to each individually execute and deliver such Lease documents in substantially the form of Exhibit A, with such changes thereto as the director(s) executing the lease documents shall negotiate, approve, and execute by [DATE], as evidenced by their full execution and delivery.
