This DISTRIBUTOR AGREEMENT (the “Agreement”) is made this day of xx/xx/xxxx (the “Effective
Date”) between ABC Company Ltd (hereinafter “ABC Ltd.”) (no. 123456 – Country/Region) having its
principal place of business at 100-101 Def Street, Anywhere Town, Big Country (the “Authorized
Distributor ”) and GHI Incorporated. (hereinafter the “GHI Inc.”) (no. 56789) whose registered office is

In consideration of the mutual promises, covenants and representations contained herein, Manufacturer and
Distributor (the “Parties”) agree as follows:


    1. APPOINTMENT


        Appointment. Subject to the terms and conditions set forth in this Agreement, Manufacturer appoints
        Distributor as a non-exclusive distributor of Manufacturer’s products described in Exhibit A (the
        “Products”) in the geographical territory described in Exhibit B (the “Territory”). Manufacturer hereby
        authorizes Distributor to purchase Products directly from Manufacturer for resale to Resellers and
