This Notice is to modify the Sales Representative Agreement dated _____ day of
____________________, 20______, [Instruction: Insert agreement date.] (“Agreement”) a
copy of which is attached hereto [Comment: Ensure a copy of the original signed agreement
is attached.]. Pursuant to the terms of the Agreement and our further discussions, the
Agreement is modified and superseded on the following agreed upon change(s) in terms:

[Instruction: Insert any changes in terms. If the original agreement is being amended, be
sure to cite the original section or paragraph, as the case may be, being revised. If
additions, deletions or corrections are being made, state the changes.]

These are the only changes made to the Agreement and all other terms and conditions shall
remain effective as stated in the Agreement. Please read, sign, and return one signed original of
this notice. Unless we immediately hear from you in writing to the contrary, we shall accept all
modifications stated herein as mutually agreeable, and shall proceed on these modified terms.
[Comment: The original Agreement should be reviewed to ensure the provisions regarding
changes to be made in writing are followed, and whether or not either party is permitted to
cancel the Agreement at its option if changes are not accepted. This paragraph can then be
conformed to follow the original Agreement.]
