					This License for Use of Song Lyrics is an agreement between a licensor and a licensee
for the use of song lyrics. The licensor has the right, title and interest in and to song
lyrics and grants a non-exclusive license to use the song lyrics for a specific purpose
and pursuant to certain terms and conditions contained in the agreement. This
document contain numerous standard provisions that are commonly included in these
types of agreements and may be customized to fit the specific needs of the contracting
parties. This should be used by licensors of song lyrics and parties interested in
obtaining a license.
                              LICENSE FOR USE OF LYRICS

      THIS LICENSE FOR USE OF LYRICS AGREEMENT (the “Agreement”), is made
this ____ day of ____________, 2___ (the “Effective Date”), by and between
________________ (the “Licensor”) and ______________ (the “Licensee”).

     THE LICENSOR AND THE LICENSEE HEREBY ACKKNOWLEDGE AND AGREE
AS FOLLOWS:

1.00     GRANT OF LICENSE

1.1      The Licensor hereby grants a non-exclusive License (the “License”) to the Licensee for
         use of the Song Lyrics from the musical composition entitled “_________________” (the
         “Song Lyrics”).

1.2      The Licensee shall have the right to use the Song Lyrics for the purposes of
         _______________________________. The Licensee shall be permitted to use the
         License granted herein for any of the following purposes:

         (i)      for use on the internet;

         (ii)     for advertising purposes;

         (iii)    for marketing purposes;

         (iv)     for display purposes; and

         (v)      for use on television or such other electronic purposes.


1.3      The Licensee shall have the right to use the Song Lyrics throughout the Territory of
         _________________ (the “Territory”).

1.4      In addition to the rights granted above, the Licensee is hereby granted the right under the
         License to promote and utilize the image or likeness of the author of the Song Lyrics for
         the sole purposes of providing credit for composition of the Song Lyrics.

2.00     TERM OF LICENSE

2.01     The Term of this License shall commence on the Effective Date of this Agreement shall
         be for a period of _______ (___) months/years (the “Term”) and the terms and conditions
         of this Agreement shall remain in full force and effect for the duration of the Term,
         including any renewals or extension of this Agreement.

3.00     OWNERSHIP

3.01     The Licensee acknowledges that all right, title and interest in and to the Song Lyrics shall
         remain at all times throughout the Term of this Agreement with the Licensor.

3.02     The Licensee hereby agrees that it shall not at any time alter the Song Lyrics or the title
         of the musical composition comprising the Song Lyrics.

4.00     REPRESENTATIONS AND WARRANTIES OF LICENSOR

4.01     The Licensor hereby represents and warrants to the Licensee as follows:

         (i)      that the Licensor is the owner of the Song Lyrics;

         (ii)     that the Song Lyrics do not infringe on the rights of any third person or entity nor
                  do they violate any copyrights of any other third person or entity;

         (iii)    the Licensor has the full right and authority to enter into this Agreement and grant
                  the License to the Licensee; and

         (iv)     there are no claims of any third parties of any kind or nature relating to the Song
                  Lyrics.

5.00     INDEMNIFICATION

5.01     The Licensor hereby agrees that it shall indemnify and hold the Licensee and any of its
         agents, employees or affiliates, harmless from and against any and all claims, losses,
         damages or expenses, including attorney fees, suffered or incurred by the Licensee as a
         result of any material breach of this Agreement.

6.00     INDEPENDENT CONTRACTOR

6.01     The Licensor and the Licensee hereby acknowledge and agree that the relationship
         created by this Agreement is one of an independent contractor. At no time or times, shall
         the Licensee be treated as an employee of the Licensor for any purpose whatsoever.

6.02     The Licensor and the Licensee acknowledge and agree that neither party will have the
         power or right to obligation the other in any manner whatsoever.

6.03     The Licensee agrees that it will not at any time or times act in a way that implies a
         relationship other than that of an independent contractor with the Licensor.

7.00     COMPLIANCE WITH APPLICABLE LAWS

7.01     The Licensee acknowledges and agrees that it shall at all times comply with any and all
         applicable rules, laws and regulations in connection with the Licensee’s use of the Song
         Lyrics and shall comply with all applicable export laws.

7.02     The Licensee shall not use the Song Lyrics in any Territory other than the Territory
         specified herein without the prior written consent and authorization of the Licensor.

8.00     TERMINATION

8.01     The Licensor or the Licensee shall have the right to terminate this Agreement without
         cause and liability upon _______ (____) days/weeks/months advance written notice to
         the other party. Either party shall have the right to terminate this Agreement for any
         material breach of this Agreement that is not remedied within _______ (___) days of
         written notice of such breach.

8.02     In the event this Agreement is terminate for any reason whatsoever, the Licensee agrees
         that it shall immediately cease any and all use of the Song Lyrics.

9.00     NOTICES

9.01     Wherever in this Agreement it shall be required or permitted that notice be given or
         served by either party to or on the other, the notice shall be in writing and shall be
         delivered personally to the party to whom it is given or sent by prepaid, registered mail,
         or by facsimile transmission, addressed as follows:

         and each such notice shall be deemed given on the date of delivery in the case of
         delivery, three (3) business days after mailing in the case of mail and two (2) hours after
         the time of transmission in the case of facsimile transmission. No notice may be given by
         mail during a real or apprehended mail strike in _______________ (enter country). This
         address and/or facsimile numbers may be changed from time to time by either party by
         notice as above provided.

10.00 GENERAL PROVISIONS

10.01 This Agreement constitutes the entire agreement between the parties hereto with respect
      to the specific subject matter hereof and supersedes all prior agreements or
      understandings of any kind with respect to the specific subject matter hereof.

10.02 Headings are not to be considered part of this Agreement, and are included solely for
      convenience of reference and are not intended to be full or accurate descriptions of the
      contents of any section.

10.03 In this Agreement, words importing the singular number include the plural and vice
      versa, words importing the masculine gender include the feminine and neuter genders;
      and words importing persons include individuals, and proprietors, corporations,
      partnerships, trusts and unincorporated associations.

10.04 The invalidity or unenforceability of any provision of this Agreement or any covenant in
      it shall not affect the validity or enforceability of any other provision or covenant in it and
      the invalid provision or covenant shall be deemed to be severed.

10.05 Subject to the provisions hereof, this Agreement may not be assigned, in whole or in part,
      without the prior approval of all parties hereto. Subject thereto, this Agreement shall
      enure to the benefit of and shall be binding upon the parties hereto and their respective
      successors, heirs, executors, administrators, other personal and legal representatives
      (including trustees and receivers in bankruptcy) and permitted assigns.

10.06 This Agreement may be executed in any number of counterparts, each of which when so
      executed shall be deemed to be an original and such counterparts together shall constitute
      one agreement deemed to be dated as of the date hereof.

10.07 This Agreement shall be governed by and construed in accordance with the laws of the
      State of _________________ applicable therein.

              IN WITNESS WHEREOF the parties have duly executed this Agreement as of
the day and year first written above.
