SEALED BIDS will be received until 11:00 am, Thursday, May 21 , 2009 at the Office
of the Town Manager, 909 Foxon Road, North Branford, Connecticut 06471, at which
time they will be opened and read aloud. Bids should be mailed or hand delivered. Bids
received after this time will be rejected. The Town Manager reserves the right to reject
any and all bids or waive defects in same if he deems such to be in the best interest of the
Town.
Each bidder shall be required to deposit with his bid a security in the amount of ten
percent (10%) in accordance with the General Information and Conditions to Bidders,
Item #17.

GENERAL CONDITIONS AND INSTRUCTION TO BIDDERS
The general rules and conditions outlined below apply to all purchases authorized by the Town of North Branford. The
conditions outlined become a formal part of each invitation to bid unless otherwise specified. All bidders are expected to fully
inform themselves as to the conditions, requirements and specifications before submitting bids. Failure to do so will be at the
bidder’s own risk.

INSTRUCTIONS TO BIDDERS
FURNITURE, FIXTURES AND EQUIPMENT
1. All proposals must be submitted in triplicate.
2. All proposals are to be received by the Town of North Branford no later than the date and time
indicated on the “Invitation to Bid”.
3. All bids must be submitted using the “Bid Form” included in the specifications.
4. All bids will be opened publicly and read aloud.
5. All bids must be accompanied by a Bid Security in the form of a Certified Check or a Cashier’s
Check and made payable to the Town of North Branford, or accompanied by a Bid Bond, on Form
AIA Document A310, February 1970 edition, and having as Surety thereto such Surety Company or
Companies as are authorized to do business in the State of Connecticut and acceptable to the Owner.

8. Bid Form: The Bid Form is included in the bid documents/specifications and must be submitted in
triplicate. Bid amounts must be typewritten or clearly written in ink.
9. Liquidated Damages: In the event that items are not delivered and set up for use per the schedule
outlined in the bid documents, the Owner reserves the right to deduct up to 5% of the contract cost off
of the invoice balance of the delayed items for each day delayed. In addition, for any items not
received per the schedule which the Owner deems necessary for the opening of school, the supplier
will loan, at no additional charge, substitutes that are acceptable to the Owner.
10. Qualifications of Bidders: The Owner reserves the right to make such investigation as it deems
necessary in order to determine the ability of the Bidder to perform the work as specified. The Bidder

is required to provide all such information as may be required for the Owner to make such
investigation. The Owner reserves the right to reject the bid if it determines the Bidder is not
qualified to perform as required. The Bidder Qualification form/statement must be completed and
included as part of the bid submittal.
11. Contract: All successful bidders will be required to execute an AIA contract document or other form
of contract as determined by and acceptable to the Owner.
12. Bonds: Each successful bidder, within ten (10) days after award of a contract, will be required to
provide a Performance Bond and a Labor and Material Bond, each in the amount of 100% of the
contract price on bond forms acceptable to the Owner and issued by a surety acceptable to the Owner.
13. Insurance: The successful bidder(s) must provide a certificate of liability insurance as shown as Item
29, Page 3 &4, of the Town of North Branford’s General Conditions and Instructions to Bidders,
issued by an insurance company licensed do business in the State of Connecticut. Both the Town of
North Branford and the North Branford Board of Education are to be named as additional insured on
the insurance certificate.
14. Indemnification: Each bidder agrees to indemnify and hold harmless the Town of North Branford, its
Board of Education and Building Committee members and their respective agents, representatives,
officers, employees and elected officials and/or members, from any and all claims, actions, causes of
action, injuries, damages, losses, expenses, costs and liabilities, in law and/or in equity, of any nature
whatsoever, directly or indirectly arising out of, related to or in any way connected with, performing
the specified work, including but not limited to claims arising from carelessness, improper conduct or
negligence.
15. Sales Tax: This project is exempt from State of Connecticut sales tax. A tax exemption certificate
will be issued to all vendors and suppliers.
16. Subcontractors: Each bidder is advised that any person, firm or other party to whom it is proposed to
award a subcontract under this contract must be acceptable to the Town and that approval of the
proposed subcontract award cannot be given by the Town unless and until the successful bidder
submits all information and evidence to the Town regarding the proposed subcontractor. Each bidder
is required to submit all proposed subcontractors if so requested by the Owner.
17. Clayton Act: The contractor and any and all subcontractors offers and agrees to assign to the public
purchasing body all right, title and interest in and to all causes of action it may have under Section 4
of the Clayton Act, 15 U.S.C. or under Chapter 624 of the General Statutes of the Connecticut arising
out of the purchase of services, property or intangibles of any kind pursuant to a public purchase
contract or subcontract. This assignment shall be made and become effective at the time the public
purchasing body awards or accepts such contract, without further acknowledgement by the parties.
The Town of North Branford reserves the right to award the work to a bidder other than the one
which submitted the lowest bid if it deems such action will be in the best interest of the Town. In
such an event, all unsuccessful bidders relinquish their right to challenge such award.
18. Davis-Bacon Act – Prevailing Wage Rates: The Town of North Branford requires the payment of
prevailing rate of wages in accordance with the wage section of the Davis-Bacon Act and shall
institute such investigations and periodic monitoring procedures as deemed necessary to determine
compliance with labor standard provisions and the Federal requirements of the Act as amended.
Payrolls are to be submitted to the Purchasing Assistant in a timely manner or payments will be
withheld until all payrolls are submitted for the current application for payment being submitted.

PROJECT SCHEDULE AND VENDOR RESPONSIBILITIES
FURNITURE, FIXTURES AND EQUIPMENT

The project schedule is as follows:
Award of Contract(s): Contracts will be awarded after review or bids by the Town of North Branford
and Newman Architects.
Submittals: Submittals are required no later: 11:00 am, Thursday, May 21st , 2009.
Delivery and Set-up:
All items for all rooms are to be delivered to the facility no sooner than: To Be Determined and then must
be set up in their specified locations and ready for use no later than To Be Determined
Vendor Responsibilities: Vendors are responsible for having items delivered directly to their designated
locations and set-up is to commence immediately after delivery. Vendors are responsible for removing all
packing and shipping materials OFF SITE. NO DUMPSTERS WILL BE PROVIDED. All such
materials must be removed from the facility on a daily basis. Individual vendors/suppliers are responsible
for all costs (including disposal) related with the removal of packing and shipping materials. It is the
vendor’s responsibility to immediately remove and replace any and all items that are rejected by Newman
Architects due to damage and/or not meeting the specifications of the approved item.
Liquidated Damages: In the event that items are not delivered and set up for use per the schedule
outlined in the bid documents, the Owner reserves the right to deduct up to 5% of the contract cost off of
the invoice balance of the delayed items for each day delayed. In addition, for any items not received per
the schedule which the Owner deems necessary for the opening of school, the supplier will loan, at no
additional charge, substitutes that are acceptable to the owner.
Coordination: Vendors will be required to assign an in-house project manager to coordinate delivery and
set up with Newman Architects, the Owner’s Architect for the FF&E and with Turner Construction
Corporation, the Owner’s construction manager for this project.
Safety: Vendors will be required to abide by the OHSA safety requirements.
All debris, cardboard packaging, etc. removal OFF SITE are the responsibilities of the vendors.

SUPPLEMENTAL INSTRUCTIONS TO BIDDERS

Items "C", "D", “E” and “F” will be required with each bid unless otherwise specified on the form.
2. Bid Submission - All bids shall be sealed and identified on the outside by your firm's name and the bid
number and submitted to the Town Hall, 909 Foxon Road, North Branford, CT 06471, by the time and date
shown on "Invitation". NO LATE BIDS WILL BE ACCEPTED.
3. Bid Withdrawal - Bids may be withdrawn by written request prior to bid opening or after 30 days subsequent
to bid opening if no award has been made.
4. Deposits Accompanying Bids – a 10% bid bond is required. Either a bid bond or certified check made
payable to the Town of North Branford is acceptable. Personal or business checks are not accepted.
5. Assignment of Contract - The contractor may assign all or part of the contract to another after receiving
written permission from the Town Purchasing Agent. Such assignment shall NOT release the contractor from
any part of the responsibility or liability assumed under the contract.
6. Equal Employment Opportunity - The Town will terminate any contract without accepting liability for any
incomplete work if it is found that the Contractor has violated any of the provisions of Executive Orders 11246
and 11375, Connecticut Fair Employment Practice Act, and Chapter 12 1/2 of th e Code of Ordinances of the
Town of North Branford, incorporated herein by reference. The Town reserves the right to incorporate into the
contract any additional provisions relating to Equal Employment, including an Affirmative Action Agreement.
7. Interpretation of Addenda - Requests for interpretation of the bid documents shall be made in writing. Such
interpretations will be in the form of an addendum to the bid documents and will be on file in the Office of the
Purchasing Agent at least five (5) days before the day of the bid opening. In addition, all addenda will be
mailed to each person to whom bid documents have been issued. All such addenda shall become part of the
contract and each bidder shall be bound by such addenda whether or not received by the bidder.
8. Insurance - If the contract resulting from this bid requires the contractor to enter upon Town property, the
contractor will supply insurance as specified elsewhere in these documents, at the discretion of the
Purchasing Agent. In addition, the contractor and all subcontractors shall carry workers' compensation
insurance or self insurance as required by the Purchasing Agent and shall certify that they are not in
arrears to the State of Connecticut Second Injury Fund. Insurance certificate must be submitted prior to
installation.
9. Performance Surety - If required for this bid, the Contractor shall give security to the satisfaction of the
Purchasing Agent for the faithful performance of his contract. Such requirements are specified elsewhere in
these documents, if applicable. Performance Bond is required for this bid.
10. Execution of Agreement - Failure of the successful bidder to deliver to the Town a properly signed and
witnessed Agreement with all required bonds and insurance policies, within fifteen (15) days after receipt of
written Notice of Award, or within such extended period as the Purchasing Agent may grant, shall constitute a

default and the bidder's bid bond or surety shall be forfeited to the Town, which may either award the contract
to the next lowest bidder, or re-advertise for bids.
11. Commencement of Work - The Town will not be responsible for payment of any work performed or
materials supplied by the successful bidder before the Contractor receives a fully executed agreement unless
an emergency situation has been declared by a Town employee duly empowered to do so, and the vendor
receives written authorization from this individual to proceed. Note: responsibility for payment shall be limited
to only that work deemed necessary by the Town to alleviate the immediate emergency.
12. SUCCESSFUL BIDDER WILL BE NOTIFIED BY AN AWARD LETTER AND ONCE ALL PAPERWORK
REQUIRED FROM THE BIDDER IS SUBMITTED, A PURCHASE ORDER WILL BE ISSUED.

Insurance Requirements
a. The Contractor shall carry or require that there be carried Worker’s Compensation Insurance for all his employees
and those of his subcontractors engaged in work at the site, in accordance with State Worker’s Compensation Laws.
b. See Town of North Branford’s General Conditions & Instructions to Bidders, Item#29, Pages 3 & 4.
c. The successful bidder shall provide certificates of insurance showing coverage by an insurance carrier authorized by
the State of Connecticut to write insurance in the state. The certificates shall show the Town of North Branford as
an additional named insured. Said Certificate should contain the following endorsements.
In addition, please note that all Certificates of Insurance should include:
1. Endorsement of the work description, contract name, number and location;
2. An endorsement that the insurance company will give at least thirty (30) days written notice to the
Town prior to any modification or cancellation of any such insurance coverage; and
3. An endorsement that the Contractor will be responsible for the payment of all insurance premiums
and/or charges.
d. At the discretion of the Town, the Contractor may be asked to submit copies of his Worker’s Compensation and
Manufacturer’s and Contractor’s Public Liability, Property Damage, Automobile, Fire and Extended Coverage, if
applicable, insurance policies to the Town of North Branford for review and approval. The Town of North Branford
may, in writing, notify the Contractor of any disapproval of any such policies, and satisfactory policies shall be
provided in place of those disapproved. The Contractor shall submit an insurance certificate in addition to a c opy of
each policy. The Contractor shall require its subcontractors to obtain policies of similar insurance before each
commences work. All such insurance shall be carried with financially responsible insurance companies, licensed in
the State and approved by the Town of North Branford and shall be kept in force until the Contractor’s work is
accepted by the Town of North Branford. Contracts of insurance, covering all operations under this contract, which
expire before the Contractor’s work is accepted by the Town of North Branford shall be renewed and submitted to the
Town of North Branford for its approval.
