					                                    Distributorship Agreement

         Agreement made on the (date), between (Name of Company), a corporation organized
and existing under the laws of the state of ______________, with its principal office located at
(street address, city, county, state, zip code), referred to herein as Company, and (Name of
Seller), a corporation organized and existing under the laws of the state of ______________,
with its principal office located at (street address, city, county, state, zip code), referred to herein
as Seller.

        Whereas, Company desires to be an authorized, wholesale distributor for the sale and
service of products of Seller and to set forth the respective duties, obligations, and
responsibilities of Seller and of Company in the sale of these products by Seller to the Company
distributor and the sale and servicing of these products by Company; and

        Whereas, Company has elected to enter into this Agreement with Seller with confidence
in Seller's integrity and expressed intention to deal fairly with its distributors, and with knowledge
of the customer acceptance of products of Seller; and

        Whereas, Seller has elected to enter into this Agreement with Company with recognition
that Seller's success depends on financially sound, responsible, efficient, vigorous, and
successful independent wholesale distributors whose business conduct is free of false,
deceptive or misleading advertising, merchandising, pricing and service practices, and with
competence in Company's integrity and ability, and in the Company's expressed intention to
deal fairly with Seller and its customers, and to perform and carry out Company's duties,
obligations, and responsibilities as set forth in this Agreement; and

       Whereas, it is the expectation of each of the parties that by entering into this Agreement,
and by the full and faithful observance and performance of its duties, obligations, and
responsibilities, a mutually satisfactory relationship between them will be established and

       Now, therefore, for and in consideration of the mutual covenants contained in this
agreement, and other good and valuable consideration, the receipt and sufficiency of which is
hereby acknowledged, the parties agree as follows:

1,     Rights Granted
       Seller grants to Company a nonexclusive right, on the terms and conditions contained
below, to purchase, inventory, promote, and resell Seller's products.

2.     Product Coverage
       As used in this instrument, the term Seller's Products shall mean and be limited to the
service parts and accessories manufactured or sold by Seller in the following categories: (List

3.      Terms of Sale
        All sales of Seller's products to Company shall be made under and subject to the
provisions of this Agreement at such prices and on such terms as Seller shall establish from
time to time. Resale prices shall be fixed by Company, except that Seller reserves the right to
enter into fair trade Agreements to the extent permitted by federal and state laws.
4.      Marketing Policies
        Company will at all times maintain adequate inventories of Seller's products and will
promote vigorously and effectively the sale of Seller's products through all channels of
distribution prevailing in Company's primary marketing area in conformity with Seller's
established marketing policies and programs. Company will use its best efforts to sell Seller's
products to aggressive, reputable, and financially responsible dealers providing satisfactory
consumer service throughout Company's primary marketing area. Company is authorized to
enter into written agreements with its dealers relating to the purchase, resale, and service of
Seller's products on forms approved by Seller for this purpose.

5.     Merchandising Policies
       Seller will provide Company with continuous and comprehensive merchandising
assistance in the form of national advertising programs, product and sales training and sales
promotions, and Company agrees to make full use of su

Description: A distributor buys goods and resells them in his/her own name and on his/her own behalf, and is more than just a middleman between the manufacturer and the buyer. The distributor organizes and implements the distribution of products within his/her territory, in a country or countries where the manufacturer is not established. While in some respects the position of a distributor does not differ substantially from that of a customer, the distributor is not simply a wholesaler since the distributor and the manufacturer are generally in a reciprocal relationship for mutual benefit.

I received my B.B.A. from the University of Mississippi in 1973 and my J.D. from the University of Mississippi School of Law in 1976. I joined the firm of Wells Marble & Hurst in May 1976 as an Associate and became a Partner in 1979. While at Wells, I supervised all major real estate commercial loan transactions as well as major employment law cases. My practice also involved estate administration and general commercial law. I joined the faculty of Belhaven College, in Jackson, MS, in 1996 as Assistant Professor of Business Administration and College Attorney. While at Belhaven I taught Business Law and Business Ethics in the BBA and MBA programs; Judicial Process and Constitutional Law History for Political Science Department); and Sports Law for the Department of Sports Administration. I am now on the staff of US Legal Forms, Inc., and drafts forms, legal digests, and legal summaries. I am a LTC and was Staff Judge Advocate for the Mississippi State Guard from 2004-2008.
