These terms and conditions are effective as of November 1, 2006. Protection of Personal Information Citizens Bank is committed to ensuring the accuracy, confidentiality, and integrity of my personal information. You may only collect, use and disclose my information for the specific purposes set out in the Citizens Bank full Member Privacy Code, which I can request a copy of by calling 1-888-708-7800 or which can be found on your website www.citizensbank.ca. These purposes include providing me with financial products and services, ensuring I receive a high standard of service, meeting regulatory and legal requirements, managing and transferring Citizens Bank‟s assets and liabilities and verifying my identity. Please issue the Citizens Bank Visa card(s) indicated (the “Card”) and renewals and replacements from time to time, and open a Citizens Bank Visa account in my name (the “Visa Account”). I will be responsible for all use of and charges to the Visa Account. I will be bound by the Citizens Bank Visa Cardholder Agreement (the “Agreement”) and any supplemental terms and conditions which were provided to me with this application, as amended or replaced from time to time and from the moment I am notified by you or any agent in your behalf of such approval. I agree that the types of services available in connection with the Visa Account may vary from time to time. Short Term Financing – Special Offer Terms and Conditions If you approve this application, including the special offer short-term loan via the Card for the amount of the product or service being requested on the application form (the “Loan Amount”), I authorize you to charge the Loan Amount to my Visa Account. I will not be responsible for any payments on the Loan Amount nor will I accrue any interest on the Loan Amount for 90 days (the “Interest Free Period”). If I do not pay the entire Loan Amount in full by the Payment Due Date shown on the monthly statement following the expiration of the Interest Free Period, interest will immediately begin to accrue on the remaining Loan Amount at the regular rate of interest applicable to the Card from and including the date that the Loan Amount is posted to my Visa Account. Any payment I make on my Visa Account during the Interest Free Period will be applied first to the Loan Amount. Payments and credits occurring after the expiry of the Interest Free Period will be applied to balances in accordance with the Cardholder Agreement. The Loan Amount will be treated as a purchase in accordance with the Cardholder Agreement, except as modified by these supplemental Terms and Conditions. Sales Draft Copy Fee $5.00 is charged for each copy of a sales draft that appeared on a prior month‟s statement. There is no charge for a copy of a sales draft appearing on the current month‟s statement. Foreign Currency Conversion When the Cardholder makes a transaction with the Card or is credited with a refund or return in foreign currency, Citizens Bank pays for such foreign transaction or credits the Cardholder‟s account for such refund or return in Canadian currency. In each case, Citizens Bank is required to pay for the conversion of Canadian currency into foreign currency, or foreign currency into Canadian currency, on the date such transaction, refund or return is processed. The exchange rate charged may be different from the rate in effect on the transaction date. In each case, the exchange rate is increased by an administration fee of 2.00% of the converted amount for transaction handling through the Visa International network. These exchange and administration costs of currency conversion will be incurred for both debits (e.g. purchases of products or services in foreign currency) and credits (e.g. refunds or returns in foreign currency) to the Visa Account. These costs and variances between the price to buy and sell foreign currency will usually result in the amount of the debit for a purchase exceeding the amount of the corresponding credit for a refund or return of such purchase. In addition, a credit for a refund or return may be processed, and a change in the applicable rate of exchange between such dates may further reduce the amount of the credit for the refund or return.

Over Limit Fee If an account is over the assigned credit limit at any time during the billing period, a $10.00 fee will be applied on the next statement. Credit Reports and Credit Agencies The Cardholder agrees that Citizens Bank or its authorized agents may obtain a credit report on him or her, in connection with his or her Card application, from Equifax Canada or Trans Union Canada Inc. The Cardholder also agrees that Citizens Bank or its authorized agents may be obtaining credit reports on he Cardholder in the future from either or both of these agencies in order to better administer the card and to offer him or her other products and services, where allowed by law. The Cardholder further acknowledges and authorizes Citizens Bank or its authorized agents to report his or her payment history to either or both of these agencies. If the Cardholder wishes to review his or her credit bureau, he/she will contact Equifax Canada, Consumer Relations Department, PO Box 190, Station Jean Talon, Montreal, Quebec, H1S 2Z2, 1-800-937-4093 and/or Trans Union of Canada Inc., Consumer Relations Centre, PO Box 338 LCD1, Hamilton, Ontario, L8L 7W2, 1-800-836-8761. The information in this disclosure statement is subject to change by Citizens Bank in accordance with the cardholder agreement. Contributions Shared Interest Visa Each time the Cardholder makes a purchase on the Shared Interest Visa card, Citizens Bank will donate 10 cents to its Shared Interest Fund. Oxfam Visa Each time the Cardholder makes a purchase on the Oxfam Visa card, Citizens Bank will donate 10 cents to Oxfam. Amnesty International Visa Each time the Cardholder makes a purchase on the Amnesty International Visa card, Citizens Bank will donate 10 cents to Amnesty International. Citizens Bank of Canada Cardholder Agreement In this Agreement, the words, “you” and “your” means “Citizens Bank of Canada („Citizens Bank‟)” and the words “I”, “me” and “my” mean the person in whose name you have opened a Visa* account (the “Visa Account”) and whose name is embossed on one or more of your charge cards which carry the CHARGEX and/or Visa name (“Cards”). “Authorized User” means each person whose name is embossed on the Card or Convenience Cheque at my request. “In Good Standing” means the Visa Account is open, up to date and not over the established credit limit. I an each Authorized User agree with you as follows: 1. Use of Cards and Convenience Cheques I will ensure that each Card is signed immediately upon receipt. I will not use a Card or Convenience Cheque prior to any validation date embossed on a Card or after the expiry date embossed on a Card. Cards and Convenience Cheques are your property. They may be used to purchase goods and services and to obtain cash advances, and the Visa Account may be used in any other way you permit („a Transaction‟). I cannot stop payment on any Transaction (except a Convenience Cheque). 2. Liability for Indebtedness The purchase price of goods and services, the amount of cash advances and Convenience Cheques and all other amounts payable under this Agreement, except Interest, are called Indebtedness. I am liable for all Indebtedness and interest on it (including Indebtedness incurred by each Authorized User, any family member or any other person, to whom I have given either express or implied authority to use the Visa Account (an “Authorized Person”). If I or any Authorized User sign a sales or cash advance draft or give the Visa Account number to make a purchase or obtain a cash advance without presenting the Card (such as for a mail order or telephone purchase), the legal effect shall be the same as if the Card was used by me and a sales or cash advance draft was signed by me. Each Authorized User is jointly and individually liable with me for all Indebtedness and interest on it incurred by such Authorized User or with such Authorized User‟s card. 3. Illegal Transactions Visa cards may not be used for any illegal purpose, for example, Internet gambling where this is illegal. Where an illegal transaction is attempted, the transaction may be declined. Zero Liability from Visa protects Visa cardholders who have a Canadian issued Visa card and experience fraud through unauthorized use of their card, subject to the terms of this Agreement. 4. Credit Limit I will not permit the Indebtedness to exceed the credit limit established by you from time to time. However you may (but are not required to, even if you have done so before) permit the Indebtedness to exceed the credit limit established from time to time. The credit limit appears on the monthly statement. I am liable for all Indebtedness, whether or not it exceeds the credit limit. I understand use of the Card and the Visa Account may be suspended at your discretion if the credit limit is exceeded. 5. Payment I will pay the Indebtedness and interest on it by the Payment Due Date on the monthly statement as follows: a) b) c) in full, by a part payment equal to the greater of $10.00 ($50.00 for Citizens Bank Gold Visa) or 3% of the outstanding balance, or by any payment made greater than (b).
In addition, I will immediately pay any Indebtedness exceeding the credit limit, and if the balance shown on a statement is less than $10.00 ($50.00 for Citizens Bank Gold Visa). I will pay it in full by the statement‟s Payment Due Date. Payments received at your Visa mailing address, or by 3.00 pm on a business day at any of your Canadian branches, will be value dated to the Visa Account as of the day of receipt. I will not use the Account to pay the Indebtedness. 6. a) Interest Payment in full. There is a benefit to me if I pay my entire Visa Account in full by the Payment Due Date shown on the monthly statement. If I do so, interest is charged only: on cash advances from and including the date they are obtained on Convenience Cheques from the date they are charged to the Visa Account, and on all other Indebtedness shown on the monthly statement which also appeared on the previous statement.

Partial Payment. If I do not pay the entire Visa Account balance in full by the Payment Due Date then interest is charged: On cash advances from and including the day they are obtained, On Convenience Cheques from the date they are charged to the Visa Account, and On all other Indebtedness from the date it is charged to the Visa Account. Interest Rate. Interest is charged at the rate specified in the Disclosure Statement which accompanies this Agreement. The interest rate is subject to change in accordance with Paragraph 19 of this Agreement, and the current rate, on an annual or daily basis, appears on the monthly statement. Interest is calculated as follows: i. Interest is calculated by totaling the interest bearing Indebtedness owing at the end of each day for the period in question and multiplying the result by the daily interest rate. ii. New Purchases: No interest is charged on a new purchase (meaning a purchase which was not previously billed) if I pay my entire Visa Account balance in full by the Payment Due Date. The grace period between the last day covered by my monthly statement and my Payment Due Date will be a minimum of 21 days. If I make a partial payment only, then interest is charged on all purchases from the date they are posted to my Visa Account until I have paid my entire Visa Account balance (plus the interest which has accrued on the new purchase). iii. Cash Advances and Convenience Cheques: Interest is charged on a cash advance from the day I receive the advance until the day I repay it (plus interest which has accrued on the advance). Interest is charged on a Convenience Cheque from the date it is processed to my Visa Account until the day I make a payment which covers the amount of the Convenience Cheque (see Application of Payments, Paragraph 7).

7. Application of Payments Payments received, in accordance with Paragraph 4, are applied in the following order: previously billed interest; previously billed cash advances and Convenience Cheques; previously billed purchases; fees and charges; unbilled cash advances and Convenience Cheques; and unbilled purchases. If you offer me a special or low interest rate on a balance transfer or any other promotional offer, I understand that any payments that I make to my Visa Account will be applied toward balances carrying a special or low interest rate in priority to any other amounts owing to my Visa Account. 8. Special Services You may make available to me and/or to any Authorized User special services or benefits (a “Service”). The Services shall be subject to the terms and conditions applicable to them (which may vary from time to time) and may be canceled with or without notice. You are not liable for any service not directly supplied by you. 9. a) Automated Banking Machine Services Use of the Automated Banking Machine Service. I will use the Automated Banking Machine (ABM) Service (the “ABM Service”) strictly in accordance with your instructions as revised from time to time. Operation of ABM Service. Each transaction performed using the ABM Service (an “ABM Transaction”) will be debited or credited to my Visa Account in accordance with normal practice respecting the ABM Service and as set out in the Automated Banking Machine Guide as revised from time to time. The transaction record produced and dispensed by an ABM shall constitute my written instructions. The records with respect to all ABM Transactions shall be conclusive and binding upon me. Access to Visa Account. I will not make any withdrawal or transfer from my Visa Account, which exceeds the unused balance of my Visa credit limit. Each withdrawal from my Visa Account performed using the ABM Service shall be a Visa cash advance. Termination of ABM Service. You may at any time without notice, (a) withdraw any ABM from use, (b) withdraw permission for me to use the ABM Service or (c) cancel or alter the ABM Service, without being liable for any loss resulting from such action. Liability. You shall not be liable for any delay, damage or inconvenience caused by the malfunction or failure to operate an ABM for any reason whatsoever. Confidentiality of Personal Identification Number (PIN). I will be given a PIN to access the ABM Service, and I will keep it confidential and will at all times, keep my PIN and card separate.

10. Fees and Charges I will pay the fees and charges described in the Disclosure Statement and those described in any notice or monthly statement sent to me from time to time. Fees and charges are not refundable in the event of termination of the Visa Account.

11. Monthly Statements The number of days covered by each monthly statement will vary as a result of several factors, including holidays, weekends and the different number of days in each month, and will normally be between 28 and 33 days. 12. Loss or Theft of Card If a Card is lost or stolen, or if I suspect it is lost or stolen, I will notify you at the Visa Centre at 604-708-7810 anytime or if calling from anywhere in Canada, the U.S.A. and from outside of Vancouver I can call 1-888990-9691. I can call the Visa Centre collect if I am calling from outside North America. These numbers are operational 24 hours/7 days a week. You may take whatever steps you consider necessary in order to recover the Card including reporting the lost or stolen card to the appropriate authorities to facilitate its recovery. I am not responsible for unauthorized use, except that I shall be liable for all unauthorized ABM Transactions which occur prior to me giving notice to you regarding the loss or theft of my Card resulting from my failure to maintain the confidentiality of my PIN or my failure to keep my PIN separate from my Card. 13. General Inquiries For General Inquiries I can call the Visa Centre at 604-877-4999 or 1-800-611-8472 (Visa). The Visa Centre Customer Service Representatives are available from Monday to Friday, 8 am to 6 pm PST and from 8 am to 4 pm PST Saturdays. I can call these numbers 24 hours/7 days a week for automated account information. I can also direct my inquiries in writing to Citizens Bank Visa, PO Box 8000, STN Terminal, Vancouver BC, V6B 4E2. For my statement information, I can go online to myvisaaccount.com. 14. Limitation of Liability You shall not be liable to me or any Authorized User for any incidental, indirect, consequential, special, punitive or exemplary damages of any kind whatsoever arising from or in connection with (i) the Visa Account, or (ii) the use or possession of the Card by me or any Authorized User (iii) any terms and conditions, or the operation of any “Rewards Program” offered by Citizens Bank (whether in contract, tort, strict liability, products liability or otherwise), including without limitation, lost revenues, loss of profits or loss or interruption of business. 15. Citizens Bank My Visa Rewards Plus Program If I hold a Citizens Bank Gold Visa card and I have any question or problem concerning the rewards redemption process, I should contact you and you will take all reasonable and appropriate steps to provide the information I request or attempt to resolve my problem. However you are not responsible for any problem I have with the goods and services that I receive from any third party and/or its agents or its suppliers in conjunction with the My Visa Rewards Plus program; and if I have a dispute, I must settle the dispute directly with that third party. Without limiting the generality of the foregoing, my recourse against you in connection with using the Card shall be limited to reimbursement of any amounts improperly charged to my Visa Account and you shall in no event have any further or additional obligations or liabilities to me. 16. Failure to Honour Cards or Accept Convenience Cheques; Claims against Merchants You will not be liable if a Card is not honoured, a Convenience Cheque is not accepted, or the Visa Account cannot otherwise be used. I will settle all claims and disputes regarding any Transaction or any other credit voucher issued by a merchant directly with the merchant. You will credit the Visa Account upon the receipt of a merchant‟s credit voucher for a purchase made with a Card. If you have not received a credit voucher from the merchant when a monthly statement is prepared, I will pay the balance shown on the statement as required by this Agreement, and any credit will appear on a subsequent statement following your receipt of the voucher. 17. Foreign Currency I will pay Indebtedness incurred in a foreign currency (or be credited with returns) in Canadian dollars at a rate of exchange determined by Citizens Bank which reflects the cost of foreign funds and an administration charge for transaction handling through the Visa International network. I acknowledge that these costs will be included for both credits and debits to the Visa Account. 18. Errors in Statement; Copies of Documents If I or an Authorized User do not notify you within 30 days after the date of a monthly statement of any error or omission, the statement will be conclusively settled to be complete and correct except for any amount improperly credited to the Visa Account. A microfilm or other copy of an electronic record of a sales draft, cash advance draft, Convenience Cheque or other document relating to a Transaction will be sufficient to establish liability.

19. Changes You may change this Agreement and/or Disclosure Statement from time to time, by mailing a notice (or sending it any other way) to me at the most recent address appearing in your records. The notice will bind the Authorized User if it is also mailed or sent to the Authorized User at my address. The Authorized User directs you to use that address for such purposes. A change may apply to both existing Indebtedness and to Indebtedness arising after the change is made. I will give you prompt notice of any change in my address. 20. Authorizations When I present my Visa card, the merchant will prepare a sales draft which I will be asked to sign. I will receive a copy of the sales draft (except in the case of a mail or telephone order). I should keep each draft until the Transaction appears on my monthly statement. This will help me keep track of my spending until my statement arrives and is especially important when two or more people have cards on the same account. I acknowledge that once a Transaction is authorized, whether or not I have received the goods or services at the time of such authorization, my available credit limit will decrease by the amount of such authorization. 21. Privacy Use of information. Citizens Bank will collect, use and disclose my personal information only in accordance with the Citizens Bank full Member Privacy Code, which is available online at citizensbank.ca or by calling 1-888-708-7800. 22. Termination of Agreement I may terminate this Agreement at any time without notice. You may terminate this Agreement at any time without notice if I am in breach of this Agreement, if I am in default in respect of any other loan arrangement I may have with you, or if you receive information about me which leads you to believe that I may be unable to repay the Indebtedness. If this agreement is terminated, you or your agent may do any or all of the following without notice: a) b) c) Refuse to honour any Convenience Cheques (whether made before or after such termination), Require that all Indebtedness and interest be paid immediately Debit any account I have with you and apply the funds against the Indebtedness and interest owing under this Agreement, Request that all Cards and unused Convenience Cheques be returned to you, or Take possession of all Cards and unused Convenience Cheques.

If this Agreement is terminated, I will continue to be liable for all Indebtedness and interest and I am responsible for returning the Cards and unused Convenience Cheques to you. If a Card or Convenience Cheque is used after this Agreement is terminated I will be liable for the Indebtedness and interest incurred even though the Agreement was terminated. I will pay you all legal fees and expenses (on a solicitor and client basis) incurred by you to recover any Indebtedness or interest and all expenses incurred by you to take possession of a Card. 23. Assignment You may assign your rights and obligations under this Agreement without notice to me or the Authorized User. Citizens Bank Automated Banking Machine Guide Automated Banking Machine Access to a Visa Account As a Citizens Bank Visa Cardholder I can use my Card and my PIN to obtain cash from my Visa Account at any Automated Banking Machine (ABM) in Canada or around the world where the Visa symbol is displayed. Visa Cash Advances I can use my Visa Card to obtain cash advances at any of over 300,000 international Visa Banking offices. With my PIN and my Card I can take cash advances through an ABM in any amount up to my daily cash withdrawal limit. Cash advances are also subject to my unused Visa credit. As with any Visa cash advance, interest will be charged from the date the advance is taken until the day it is repaid in full. A service fee may be charged as stated in the Disclosure Statement.

ABM Confidentiality Only I can use my Visa Card in an ABM, because only I know my PIN. My PIN will be mailed to me in a confidential mailer. I should never tell it to anyone, or carry it with my card, or lend my card to others. Without the PIN, the card alone cannot activate an ABM. Taking Care of My Card To protect the magnetic information that is recorded on the black stripe on the back of my card, it‟s a good idea not to keep cards with magnetic stripes back to back. I will also make sure they are never put near any magnets. If my card is damaged, the ABM may be unable to read the information recorded on the black stripe. I will contact the Visa Centre for a replacement card. I will be sure to cut my damaged card in half before throwing it away. If I forget my PIN, I will contact the Visa Centre to have a new one issued and mailed in a confidential mailer. Supplement to Citizens Bank of Canada Visa Cardholder Agreement – SoloStrength Short-term Financing These terms and conditions are supplemental to and amend the terms and conditions contained in the Citizens Bank of Canada Cardholder Agreement (the “Cardholder Agreement”). These supplemental terms and conditions will be read together with the Cardholder Agreement which, except as supplemented and amended hereby, will continue in full force and effect. 1. 2. I will not be responsible for any payments on the Loan Amount nor will I accrue any interest on the Loan Amount for 90 days (the “Interest Free Period”). If I do not pay the entire Loan Amount in full by the Payment Due Date shown on the monthly statement following the expiration of the Interest Free Period, interest will immediately begin to accrue on the remaining Loan Amount at the regular rate of interest applicable to the Card from and including the date that the Loan Amount is posted to my Visa Account. The Interest Free Period commences on the date that the Loan Amount is posted to my Visa Account. Any payment I make on my Visa Account during the Interest Free Period will be applied first to the Loan Amount. Payments and credits occurring after the expiry of the Interest Free Period will be applied to balances in accordance with the Cardholder Agreement. The Loan Amount will be treated as a cash advance in accordance with the Cardholder Agreement, except as modified by these supplemental terms and conditions.
