QUIT-CLAIM DEED
THIS QUIT-CLAIM DEED is made this day of June, 2008, by and between the County Commissioners of Charles County, Maryland, a body corporate and politic, (Grantor), and Pomonkey High School Alumni Association, Inc., a Maryland Corporation, (Grantee). WHEREAS, the Grantor is the owner of the property "Pomonkey High School" ("the Property"); described herein and known as

WHEREAS, Article 25 §llA of the Annotated Code of Maryland provides that the County Commissioners of Charles County, Maryland may convey to a private nonprofit corporation any surplus school property provided that there is a public hearing at which the Commissioners solicit and receive comments concerning the sale or donation and consideration; notice of the hearing is advertised and an appraisal of the value of the property is made by the Commissioners to be included in the notice of public hearing; and WHEREAS, Grantor held a public hearing on April 30, 2008, which hearing was duly advertised in the Maryland Independent, a newspaper of general circulation within the Charles County, and such advertisement c(.mtained the appraised value of the Property; and WHEREAS, after the conclusion of the public hearing, at which the Grantor solicited and received public comment regarding the proposed conveyance, Grantor determined that it was in the public interest to convey the Property to the Grantee. NOW, THEREFORE, THIS DEED WITNESSETH, that for and in consideration of the sum of ONE DOLLAR ($1.00) and other good and valuable consideration, the receipt of which is hereby acknowledged, the Grantor hereby quit-claims all of its right, title and interest unto Grantee: Parcel A as shown on a Plat entitled "Parcel A, Land of Charles County Board of Education" which, is recorded among the Plat Records of Charles County, Maryland, in Plat Book No. 54, folio 531. ' BEING part of the same land and premises acquired by the Grantor by deed recorded among the Land Records of Charles County, Maryland in Liber 4853, folio 575. AND reserving to Grantor its interest, if any, in any streets or highways adjacent thereto. This property is conveyed in an "AS IS" condition, and Charles county make no warranties or representations whatsoever concerning the property. Grantee is responsible for expenses of conveyance, including recordation and State and local transfer taxes.

COUNTY COMMISSIONERS OF .CHARLES COUNTY, MARYLAND Resolution No. 2008- 47 WHEREAS, the County Commissioners of Charles County, Maryland, ("the Commissioners") by deed recorded among the Land Records of Charles County, Maryland at Liber 4853, folio 575, are the owners of a tract of land known as the "Pomonkey High School"and identified as Tax Map 12, Parcel A of Parcel 512, located on Metropolitan Church Road in the Seventh Election District of Charles County, Maryland ("the Property") and further identified on a plat entitled "Parcel A, Land of Charles County Board of Education" and recorded among the Land Records of Charles County at Plat Book 54, folio 531; WHEREAS, the Pomonkey High School Alumni Association, Inc, a Maryland non-profit corporation located in Charles County, Maryland, ("the Association") has requested the Commissioners convey fee-simple title of the Property to the Association; WHEREAS, in accordance with Article 25, §11A of the Annotated Code of Maryland on April 20, 2008 the Commissioners held a public hearing on the proposed conveyance; WHEREAS, in accordance with Article 25, § llA of the Annotated Code of Maryland, the Commissioner caused an appraisal of the property to be made, which appraisal was included in the notice of the public hearing and published at least twice in a newspaper of general circulation within the County; and WHEREAS, after deliberation, the County Commissioners of Charles County, Maryland, have determined that it is in the best interest of the citizens of Charles County, Maryland, to convey fee simple title of the Property to the Association. NOW THEREFORE, BE IT RESOLVED this 30th day of April, 2008, that the County Commissioners of Charles County, Maryland, authorize the conveyance of the property identified as Tax Map 12, Parcel A of Parcel 512 (Account 07-039999) located in the Seventh Election District of Charles County and further identified on a plat recorded among the land records of Charles County, Maryland at Plat Book 54, folio 531, FURTHERMORE, the County Commissioners of Charles County, Maryland, hereby authorize the President of the County Commissioners to execute a quitclaim deed for the property with the Association to be responsible for any additional expenses.
