This agreement licenses the above named licensee, as a purchaser of the work Due Care Purchasing Life Insurance—a desk reference for non-insurance professionals, to reproduce and distribute the work for the purpose of promoting the licensee’s expertise as a life insurance advisor, subject to the following conditions and limitations: 1. This license will remain in effect for an initial period of two years from the date of this agreement and expires on [xxxx date], and 2. This license may be renewed for periods not exceeding two years per renewal, at a renewal fee not to exceed $100.00 (one hundred dollars) per renewal, and 3. The licensee may reproduce the work and any additions, revisions or corrections made within the licensing period by the licensors, and 4. The licensee may add his or her personal information to the cover/title page only, personalizing the cover/title page by adding such personal information under the words “Presented by”, and may not otherwise change, alter or delete any other text, chart or content of the work under any conditions, and 5. The licensee may distribute single copies of the entire work, or parts of the work, only to individuals not in the life insurance business (individuals who are not licensed to sell life insurance), as the licensee wishes, but only within the licensee’s legal life insurance marketing area (jurisdictions in which the licensee is duly licensed to sell life insurance), and 6. The licensee will protect the authors’ copyright of the work, and 7. The licensee agrees to inform the licensors of any known violations of the copyright, and 8. The licensee agrees to hold harmless the authors/licensors for any and all aspects of the work that the licensee distributes or represents to others, accepting as licensee and as a duly licensed life insurance professional advisor the entire responsibility and accountability for accuracy representing and/or performing due care regarding the purchase of life insurance, and 9. The licensee agrees that any supporting documentation, video programs, audio programs or computer programs that are ancillary to the work but not part of the work are not for reproduction and/or distribution under any circumstances. The licensors shall provide the work to the licensee on IBM formatted computer disk as text files in Microsoft Word word-processing text files. When requested by the licensee, the licensors will provide printed copy (hard copy) of the work, from which the licensee may reprint the work instead of using the computer files to do so. Recognizing that the licensee’s printing device may vary from the licensors’ in font sizes and leading, the licensee may realign the text to make sensible column and page breaks for printing, without changing the content of the work. The licensors shall periodically update the work in its entirety or by issuing partial revisions, as the licensors see fit. The licensee can reasonably expect to receive two or more additions and/or revisions during the period licensed by this agreement. The licensors shall provide to the licensee the entire work as described above, plus the following ancillary support materials:

one VHS videotape program of the roleplay showing one method for presenting the topic of due care and the work to a lawyer or accountant
A copy of any parts, or the work in its entirety, may be submitted by the licensee to any authority requiring review, for compliance approval, of the work prior to its use by the licensee, provided that the licensee also forward to one of the licensors any correspondence or comments by the compliance review authority citing the acceptance, rejection or suggested edits of the work or any of its parts by that reviewing authority. In the event that the work is not approved by the compliance review authority for use by the licensee, the licensee may return all materials received under this agreement for a full refund of the purchase price paid by the licensee to the licensors. In the event that edits are required by the compliance review authority, the licensors will attempt to make specific edits, as they deem suitable, to make the work acceptable to the compliance review authority; however, only the licensors may make such edits, and the licensors reserve the right not to alter the work. If the work is subsequently not approved by the compliance review authority for use by the licensee, the work shall be deemed to be “not approved” and a full refund will be made to the licensee after all materials received under this agreement are returned to the licensors by the licensee. Should the licensee decide to use the work regardless of the licensee’s compliance review results, or the licensee decides not to submit the work to review for approval by a compliance review authority, then the terms of this agreement shall apply in their entirety and the licensee shall hold harmless the licensors for all results of the licensee’s decisions regarding compliance review.
