                                        INSTRUCTIONS TO BIDDERS

A.   BID FORM

     In order to receive consideration, make all bids in strict accordance with the following:

     1.   Make bids upon the forms provided therefore, properly executed and with all items filled out. Do
          not change the wording of the Bid Form, and do not add words to the wording of the Bid Form.
          Unauthorized conditions, limitations, or provisions attached to the proposal shall be cause for
          rejection of the proposal. Alterations by erasure or interlineation must be explained or noted in
          the bid over the signature of the bidder.

     2.   No telegraphic bid or telegraphic modification of the bid will be considered. No bids received
          after the time fixed for receiving them will be considered. Late bids will be returned to the sender
          unopened.

     3.   Each bid shall be addressed to the Owner, and shall be delivered to the party at the address given
          in this Instruction to Bid on or before the day and hour set for opening of bids. Each bid shall be
          enclosed in a sealed envelope bearing the title of the W ork, the name of the bidder, and the date
          and hour of the bid opening. It is the sole responsibility of the bidder to see that his bid is received
          on time.

B.   BID DEADLINE

     Bids will be accepted until 1:00 pm on Friday, February 19, 2010 at the following location:

                            Vermont Technical College
                            Physical Plant Office
                            Director of Physical Plant
                            PO Box 500
                            Randolph Center VT 05061

     Bids will not be opened in public.

     Bids must be placed in a sealed envelope marked ‘Morey Hall Dormitory W indow Replacement
     Project’.

C.   EXAMINATION OF DRAW INGS, SPECIFICATIONS, AND W ORK SITE

     Bid Documents are available from Blueprints, Etc., 20 Farrell Street, South Burlington, Vermont, (802)
     865-4503. Only complete sets of drawings and the project manual will be available for bidders. Bid
     documents are available at no cost to bidders.

     A complete set of drawings and the project manual will also be available for viewing at the W orks in
     Progress Plan Room at 20 Farrell Street, South Burlington, Vermont.

     Before submitting a bid, each bidder shall carefully examine the Drawings, read the Specifications
     and all other proposed Contract Documents, and visit the site of the W ork. Each bidder shall fully
     inform him or her self prior to bidding as to all conditions and limitations under which the W ork is to
     be performed, and he or she shall include in his or her bid a sum to cover all costs of all items
     necessary to perform the W ork as set forth in the proposed Contract Documents. No allowance will
     be made to any bidder because of lack of such examination or knowledge. The submission of a bid
     will be construed as conclusive evidence that the bidder has made such examination.

D.   PRE-BID MEETINGS AND SITE VISIT

     A Pre-Bid Conference will be held on Friday, February 12, 2010 at 8:00 am at the VTC Campus in
     Randolph Center, Vermont. Attendance at the Pre-Bid Conference is not mandatory for participating
     bidders.

E.   INTERPRETATION OF CONTRACT DOCUMENTS PRIOR TO BIDDING

     If any person contemplating submitting a bid for construction of the W ork is in doubt as to the true
     meaning of any part of the proposed Contract Documents, or finds discrepancies in, or omissions
     from, any part of the proposed Contract Documents, he may submit to the Architect a written request
     for interpretation thereof not later than five (5) days prior to the deadline for receipt of bids.

     1.   The person submitting the request shall be responsible for its prompt delivery.

     2.   Interpretation or correction of proposed Contract Documents will be made only by Addendum,
          and will be mailed or delivered to each bidder on record.

     3.   The Owner will not be responsible for any other explanations or interpretations of the proposed
          Contract Documents.

F.   BONDS

     Before the Owner-Contractor Agreement is signed, the successful Bidder will be required to submit
     bonding in a form acceptable to the Owner for the following:

     1.   Performance and Completion of the W ork - 100% of the Contract Value
     2.   Payment of Claims for Labor and/or Material - 100% of the Contract Value
     3.   The bidder must submit a letter with their bid certifying that they are bondable for the project.

G.   W ITHDRAW AL OF BIDS

     Any bidder may withdraw his bid, either personally or by written request, at any time prior to
     scheduled time for opening bids. No bidder may withdraw his bid for a period of thirty (30) days after
     the date set for opening thereof, without forfeiting his Bid Bond. All bids shall be subject to
     acceptance by the Owner during this thirty (30) day period.

H.   AW ARD OR REJECTION OF BIDS

     The Owner intends to review the bids before deciding whether to proceed with the W ork. Only bids
     submitted complying with all Bid Documents, Specifications and Addendum will be considered for
     contract. No segregated proposals or assignments will be considered. The contract, if awarded, will be
     awarded on the basis of a review by the Owner of the responsible low lump sum bid and evidence of
     capability to complete the W ork on schedule. The lowest dollar bid may not be the one selected by
     the Owner.

     The Owner reserves the right to accept or reject any or all bids and to waive informality and
     irregularity in the bids and in the bidding process and to proceed in the best interest of the Vermont
     Technical College.

I.   TAX EXEMPT STATUS

     The Owner is exempt from sales and use taxes. The bid proposal shall not include these taxes. The
     Owner's tax exempt number will be provided to the successful bidder.

J.   SUBSTITUTIONS

     Contractors, subcontractors and vendors desiring to submit a bid using substitute materials or products
     for those specified in the proposed Contract Documents must submit a Request for Substitution to the
     Architect for review and possible approval at least seven (7) days prior to the Bid Due Date. Make
     submissions in accordance with standard substitution requirements of Section 01631 of the
     Specifications. Approval or denial of substitutions will be included in an addendum to be sent to all
     bidders.

     Bidders are cautioned that including unapproved substitutions within their Base Bid or Alternates
     will not be just cause for a subsequent revision of contract price if the substitution is not accepted
     and could be cause for rejection of the bid.

K.   CONFLICTING INFORM ATION IN CONTRACT DOCUMENTS

     Bidders unsure of the meaning or intent of any portion of the Bidding Docuemtns and proposed
     Contract Documents are encouraged to request clarification from the Architect prior to submitting
     their bid. In the event that there are conflicts between and/or among information, requirements,
     drawings or specifications included in the Contract Documents, the requirements that will result in the
     more expensive and/or time consuming work will be provided by the General Contractor without
     further cost or delay to the Owner.

L.   PRELIMINARY SCHEDULE OF WORK

     Each window installation bidder and each window shade bidder will include a Preliminary Schedule
     of W ork showing how they will manage the construction process. This Preliminary Schedule of W ork
     will form the basis of a Proposed Schedule of W ork to be developed with the Owner when
     construction is about to begin.

M.   MATERIAL TO BE SUBMITTED W ITH BID

     Each bidding General Contractor shall include the following items with their bid:

     1.   Completed bid form
     2.   Letter verifying bonding capability
     3.   Preliminary schedule of work
