“ADCB Euro Disney” Promotion Terms and Conditions The “ADCB Euro Disney” promotion is offered by Abu Dhabi Commercial Bank (“ADCB”) to its MasterCard credit & debit cardholders, on the following terms and conditions: 1. For every UAE Dirhams one hundred (AED 100) or equivalent amount in any other currency spent and posted to the account during the promotion period on either an ADCB MasterCard credit card or an ADCB MasterCard debit card during the period between 20th October 2008 and 20th December 2008 (the “Promotion Period”) the credit cardholder will be eligible to one (1) entry in the “Euro Disney” raffle (“Raffle”). Holders of ADCB MasterCard credit cards applied for and approved during the Promotion Period shall be entitled to: a. 5 entries in the Raffle for every Standard Card issued to him/her; b. 10 entries in the Raffle for every Gold Card issued to him/her; and c. 15 entries in the Raffle for every Platinum Card issued him/her. For every UAE Dirham 100 (AED 100) of (a) the outstanding balance under the credit card issued by third party bank(s) to a ADCB MasterCard credit cardholder transferred into the ADCB MasterCard Card Account of the said credit cardholder (“Balance Transfer”) or (b) Credit Card Loan availed on the ADCB MasterCard Credit Card during the Promotion Period the cardholder will be eligible for one entry in the Raffle. A total of eight (8) winners will be selected randomly through the Raffle. Each winner will be awarded one Package. The decision of ADCB on the selection of the winners shall be final and binding. Each of the winners will be notified by regular mail to his/her address available with ADCB or informed by telephone and will be required to provide certain information and documents to ADCB. ADCB shall not be obliged to notify credit/debit cardholders, other than the winners, of the results of the Raffle. The winners must provide all the required details on or before 15th January 2008. The Raffle will be conducted by ADCB no later than 31st December 2008 at such place, time and subject to such terms and conditions as may be determined by ADCB and the guidelines of the Abu Dhabi Economic Department. In addition to the other criteria mentioned in these Terms and Conditions, for a credit cardholder to be awarded an entry into the Raffle: a. his/her credit card must be an ADCB MasterCard credit card, valid and in good standing as per the criteria and standards applied by ADCB from time to time; b. there should not have been a breach by the credit cardholder under these terms and conditions and/or the general terms and conditions applicable to credit cards issued by ADCB; and, c. no other event, which, in the sole discretion of ADCB should have occurred that would result in the cancellation of the eligibility of the credit cardholder to participate in the “ADCB Euro Disney” promotion.

In addition to the other criteria mentioned in these Terms and Conditions, for a debit cardholder to be awarded an entry into the Raffle, the Cardholder’s account shall be open and active and/or his debit card shall be valid and in good standing; such account and/or debit card are governed by the Bank’s General Terms and Conditions for Account Operation; All transactions charged to either an ADCB MasterCard credit card or an ADCB MasterCard debit card are eligible for participation in the “ADCB Euro Disney” promotion except for the following: a) fee and charges payable by the cardholder; b) cash advances c) premiums or other payments in relation to any insurance programs or products that ADCB may choose to offer; d) charitable donations ;e) card transactions that ADCB decides are disputed, erroneous, unauthorized, illegal and/or fraudulent; and f) any other transactions that ADCB may include on this list from time to time. All expenses relating to arrangement of passport, visas to the destination of travel, local sightseeing, travel insurance, applicable taxes and all other costs related to or arising as a result of utilization of the ticket awarded to the winner of the “ADCB Euro Disney” promotion shall be borne exclusively by the winner. The air tickets given to the winners of the “ADCB Euro Disney” promotion shall be subject to the terms and conditions of the issuing airline and travel agency. If there are any complaints, relating to the ticket(s), such complaints must be raised by the winners directly with the issuer of the ticket(s). The application for, approval and use of the credit cards issued by ADCB is subject, at all times, to applicable terms and conditions prescribed by ADCB.

ADCB reserves the right to disqualify any winner from receiving the Package, if, in its sole discretion, such winner is found to have violated any of these terms and conditions or the general terms and conditions applicable to credit/debit cards issued by ADCB. ADCB reserves the right to draw reserve-winners in the Raffle, to replace any winner(s) who is subsequently found to be disqualified or who does not claim his/her Package within 90 days from the date the Raffle is conducted by ADCB. ADCB may, at any time, replace or substitute the Package being offered under the “ADCB Euro Disney” promotion with another prize of equivalent or similar value, at the sole discretion of ADCB. ADCB does not guaranty or warranty any probability of a credit/debit cardholder winning a Package in the Raffle. The Package awarded to the winners of the “ADCB Euro Disney” promotion is non-transferable, non-encashable, nonextendable and non-exchangeable. ADCB shall not be in breach of its obligations or otherwise be liable to conduct the Raffle, continue to offer the “ADCB Euro Disney” promotion, offer or award any prize pursuant to the said promotion, or be liable to any holder of a credit/debit cardholder, as a result of any Force Majeure Event. “Force Majeure Event”, in these terms and conditions, shall mean circumstances beyond the reasonable control of ADCB including amongst other things, strikes and other industrial disputes, acts and regulations of any governmental or supra national bodies or authorities in any jurisdiction and any transport, port or air disruption, acts of God, hurricane, tornado, and other weather conditions, strike, lockout or other industrial disturbance, war, riot, sabotage, act of public enemy, terrorist act or gang violence, flood or other natural disaster. In such circumstances, ADCB's obligation to its credit cardholders shall automatically stand discharged without necessity to provide notice. In all matters relating to the “ADCB Euro Disney” promotion ADCB's decision and records same shall be final and binding. ADCB reserves the right, at its absolute discretion, to vary, delete or add to any of these terms and conditions from time to time, without notice, including without limitation termination of the “ADCB Euro Disney” promotion, the manner, mechanics and means on which the credit cardholder will be awarded an entry in the Raffle. In no event shall ADCB, any of its affiliates, or any of its/their officers, directors, employees or agents be liable for any loss, damage or expense arising out of or otherwise related to the “ADCB Euro Disney” promotion or the Raffle. The employees of ADCB and their immediate family members are not eligible to participate in the “ADCB Euro Disney” promotion.

ADCB does not offer or provide any warranties, or accept any responsibility or liability of any kind in respect of the “ADCB Euro Disney” promotion or the Raffle and hereby disclaims any and all express or implied warranties with respect to the same. In the event of any inconsistency between these terms and conditions and any brochure, marketing or promotional material relating to the “ADCB Euro Disney” promotion, these terms and conditions shall prevail.
