         Change of Security Company providing security services to the UN Agencies in
         Mozambique


Background:

You may be aware of the fact that during the second half of 2002, the UN Agencies in
Mozambique have jointly undertaken a thorough review of our needs and requirements in
respect of security services. The review has included the direct technical needs as well as
quality assurance and contract management aspects.

The culmination of the review has been a comprehensive and competitive solicitation and
evaluation process including our receipt of proposals from the leaders in the security
services industry in Mozambique. An integral part of the process has been the active
involvement of UNSECOORD in New York, including UNSECOORD’s full endorsement
of and support to the final decision.

I am pleased to advise you that with effect from 1 June 2003, the Mozambican company
ALFA Seguranca will provide security services to the United Nations in Mozambique, in
replacement of the present provider, Wackenhut. I am particularly pleased with the fact that
ALFA is operational throughout the country, meaning that with this change, we can
procure similar security services for all of our installations countrywide from the same
company.



Residential security measures:

A large number of you are currently making use of externally provided security services in
your residences (security guards and various alarm system combinations), mostly under
contract with our existing service provider, Wackenhut, but in some cases with individually
retained guards.

While the existing rules and procedures regarding reimbursement to staff of residential
security cost do not include a clause allowing for prescribing from where to access
residential security, it is the Security Management Team’s and my clear evaluation that the
best and most relevant security services are those offered by ALFA. Their training,
supervision and quality control and assurance programmes are superior to our current
arrangement and fully meet the stringent requirements we had pre-defined prior to
undertaking the selection process.

Therefore, in order to guarantee the maximum security for our staff and families, it is
our clear recommendation that they make use of the ALFA services for their
residential security needs.

It should also be kept in mind that the largest possible concentration of contracts with one
company will greatly facilitate the monitoring, coordination and intervention activities of
the FSCO.



ALFA Terms and Conditions

The prices offered by ALFA and accepted by the UN Agencies are higher than our current
prices. The monthly cost for one 24 hour ALFA security guard post is US$ 772.20 per
month (inclusive of I.V.A. (V.A.T.)), compared to the existing Wackenhut price of US$
583.83.

The main reason for this higher cost is the fact that we have prescribed a working shift of 8
hours for a guard, compared to the existing arrangement of 12 hours shifts. In fact, we have
prescribed a staff increase of 50% (from 2 to 3 shifts) and the price has increased by 32%.
Additionally, we have prescribed minimum salaries for the guards some substantially
higher than those received by our current guards.

I am pleased to advise you that in recognition of the fact that the higher prices of ALFA is
a reflection of a higher quality of service, UNSECOORD has recommended and the
individual UN Agency Headquarters have endorsed an increase of the partially
reimbursable cost for a 24 hour security guard post from its current level of US$ 600 per
month to an amount of US$ 775 per month.

This means that with 80% of the guard cost reimbursed, the net monthly cost to the
UN Staff member of a 24-hour guard post will increase from US$ 117.16 to US$
154.44, an increase of US$ 37.28.

For residential alarm systems, the monthly ALFA prices will vary depending on the
complexity of the individual systems, however, an average price for an anti-intrusion
system will be approximately US$ 120 per month. The reimbursement level for alarm
systems remains unchanged at US$ 200 per month.

ALFA has confirmed a willingness and ability to convert existing alarm systems to meet
ALFA standards.




Change-over process

For those of you who decide to follow the recommendation and change service provider
from Wackenhut to ALFA, I would like you to note the following:

        There is a 30 days termination notice clause contained in the individual Wackenhut
         contracts.

        We have been assured by Wackenhut that no Wackenhut guard will loose his
         employment with Wackenhut as result of change of service provider by a UN
         Agency or a UN staff member. They will be transferred to other Wackenhut
         contracts.

        ALFA has offered that any Wackenhut guard currently assigned to a UN Staff
         residence will be offered employment with ALFA provided that (1) the guard is
         interested; (2) the UN Staff member recommends the guard for continued service in
         the same residence; and (3) the guard meets the specific background, physical and
         educational requirements to an ALFA guard.

        The employment and remuneration terms and conditions of ALFA guards under
         “UN contracts” are attached for your information and possible use.



How to start the changeover process:


If you wish to change from Wackenhut to ALFA, you should do the following:

   1. Notify Wackenhut in writing that you terminate your contract with them in
      accordance with the terms and conditions of the contract. The notice period is 30
      days. For the sake of coordination and implementation of the transition, I suggest
      that as many of us as possible terminate our contract with effect 15 June 2003. A
      sample notification letter is attached.

   2. Notify ALFA that you wish to enter into a contract with them. This should be done
      through the UN Field Security Coordination Officer’s office (Mario Costa). Mario
      will arrange that ALFA visits your residence soonest thereafter in order to assess
      the conditions (including alarm systems) and establish the service. Remember to
      notify Mario Costa of the intended change-over date. ALFA will prepare a contract
      and send it to you through the UNFSCO Office. A sample notification letter is
      attached.


In case you wish to use the ALFA services and you do not have an existing contract,
please follow step 2 above.


In case there is an existing guard at your house whom you consider to be a very good
guard, a guard you would like to see continue guard service at your house under
ALFA contract and a guard you believe meets the ALFA requirements detailed in the
attached, you should do the following:

   1. Keep in mind that a Wackenhut guards works for and is under contract with
      Wackenhut and not with you as an individual. His loyalty may well lie with
      Wackenhut.

   2. Keep in mind that the decision for a qualified and recommended Wackenhut guard
      to change to ALFA rests solely with the guard.

   3. Before you recommend a guard to be contracted by ALFA, you should discuss the
      matter with the guard. Remember to show the guard the attached ALFA conditions.

   4. If both you and the guard are interested in the guard being contracted by ALFA for
      continued guard service at your residence, you must contact the UNFSCO Office
      (Mario Costa), who will arrange for an ALFA assessment of the guard.

   5. If the guard is still interested in the ALFA contract and ALFA confirms that the
      assessment was positive and that they wish to contract the guard, he must resign
      from his employment with Wackenhut in accordance with his contractual
      obligations. Please note that Wackenhut will have carried out briefing sessions with
      their guards in connection with the UN decision to change service provider.

   6. Please note that any guard who is successfully contracted by ALFA will have to
      undertake an extensive 3-weeks training course with ALFA before returning to his
      post at a UN residence. During that period, the guard is under contract with full pay
      and another ALFA guard will be posted at the UN residence.

have a smooth and effective change-over process, resulting a further improved security
environment for our homes.

with the new provider of security services to the UN Agencies.

Consequently, and in accordance with the contractual arrangements, I hereby terminate the
contract with your company for the supply of security services to my above residence. In
accordance with the 30 days notice period provision, the contract will terminate on [the
date 30 days after the date of this letter].
