BACKGROUND ON THIS ENGAGEMENT

 On April 15th, 2003, Mr. Rick Davis 1 and Dr. Wm. Frederick Lewis 2 visited ABC, Inc. to
investigate ways in which Prospect Technologies and ABC could work closer
        together.

 At this time, it was noticed that the ABC’s computers performed poorly when
connected to the Internet. Prospect Technologies suggested that one of its
engineers -- Mr. Mike Outler -- should visit ABC to see what caused this degradation
        in Internet access.

 This is the report from Mr. Outler’s visit on June 30th, 2003.

CONCLUSIONS AND RECOMMENDATIONS

 While it appeared that the “going in” assumption was that Internet bandwidth to
support ABC’s Computer was inadequate, on-site investigation shows that a much
more serious problem exists. Much of the Internet related problems stem from not
performing simple maintenance on existing computers.

 Specifically, Prospect Technologies found that routine computer maintenance on
the user / client side such as performing Window updates, emptying the browser
cache and windows temp files, running Scandisk, defragging the hard drive, and
updating and running Virus Scan had remarkable performance improvement 3 to
the operation of the ABC’s computers both in a stand-alone as well as on the
        Internet.

 It is recommended that ABC think about the performing of these tasks on a weekly /
bi-weekly basis. W/o doing so, any new computer that is installed will shortly exhibit
        performance problems.

INTERNET TEST RESULTS

M r. Mike Outler 4 visited w/ ABC on June 30th 2003 about 11:30 A.M. to investigate
why their Internet was appearing to yield very slow connection speeds. During
this investigation, he looked at three- (3) computers and has made assorted
comments and recommendations. (Two- (2) of their older computers 5 and one- (1) of
their newer computers. 6)

While the Internet bandwidth appeared to be adequate, the bulk of the problems and
issues w/ Internet performance appear to center around the performance of individual
computers. The following are some of Mr. Outler’s observations and suggestions:

 Upgrade the existing computers or replace existing
older machines w/ newer computers – The older ABC
computers were woefully inadequate to support their
current business needs. For example, while the Internet
browser is a networking interface, image processing
and code-parsing device, it does take processor power
to display the information. Due to the age of these

computers this [image processing / Web page display on the monitors] was
slow and time consuming. A recommendation is to at least replace the current
video cards to improve performance if newer computers are not available. W/
this simple upgrade, information and data will be displayed on a users’ monitor
significantly quicker and the over performance of the computer will be greatly
      enhanced.

 Deleting the Temporary Internet files. – When you visit many Web sites, the
browser stores these Web pages on the hard drive so the next time you return
to that site, it [the Web site] can load rapidly. This is called “Caching the
page”. Each time a user visits a Web site, the Web browser checks to see if a
new page needs to be downloaded. If it is not required,
then the browser retrieves this information from the hard
drive. While this process is designed to improve the
performance of the computer, the downside to this is
that as you accumulate a large number of cached files,
it [the computer] may no-longer be able to retrieve
these files from cache quicker then it would by simply
downloading it from the Internet. Minimally, these
cached files need to be deleted off the system monthly
to mitigate this problem before it arises. Even the offline
content files need to be deleted periodically. This will

remove the cached files you do not need anymore and improve the
performance of the computer. Also the caching setting was incorrectly set on
every one of the ABC computers that were investigated. The cache is normally
set to approximately 5 to 10 Megs which will in turn help remove the older
      cached files.

 Perform regular system maintenance. – While this recommendation is
completely straight forward, a disk cleaning and simple defragmentation of a
hard drives will help the overall performance of the computer. If the hard drive
has to jump from place to place just to get its data – this is called “thrashing” --
it will take longer then just doing one jump and reading the corresponding
information. It is recommended that this
[defragmentation] be done at least once a month. A
disk cleaning will also delete the old cache files that
     are not needed anymore.

 Update the older computers to least Internet Explore (IE)
v5.5 – Having an up-to-date browser is important
because it helps to keep the computer system running
smoothly. IE is now part of the Windows environment.
Also new parsing engines for the HTML code have
better parses and will also load from the Web

considerably faster w/ newer browser versions. This in turn improves a
computers operation. While a Netscape browser is not part of the Windows
operating system, it should also be updated periodically to the newest version.
Netscape is also continually making improvements to its browser technology
that will improves the downloading and loading of Web pages and information
        from the Internet.

 Be diligent w/ Windows Updates to ALL the ABC’s computers – Microsoft is
continually releasing upgrades and patches to its current operating systems.
This is done at least monthly and many times weekly and
/ or daily. These updates will not only speed up the
computers, but they will help with its overall security. 7
Some of these recent patches and Windows
components will help with e-mail retrieval.

 The first computer checked was x’s computer. It was on one of the older
     computer. Information:

cache setting is set to 20 Megs. There was no need to clean the cache on this
computer since it is a new computer.

                       394KB/S

By simply clearing the disk cache from the ABC’s computers they effective connect
speed to the Internet more than doubled. No surprisingly, the newer computer had a
better performance due to the increased processor speeds and faster video cards.

Since most people interact w/ the Internet via a Web browser, a modern / updated
video card and computer w/ a reasonable processor speed will greatly improve the
speed of browsing. The test(s) above do not show the impact of increased speed of the
video refresh rates, but it does show how important it is to periodically clean the browser
disk cache.

NEXT STEPS
 Discuss this report w/ the President and / or the Director
     Operations.

 Answer questions, listen to comments, and ensure that the
substance of this report is understood.

 Determine an overall strategy to ameliorate this situation at ABC,
     Inc.

    Develop a plan

 Help ABC, Inc. develop a plan to ensure that this type of “computer neglect” does
      not re-occur.

And remember:
Replacing an old computer w/ a new computer to just increase the size of the cache file(s)
is an expensive solution to performance problems. Plus, if not maintained correctly, the new
computer will become woefully out of date. . very, very soon!
