Non-circumvention, Non-disclosure (NCND) Agreement

Instrument used in early stages of a business transaction arranged by brokers (intermediaries). Its purpose is to ensure that (1) the intermediaries (who brought the buyer and seller together) are not by-passed and (2) the information disclosed during the negotiations is not revealed to any external or unauthorized party.

                             CONSULTING FEE AGREEMENT
The intent of this agreement is to establish a fair and reasonable agreement that properly protects and
recognizes the mutual interests of all the parties involved in this agreement, and to establish an
internationally recognized Non-Circumvention, Non-Disclosure, and Working Agreement between the
participating Parties. This and future transactions shall be conducted under the laws of the United States
of America.

WHEREAS, the Undersigned wish to enter into this Agreement to define certain parameters of the
future legal obligations, which include, but are not limited to, a duty of Confidentially with respect to
their sources and contacts.

WHEREAS, the undersigned desire to enter into a working business relationship for the mutual and
common benefit of the parties hereto, including their Facilities, Subsidiaries, Stockholders, Partners, Co-
Ventures, Trading Partners, Corporations, Divisions, Employees, Assignees, Agents, Consultants, Brokers
and other Associated Organizations, hereto.

WHEREAS, each Signatory party possesses certain information not known to any other party

WHEREAS, the parties intend to conduct various Business Transactions with each other for their mutual

WHEREAS, each party desires that the other party (or parties) refrain from having any direct contact
with any third party introduced by another party to this agreement, except for the mutual benefit of all
the parties.

WHEREAS, when a party introduces the other party to a client or potential client, the other party agrees
to respect the first party’s relationship with the client and will not interfere with that relationship.


1.    NONCIRCUMVENTION: _________[Company] _________, and related parties collectively, their
      employees, subagents, partners, associates, affiliates and/or assigns agree that for a period of five
      (5) years following the effective date of this Agreement, and for a period of three (3) years
      following the last transaction or series of transactions amongst the parties, whichever ever is
      longer, neither shall, either directly or indirectly:

        a. Make contact or attempt to make contact, solicit or attempt to solicit, negotiate or attempt to
          negotiate, enter into or attempt to enter into any agreement, and/or transact or attempt to
          transact any business with any of the other parties’ Contacts, or any person or entity that is
          connected with any of the other parties’ Contacts. For purposes of this Agreement, “Contact”
          is hereby defined to include both Buyer and Seller or any person, company, business,
