STAFF NON-SOLICITATION/NON-DISCLOSURE AGREEMENT

NON-SOLICITATION / NON-DISCLOSURE: The Employee hereby warrants and agrees that the Employee, during the term of this Agreement and subsequent to its termination, will not: (a) directly or indirectly, use, disseminate or disclose to anyone, or make, copy or obtain a list of the patients of the Practice for use by the Employee or anyone else; or (b) copy or remove any patients files and/or financial records and appointment books from the Premises; or (c) either directly or indirectly, for the Employee or for any other person or entity, solicit, divert, or attempt to divert or take away any patients of the Practice; or (d) either directly or indirectly, for the Employee or for any other person or entity, solicit, divert, or attempt to divert or take away any of the existing staff employed in the Practice; or (e) disclose to any patients of the Practice, the name and address of any other similar office location where the Employee will be employed following termination; or (f) disclose to any other party, certain confidential information, either during or subsequent to the term of this Agreement, including patient lists, contracts, fee schedules, referral sources, practice financial and income information.

LAW GOVERNING: This Agreement shall be construed in accordance with the laws of the state in which this practice is located. SEVERABILITY: If any part or portions hereof shall be determined to be invalid or illegal or enforceable in whole or in part, the validity of any other term of this Agreement shall not in any way be affected thereby. ASSIGNMENT: It is specifically agreed that the mutual and reciprocal covenants and agreements contained in this Agreement are assignable only by the Employer. BINDING AGREEMENT: This agreement shall be binding upon the respective successors and assigns of the parties hereto, and shall inure to the benefit of, and shall be enforceable by the parties hereto and their respective heirs, executors, personal representatives, successors, and assigns.
