Thanks. I need to write up some articles of organization for an LLC I'm trying to form and could use a sample. We wish to form an LLC basically to receive a percentage of sales of product sold. One person is to supply most of the work. Another is to supply a place and some equipment to develop the product. That place and equipment is presently being used by a different company. My concern is that if this is put in the articles of organization or the operating procedures, then those premises and equipment might become assets of the newly formed LLC subject to lawsuit. Is this right?
Here is the link, but don't click it yet. Read on. http://www.sos.ca.gov/business/llc/forms/llc−1.pdf The Articles of Organization is a one page form. It doesn't contain anything about operating procedures or assets. All of that is in the Operating Agreement. The Operating Agreement is a long contract. The one I finished writing yesterday is 36 pages long. It is not something you should tackle. If you form your LLC through an online service, they will send you a cookie−cutter operating agreement. Some of those agreements are good enough and some are better than nothing. The best solution is to have it drafted by a business transaction attorney. And, the online services are so good that I gave up forming corporations and LLC's myself a few years ago. I can't recommend any particular service, because the one I have used for years got dumped because of a billing dispute, and I have used the new one only once and don't know yet how they will turn out. But these services are generally so good that your chances of picking a scam artist is small.
