I need to write up some articles of organization for an LLC I'm trying to form and could use a sample. We wish to form an LLC basically to receive a percentage of sales of product sold. One person is to supply most of the work. Another is to supply a place and some equipment to develop the product. That place and equipment is presently being used by a different company. My concern is that if this is put in the articles of organization or the operating procedures, then those premises and equipment might become assets of the newly formed LLC subject to lawsuit. Is this right?
